Name Description

Terence Wise

Mr. Terence Bernard Wise is Chairman of the Board, Chief Executive Officer of Company. Mr. Wise has served as a director of Forward since February 2012 and was appointed Chairman of the Board in January 2015. He has over 30 years of experience in the furniture, plastics, luggage and accessories industries. Mr. Wise serves as principal and Chairman of The Justwise Group Limited, which he founded in 1977, a company that specializes in the procurement of consumer durable products from Asia and is an established supplier to a list of major U.K. multi-channel retailers. Mr. Wise also serves as a principal of Forward Industries Asia-Pacific Corporation (f/k/a Seaton Global Corporation) (“Forward China”) and has significant shareholdings in two manufacturing plants in China.

Frank Johnson

Mr. Frank LaGrange Johnson is Non-Executive Chairman of the Board of Forward Industries, Inc. Mr. Johnson founded LaGrange Capital Partners, L.P. (“LaGrange”) in May 2000. Mr. Johnson’s distinguished career in the financial and consulting industries brings significant financial and operational leadership experience to the Board.

Michael Matte

Mr. Michael Matte is Chief Financial Officer of the Company. Prior to joining the Company, Mr. Matte served as the CFO and Chief Accounting Officer of Aspen Group, Inc., an online distance-learning education service in the United States, until March 2014. Mr. Matte also served as an Executive Vice President of Finance and CFO of MeetMe, Inc. (formerly, QuePasa Corp.) from October 2007 to March 2013 and as the CFO for Cyberguard from February 2001 to April 2006. Mr. Matte currently serves on the Board of Directors of Coqui Radio Pharmaceutical, a position he has held since June 2013, and previously served on the Board of Directors of Iris International from January 2004 until April 2012. Mr. Matte has also served as a director for QuePasa Corp. from July 2006 until October 2007 and for Geltec Solutions from September 2008 until October 2009. Mr. Matte began his career at PricewaterhouseCoopers where he served as a senior audit manager.

Nathan Fine

Mr. N. Scott Fine is Lead Director of the Company. Mr. Fine has been an independent director of Forward since January, 2015. Mr. Fine has been involved in Investment Banking for over 35 years working on a multitude of debt and equity financings, buy and sell side M & A, strategic advisory work and corporate restructurings. The majority of his time has been focused on transactions in the healthcare and consumer products area, including time with The Tempo Group of Jakarta, Indonesia when Mr. Fine and his family resided in Jakarta for a period of two years. Mr. Fine was the lead investment banker on the Initial Public Offering for Med-Design Corporation, a specialty medical device company, Keurig Green Mountain Coffee Roasters, and Central European Distribution Corporation, a multi-billion dollar alcohol company. Mr. Fine continued his involvement with CEDC serving as a director from 1996 until 2014, during which time he led the CEDC Board's successful efforts in 2013 to restructure the company through a pre-packaged Chapter 11 process whereby CEDC was acquired by the Russian Standard alcohol group. Mr. Fine has been a guest lecturer at Ohio State University’s Moritz School of Law. Presently, Mr. Fine serves as Executive Chairman and Lead Director of CTD Holdings Inc., a Bio-tech/Healthcare Company. Mr. Fine is also the sole Director of Better Place, Inc. Recently, Mr. Fine has become a member of the Board of Directors of Kenon Holdings Ltd, a spin-off from the Israel Corporation Ltd. as well as Chairman of the Global Virus Network (GVN). In addition to his business activities, Mr. Fine is an active participant with the Medal of Honor Foundation as well as the Intrepid Museum Foundation and is also involved with the New York City Army Birthday Gala. He is also a director of Operation Respect, an anti-bullying education non-profit organization. Mr. Fine brings crucially needed experience in corporate finance and restructuring and M&A strategy to the Board.

Sharon Hrynkow

Dr. Sharon Hrynkow is Director of the Company. Dr. Hrynkow currently serves as the President of the Global Virus Network, a coalition of top medical virologists supporting the research and treatment of viral disease. Dr. Hrynkow is also the Founder and Managing Partner of Global Health Consulting, LLC and a member of the Scientific Advisory Board of CTD Holdings, Inc., a publicly traded family of biotechnology growth companies. Dr. Hrynkow previously spent over 20 years in various leadership positions at the National Institutes of Health and the U.S. Department of State, managing programs and policies addressing HIV/AIDS, emerging infectious disease, the health impacts of climate change, global health research and training, and partnership development. She also served as a U.S. Delegate at the United Nations Commission on the Status of Women’s 55th session and is an elected Fellow of the Council on Foreign Relations and the American Association for the Advancement of Science. Dr. Hrynkow holds a B.A. from Rhode Island College and a Ph.D. in Neuroscience from the University of Connecticut.

Michael Luetkemeyer

Mr. Michael L. Luetkemeyer is Director of Company. Prior to joining the Company, Mr. Luetkemeyer served as an independent consultant working in the areas of strategic planning, financial management and infrastructure development. Mr. Luetkemeyer previously served as the Chief Financial Officer of TranS1, Inc., a NASDAQ-listed medical device company, from April 2007 through March 2010. Prior to serving as CFO of TranS1, Mr. Luetkemeyer served as Senior Vice President and CFO of Micromuse, Inc., a NASDAQ-listed provider of network management software, from October 2001 to May 2006. He also served as a member of Micromuse’s board of directors from January 2003 through February 2005, and as its interim CEO during 2003.

Joseph Mullin

Mr. Joseph E. Mullin, III is Director of Forward Industries, Inc. He is the founder and partner of Joseph E. Mullin LLC, a firm that engages in advisory and restructuring consulting projects with equity participation, since 2010. Mr. Mullin currently serves as a Director of Currencio Limited, a peer-to-peer fintech foreign exchange network he founded and developed in 2013. From 2011 to 2012, Mr. Mullin served as the Chief Executive Officer of General Word Development LLC, a children’s media business. Mr. Mullin served as a Director and member of the Mergers & Acquisitions Committee, Nominations and Corporate Governance Committee, Compensation Committee and as Chair of the Audit Committee of KIT Digital, Inc. from 2010 to 2012. Previously, Mr. Mullin was a Portfolio Manager and Senior Analyst at Millennium Global Investments, Ltd., an independent, privately-owned investment management firm, from 2007 to 2010. Mr. Mullin was a Research Analyst at WL Ross & Co. LLC, an asset management firm, from 2001 to 2007. Mr. Mullin began his career as a Financial Analyst in the Corporate Finance Department at Goldman Sachs. Mr. Mullin holds an A.B. degree from Harvard College.

Robert Neal

Mr. Robert M. Neal is Director of the Company., effective December 08, 2014. Mr. Neal founded Skellig Capital LLC, a long/short equity hedge fund, in May 2007 and has been portfolio manager since founding. Mr. Neal has 26 years of experience in the hedge fund, corporate finance and leveraged finance markets. Mr. Neal holds a B.A. degree from Duke University.

Sangita Shah

Ms. Sangita Shah is Director of Company. She currently serves as director and owner of Odyssean Enterprises Limited, a private advisory and investment company, in addition to serving on the board of Swindon Town FC. Ms. Shah is also a board advisor to Global Reach Technology, a Fast Track WiFi SME, and a non-executive director for Zypha Technologies Inc. Ms. Shah previously worked in seed/mezzanine financing and strategic investments within the environmental and technology sectors following a number of senior roles held at KPMG and Ernst & Young. Ms. Shah holds a BSc and MSc from Queen Mary University of London and is also an Associate of the Chartered Institute of Management Accountants and a Fellow of the Chartered Institute of Journalists.

John Chiste

Mr. John F. Chiste is Independent Director of Forward Industries Inc. Mr. Chiste has been the Chief Financial Officer of Falcone Group, a privately held diversified portfolio of real estate companies, since 2005. From 1997 to 2005, Mr. Chiste was the Senior Vice President, Chief Financial Officer and Treasurer of Bluegreen Corporation, a publicly held developer and operator of timeshare resorts.

Howard Morgan

Mr. Howard Morgan is Independent Director of Forward Industries Inc. Mr. Morgan has been the Managing Director of The Justwise Group Limited (“Justwise”) since 1997, having previously been employed by Justwise in various senior executive roles since 1989. Justwise specializes in the procurement of consumer durable products from Asia and are established suppliers to a list of major UK multi-channel retailers, offering sourcing solutions and comprehensive R&D covering the home furniture sector. In March 2013 Mr. Morgan was appointed as a Director of Eurofresh, a wholesale distribution company of fresh produce.
