Name Description

Brian Cartwright

Mr. Brian G. Cartwright is Chairman of the Board of HCP, Inc. He has served as General Counsel of the U.S. Securities and Exchange Commission from 2006 to 2009. From 2009 to 2011, Mr. Cartwright was a Senior Advisor at the law firm of Latham & Watkins LLP, and between 1988 and 2005, he was a partner with Latham & Watkins LLP, where he served in various senior management positions, including as a member of its Executive Committee. Mr. Cartwright has served as a Senior Advisor at Patomak Global Partners, LLC, a regulatory consulting firm, since 2012. He has served on the public company board of Investment Technology Group, an independent broker and financial technology provider, since 2016. Mr. Cartwright has a B.S. from Yale University, a Ph.D. in physics from University of Chicago, and a J.D. from Harvard University.

Thomas Herzog

Mr. Thomas M. Herzog is Chief Executive Officer, Director of the Company., From June 2016 to December 2016, Mr. Herzog served as our Executive Vice President and Chief Financial Officer, and also served as our Chief Financial Officer from April 2009 to May 2011. From January 2013 until joining HCP in June 2016, he was Chief Financial Officer of UDR, Inc. (NYSE: UDR), a multifamily REIT. Mr. Herzog served as Chief Financial Officer of Amstar, a Denver-based real estate investment company, from August 2011 to January 2013. He also served as Chief Financial Officer at Apartment Investment and Management Company (NYSE: AIV), a multifamily REIT, from 2005 to 2009 and as Chief Accounting Officer from 2004 to 2005. From 2000 to 2004, he served as Chief Accounting Officer for GE Real Estate. Mr. Herzog began his career in public accounting with Deloitte & Touche LLP, including a national office assignment in the real estate group. He currently serves on the Board of Directors for Tier REIT (NYSE: TIER), an office property REIT.

Peter Scott

Mr. Peter A. Scott is Chief Financial Officer, Executive Vice President of the Company., Prior to joining HCP, he served as a Managing Director, Real Estate Banking Group of Barclays, a financial services firm listed on the London Stock Exchange from 2014 to 2017. His experience also includes various positions of increasing responsibility at the financial services firms Credit Suisse from 2011 to 2014, Barclays from 2008 to 2011 and Lehman Brothers from 2002 to 2008.

Thomas Klaritch

Mr. Thomas M. Klaritch, CPA., is Chief Operating Officer, Executive Vice President of HCP, Inc. He previously served as Senior Managing Director – Medical Office Properties from April 2008 to August 2017, and as Senior Vice President – Medical Office Properties from October 2003 to April 2008. Prior to joining HCP, Mr. Klaritch was a founding member and Chief Financial Officer of MedCap Properties LLC, a company that owned, operated and developed healthcare real estate. (HCP acquired MedCap Properties LLC in October 2003.) He has 35 years of operational and financial management experience in the medical office and hospital sectors. Mr. Klaritch is a Fellow in the Healthcare Financial Management Association and serves on the Board of Directors of the University City District of Philadelphia, Pennsylvania. He is also a certified public accountant.

Scott Brinker

Mr. Scott M. Brinker is Executive Vice President, Chief Investment Officer of the Company. Mr. Brinker most recently served as Chief Investment Officer at Welltower Inc. from July 2014 to January 2017. Prior to that, he served as Welltower’s Executive Vice President of Investments from January 2012 to July 2014. From July 2001 to January 2012, he served in various investment and portfolio management related capacities with Welltower.

Troy McHenry

Mr. Troy E. McHenry is Executive Vice President, General Counsel, Corporate Secretary of HCP, Inc. He previously served as Senior Vice President — Legal, HR and Assistant Corporate Secretary from July 2013 to February 2016, and as Vice President, Corporate Counsel and Assistant Corporate Secretary from December 2010 to July 2013. Prior to joining HCP, Mr. McHenry was with MGM Resorts International (NYSE: MGM), a global hospitality and entertainment company, from 2005 to 2010 as Vice President, Deputy General Counsel and Assistant Corporate Secretary. Prior to that, he was Associate General Counsel at Boyd Gaming Corporation (NYSE: BYD), a gaming and hospitality company, from 2004 to 2005. Mr. McHenry was also a senior associate with the law firm of DLA Piper (formerly Gray Cary) from 2001 to 2004. He is a military veteran and previously served as an officer (First Lieutenant) in the U.S. Army.

Shawn Johnston

Mr. Shawn G. Johnston has been appointed as Senior Vice President, Chief Accounting Officer of the Company, with effective from August 15, 2017. Mr. Johnston is joining HCP from UDR, Inc., a leading multifamily real estate investment trust (REIT), where he is currently Chief Accounting Officer (CAO). He joined UDR in September 2013 as Controller and served in that role until 2016 when he became CAO, and served as Interim Principal Financial Officer from June 2016 through December 2016. Prior to Mr. Johnston's tenure at UDR, he served as CAO at American Residential Communities LLC, a residential real estate company. Previously, he worked at Ernst & Young for eight years as a Certified Public Accountant.

Kendall Young

Mr. Kendall K. Young is Senior Managing Director — Senior Housing Properties of the company. He previously served as Executive Vice President – Senior Housing Investments from September 2010 to April 2017. Prior to joining HCP, he was affiliated with Strategic Value Partners in Greenwich, Connecticut, where he was Managing Director, Global Head of Asset Management, from 2007 to 2010. At Strategic Value Partners, Mr. Young was responsible for managing a large commercial property portfolio. Before that, he held Managing Director positions with Merrill Lynch from 2005 to 2007 and GE Capital Real Estate from 1992 to 2005, where he originated and managed large U.S. and international portfolios of real estate equity and debt investments.

Katherine Sandstrom

She previously served as Senior Managing Director and global head of Heitman’s Public Real Estate Securities business from 2013 to 2018.
