Name Description

Lorenzo Bini Smaghi

Mr. Lorenzo Bini Smaghi serves as Chairman, Non-Executive Director of ITALGAS S.P.A. since August 4, 2016. He is the chairman of Societé Genérale and of Italgas. He is also Visiting Scholar at the Weatherhead Center for International Affairs of Harvard and Senior Fellow at LUISS School of European Political Economy. In addition, he is a member of the Board of Directors of Tages Holding and chairs the University of Chicago Alumni Club of Italy Association. He has held various roles, including member of the Executive Committee of the European Central Bank (2005-2011), chairman of SNAM (2012-2016) and of SACE (2001-2005), member of the Board of Directors of Finmeccanica, of MTS, of the European Investments Bank and of Morgan Stanley International. He was the first President of the Fondazione Palazzo Strozzi (2006-2016). He started his career in 1983 as an economist in the Research Department of Banca d’Italia. In 1994 he went on to manage the Policy Division of the European Monetary Institute. In October 1998 he was appointed Director General for International Financial Relations of the Italian Ministry of the Economy, where he held the role of Italian Sherpa at the G7 and G20, and was Vice President of the Economic and Financial Committee of the European Union. He obtained a Degree in Economic Sciences at the Universite Catholique de Louvaine in 1978, a Master’s at the University of Southern California and a Ph.D. at the University of Chicago.

Paolo Gallo

Eng. Paolo Gallo serves as Chief Executive Officer, General Manager of ITALGAS S.P.A. since August 4, 2016. He is also Chairman of its main subsidiary, Italgas Reti. Born in Turin in 1961, he received his degree in Aeronautical Engineering from the Politecnico di Torino. He subsequently earned an MBA from Universita degli Studi di Torino. From 2014 to 2016 he was the Chief Executive Officer of Grandi Stazioni S.p.A, of which he previously oversaw the privatization. From 2011 to 2014 he worked at Acea S.p.A., firstly as Chief Operating Officer and then as Chief Executive Officer. Listed at the Milan stock exchange, the company is one of the main Italian multi-utilities.From 2002 to 2011 he was in the Edison Group, initially as Head of Strategy and Innovation. He was then (2003-2011) Chief Operating Officer and eventually Chief Executive Officer of Edipower. He started his career in Fiat Avio S.p.A. in 1988, holding several roles and responsibilities over 13 years. In 1997 he began working in the energy field, developing new initiatives in Italy, India and Brazil. He eventually recollected all Fiat Group’s electricity generation activities in Fiat Energia – of which he was Chief Executive Officer until 2002. Through Fiat Energia, Fiat Group acquired Montedison in 2001. Between 1992 and 1993 he was dean of the MBA programme at the School of Business Administration of the University of Turin, where he lectured “Industrial Investmens Economical-Financial evaluations” until 2002. He is also co-author of relevant publications in the sector.

Antonio Paccioretti

Dr. Antonio Paccioretti serves as General Manager Finance and Services of ITALGAS S.P.A. since November 7, 2016. A degree in Business and Economics at the Universita Commerciale Luigi Bocconi in 1988, he began his career in Snam in 1989 in the Administration, Finance and Control Dept where he was gradually promoted through various managerial positions, becoming Head of the Financial Dept in 2000. In this position, he acquired international experience also covering managerial roles in the affiliates in Germany, Switzerland, Austria, Tunisia and the Netherlands. In 2001 he was involved in all the various stages of Snam Rete Gas listing process, the largest IPO that year in Italy. From 2002 to 2006, he was appointed as Head of Equity and Debt Capital Market activities in Eni. Amongst various transactions, he dealt with public offer for the shares of Italgas in 2003, the placement of the second tranche of Snam Rete Gas shares in 2004 and other corporate finance transactions including the sale of Eni’s stake in Albacom and the sale of Snamprogetti to Saipem as well as various debt capital market exercises. In 2006, he was appointed Managing Director of Eni Coordination Centre SA, the Brussels-based company responsible for the international financial activities of Eni. Back in Snam in 2007 as CFO, he has contributed to the Group’s strategy in Italy with the acquisition of Italgas and Stogit and abroad of shares in TIGF, TAG, Gas Connect Austria, TAP and Interconnector UK. In 2012 he managed the refinancing of more than 12 billion euro resulting from the control passage of Snam from Eni to CDP. In 2016, he managed the spin off of Italgas from Snam and the listing of the company. He has assumed the role of General Manager for Italgas with responsibility for the CFO areas, ICT, Investor Relations, Enterprise Risk Management, Development & M & A, Property & Facility Management, HSE and Vendor Management. He is a member of the Board of Directors Italgas Reti.

Maurizio Dainelli

Mr. Maurizio Dainelli serves as Non-Executive Director of ITALGAS S.P.A. since August 4, 2016. He graduated in Law at the Universita degli Studi di Roma. He has been a licensed forensic professional since August 2003. From December 2010, he has been with the Legal Consultancy of CDP, where he heads the M&A and Equity Department. Previously, from 2004 to 2010 he worked in forensics at the Law Offices of Bonelli Erede Pappalardo, spending six months at the London office of J.P. Morgan, as a Visiting Foreign Lawyer. He began his career at Andersen Legal, where he remained from 2000 to 2004.

Yunpeng He

Mr. Yunpeng He serves as Non-Executive Director of ITALGAS S.P.A. since August 4, 2016. He is currently a member of the Board of Directors of CDP Reti and Terna S.p.A. Since 26 January 2015 he has also been a member of the Snam S.p.A. Board of Directors. He has also held the following major positions with the State Grid Tianjin Electric Power Company: Vice Chief Technical Officer from December 2008 to September 2012, Director of the Economic and Legal Department from June 2011 to September 2012, Director of the Planning and Development Department from October 2005 to December 2008 and Director of the Planning and Design Department from January 2002 to October 2005. Lastly, he was the Head of the Tianjin Binhai Power Company from December 2008 to March 2010 and Chairman of the Tianjin Electric Power Design Institute from June 2000 to January 2002. He holds a degree in Electrical Systems and Automation from the Tianjin University. He later earned a Master’s Degree in Technology Management from the Rensselaer Polytechnic Institute (RPI).

Nicola Bedin

Mr. Nicola Bedin serves as Non-Executive Independent Director of ITALGAS S.P.A. since August 4, 2016. Since 2005 he has been the Chief Executive Officer of the San Donato Hospital Group which, with revenues of EUR 1.5 billion, is the main Italian operator in the hospital sector. He has also been the Chief Executive Officer of the San Raffaele Hospital since May 2012, when the hospital became a part of the Group. Since 2015 he has also been the Chief Executive Officer of Università Vita-Salute San Raffaele. He holds a degree in Business Administration from Universita Bocconi. He attended the fourth year of high school in the United States, where he also returned during his university studies, at the University of Texas at Austin and the University of California at Berkeley. He started his career as a financial analyst at Mediobanca in 2001. He is a contract professor at the Università Vita-Salute San Raffaele and at the University of Pavia for healthcare-related economics and applied economics. He has been a member of the National Board of AIOP (Italian Association of Private Hospitals) since 2012 and of the Executive Committee of AIOP of Lombardy since 2005. He has been a member of the Health Group Board of Assolombarda since March 2010, and of the Life Science Advisory Board of Assolombarda since May 2015.

Cinzia Farise

Ms. Cinzia Farise serves as Non-Executive Independent Director of ITALGAS S.P.A. since August 4, 2016. She is the Chief Executive Officer of Trenord S.r.l., an office she has held since 2014. Previously she was with the Prysmian group: from 2005 to 2011 as Head of Sales of Prysmian Italia S.p.A., from 2011 to 2014 as Chief Executive Officer of Prysmian India and in the period 2013-2014 as the Vice Chairman of the Energy and Infrastructure Business Unit, at Prysmian’s Milan headquarters. Prior to that, she was with the Ferrovie Nord Milano group from 1990 to 2005, as: Assistant to the Chairman (1990-1993), Head of Sales and Promotion (1993-1997) Marketing Manager (1997-2000) and Head of Sales and Marketing (2001-2005). In the period 1989-1990 she was Key Account Manager with Barclays Bank in France. She began her career in 1987 with BOBST S.A. She earned her degree in Economics and Business from the Universita degli studi di Brescia.

Paolo Mosa

Mr. Paolo Mosa serves as Non-Executive Independent Director of ITALGAS S.P.A. since August 4, 2016. Paolo Mosa leads the Commercial, Regulation and Development Business Unit of Snam. He began his career with the Snam Group in 1987. Between 2000 and 2001 he was head of coordination of the foreign subsidiaries of Snam, which own the transmission infrastructure necessary to import natural gas into Italy. In this period he held the role of Chief Executive Officer of TMPC Ltd and was a member of the Board of Directors of TAG GmbH, TENP GmbH, TTPC Ltd and Transitgas SA. Until 2002 he was also a member of the BoD of TIGAZ, one of the main gas distribution companies in Hungary. In 2001, he was appointed Manager in charge of investment planning for the grid and management of Snam Rete Gas transmission contracts. From 2009 to 2012 he was member of the board of ENTSOG (European association of gas transmission companies). Until 2008 he was also a member of the Board of Directors of GNL Italia, the company that manages the regasification plant of the GNL site in Panigaglia (La Spezia). From 2010 to 2014, he was the Chief Executive Officer of Italgas. He holds a degree in Mechanical Engineering from the Politecnico di Milano in 1985.

Paola Annamaria Petrone

Ms. Paola Annamaria Petrone serves as Non-Executive Independent Director of ITALGAS S.P.A. since August 4, 2016. She is currently a member of the Board of Directors of AAMPS S.p.A. She was General Manager of AMSA from 2011 to 2015. Previously she worked for the FCA Group initially as the Global Director Outbound Logistics and Supply Chain Management and afterwards, from 2010, as Global Senior Vice President Supply Chain Management of FCA and Chairman of I-Fast Container Logistics. From 2003 to 2008 she worked for Trenitalia, with different roles, the last of which was Head of Regional Transportation for Lombardy. From 2000 to 2002 she worked as Manager at Roland Berger Strategy Consultants. She began her career with the Siemens Group, first as Coordinator for Inbound Logistics of the Industrial Automation Division in Milan, then as Key Account Logistics Manager for the Italian market at the German headquarters. She received her degree in Languages and Modern Literature from Universita IULM Milano. She also received an MBA from SDA BOCCONI University.
