Biographies

Name Description

Hans Meister

Mr. Hans Ulrich Meister has been Non-Executive Chairman of the Board of Directors of Implenia Ltd since March 22, 2016. He was CEO of the Switzerland Region at Credit Suisse from 2008. From 2011 he was also CEO of the Private Banking Division and from 2012, Head of the Private Banking & Wealth Management Division, responsible for private banking business in EMEA (Europe, Middle East, Africa) and Asia Pacific. In these roles, he was also a Member of the Executive Boards of Credit Suisse Group AG and Credit Suisse AG. Previously, he performed various management functions for UBS in Switzerland and internationally for over 20 years, finishing as Head of Private and Corporate Clients between 2005 and 2007. From 2004, he was also a member of the UBS Group Managing Board. In 2002, he worked for UBS’s Wealth Management, USA operation in New York. He has a business degree from Zurich University of Applied Sciences and graduated from the Advanced Management Program of Wharton School (University of Pennsylvania) and Harvard Business School.

Anton Affentranger

Mr. Anton Affentranger has been Chief Executive Officer and Member of the Group Executive Board at Implenia Ltd since October 1, 2011. Prior to that, he served as Chairman of the Company's Board of Directors from March 2006. He also served as Chief Executive Officer of the Company from April 6, 2009 till July 1, 2010. He is also the founder and chairman of Affentranger Associates AG and various start-up companies. Anton Affentranger worked for UBS in New York, Hong Kong and Geneva, and was a Member of the bank’s Executive Board at its head office in Zurich. He was also partner and CEO of the private bank Lombard Odier & Cie and CFO of Roche Holding AG. In 1999 he joined the Board of Directors of Zschokke Holding AG, becoming Chairman in 2003. He graduated in Economics from the University of Geneva.

Beat Fellmann

Mr. Beat Fellmann has been Chief Financial Officer, Member of the Group Executive Board and Head of the Corporate Centre Division at Implenia Ltd since October 2008. He began his career as an internal auditor with the international industrial group Bühler, where he became assistant to the CEO and Chairman before becoming a specialist in financing projects. In 1998 he joined Holcim Group, where he was Head of Financial Holdings. In this role he reported to the CFO and was responsible for all financial and holding companies worldwide. In January 2005 Beat Fellmann became deputy group CFO at Holcim and was also made responsible for group tax, as well as for the management company’s IT, finance and controlling. Beat Fellman has been a Member of the Board of Directors of Vitra Holding AG since 1 January 2016. He graduated with a degree in economics from the University of St. Gallen, and he is also a qualified auditor.

Christof Gaemperle

Mr. Christof Gaemperle has been Member of the Group Executive Board and Head of Construction German-speaking Switzerland Business Unit at Implenia Ltd since February 2013. Since that date he has also been responsible for Business Unit Construction German-speaking Switzerland. Before that he was General Counsel of Implenia Group from 1 August 2010. He began his career in the Legal Service of Canton St. Gallen’s Civil Engineering Office. From 1993 to 1997 Mr. Gaemperle was Deputy General Secretary in the Canton St. Gallen Building Department. For the next six years he was in charge of the legal service there before being appointed General Secretary in 2003. Mr. Gaemperle performed this role until he joined Implenia in 2010. He has been Member of the Board of Trustees of the Kliniken Valens und Walenstadtberg Foundation. He qualified in law from the University of St. Gallen as lic.iur.HSG.

Rene Kotacka

Mr. Rene Kotacka has been Member of the Group Executive Board, Head of Implenia Infrastructure at Implenia Ltd since July 2015. Prior to that, he was Member of the Group Executive Board, Head of the Business Unit Tunnelling & Civil Engineering of the Company from December 16, 2014. In the same year he began his career at Implenia’s predecessor firm Zschokke (AG Heinr. Hatt-Haller), immediately becoming a construction manager and then a site manager for various tunnelling projects. Around the start of the new millennium he became project manager and head of technical management for the “Aeschertunnel”, part of Zurich’s western bypass. He was then responsible for various subsurface new build and refurbishment projects as project manager and member of the construction committee. In 2006 he was appointed Head of International Production and Refurbishment. In 2011 he then took on responsibility for acquisitions at the Tunnelling & Civil Engineering unit and became a member of the Implenia Tunnelling & Civil Engineering Management Committee. He has been a Delegate of the Schweizerischer Baumeisterverband and a Member of the Board of Directors of Versuchstollen Hagerbach AG. He graduated as a construction engineer from the Federal Institute of Technology (ETH) in 1988.

Andre Metral

Mr. Andre Metral has been Member of the Group Executive Board and Head of Construction French-speaking Switzerland Business Unit at Implenia Ltd since February 2013. Since this date, he also been Head of Business Unit Construction French-speaking Switzerland. Having graduated in construction engineering from ETH Zurich he started his career in 1989 with the Zschokke Group in Geneva. He initially worked as a structural engineer, then as an expert in geotechnics and foundation engineering, taking part in studies for and execution of complex infrastructure projects. He soon became Head of Geotechnics and Foundation Engineering in Western Switzerland. In 2011 he became Head of the Infra West Division, which covered all areas of activity associated with construction, buildings, civil engineering and production in Western Switzerland. He obtained Construction Engineering from Eidgenoessische Technische Hochschule Zuerich.

Chantal Emery

Ms. Chantal Balet Emery has been Non-Executive Member of the Board of Directors at Implenia Ltd since March 27, 2013. She is Member of the Audit Committee at the Company. She is a consultant lawyer and notary at the Pratifori notary’s office and an honorary member of the consultancy Fasel, Balet, Loretan, d’Arenberg (FBLA). From 1994 to 2008 she headed the Western Swiss office of the economiesuisse business association in Geneva. From 1984 to 1994 she worked as a self-employed lawyer and notary in Canton Valais. She has been Chair of the Federation romande pour l’energie and a Member of the Boards of Directors of the following companies: Vaudoise Assurances Holding SA, Vaudoise Generale, Compagnie d’Assurances SA, Vaudoise Vie, Compagnie d’Assurances SA, Mutuelle Vaudoise, Societe Cooperative, Walliser Kantonalbank, Robert Gilliard SA Vins, Gillard-Juat SA and OLF SA.

Kyrre Johansen

Mr. Kyrre Olaf Johansen has been Non-Executive Member of the Board of Directors of Implenia Ltd since March 22, 2016. He is Member of the Nominations and Remuneration Committee at the Company. He has been Chief Executive Officer of Norway-based, internationally active private company Norsk Mineral AS since 2013. Before that, from 2008 to 2012, he was Chief Executive Officer of Entra Eiendom AS, a Norwegian real estate project development company. He has also worked as a consultant engineer at JKS-Consult AS. From 1991 to 1998, he occupied various management roles within international construction projects at ABB Power Generation AG in Baden, Switzerland. In 1999, he became regional head of the Norway branch of NCC AB. In 1999, he was made Chief Executive Officer of the company’s roadbuilding division. Between 2003 and 2008, as Chief Executive Officer of Mesta AS, he was responsible for one of Norway's biggest roadbuilders. He has wide-ranging management experience in various branches of industry. He also sat on the Board of the Norwegian Construction Association (EBA) for many years where he was a leading proponent of a value-based management culture focused on business ethics and sustainable growth. He was recognized for his work in this area in 2011 with the ENOVA Honorary Award. He has masters degree in construction engineering at the Norwegian University of Science and Technology in Trondheim, for the year 1986. In 1989, he earned a degree as business candidate at the BI Norwegian Business School.

Henner Mahlstedt

Mr. Henner Mahlstedt has been Non-Executive Member of the Board of Directors of Implenia Ltd since March 22, 2016. He was Non-Executive Chairman of the Board of Directors from February 3, 2016 and Non-Executive Member of the Board of Directors at the Company from March 24, 2015. He is Chairman of the Audit Committee at the Company. He studied civil engineering at the Technical University of Braunschweig. From 1980 to 2001 he held various management positions at Strabag Hoch- und Ingenieurbau AG in Hamburg, Berlin and Cologne, from 1997 to 2001 as a Member of the Executive Board. He then served as Chief Executive Officer of Pegel & Sohn GmbH + Co. KG in Berlin before moving in 2003 to take charge of the new federal states for Hochtief Group. In 2005 he was appointed to the Executive Board of Hochtief Construction AG in Essen; from 2007 until the end of 2010 he was the Chairman of the Executive Board. Mr. Mahlstedt was then appointed Chairman of the Executive Board of Hochtief Solutions AG in Essen. From 2007 to 2012 he was also a Member of the Global Group Executive Committee of Hochtief AG. In addition, he held various positions on the committees of the German Construction Industry Federation and the German Society for Concrete and Construction Technology. He has worked at Mahlstedt Consultants GbR since mid-2012. He is also Member of the advisory board of Huesker Synthetic GmbH and Franzen Holding GmbH, and is a lecturer at Westfaelische Hochschule.

Ines Poeschel

Ms. Ines Poeschel has been Non-Executive Member of the Board of Directors at Implenia Ltd since March 22, 2016. She is Chairman of the Nominations and Remuneration Committee at the Company. She has been a Partner at law firm Kellerhals Carrard since 2007 and since 2010 a member of the firm’s Steering Committee. Before that she worked in various positions at well-known law firms in Switzerland and the USA, including as a lawyer at Baer & Karrer from 2002 to 2007, and as Senior Manager at Andersen Legal from 1999 to 2002. She has been member of various boards of directors and boards of trustees, as well as of the Swiss Federal Commission of Experts for the Commercial Register. She regularly lectures at universities. She specializes in company and capital markets law, corporate governance, and M&A transactions at private and listed companies. She completed her legal studies at the University of Zurich in 1993 and was called to the bar in 1996.

Laurent Vulliet

Mr. Laurent Vulliet has been Non-Executive Member of the Board of Directors of Implenia Ltd since March 22, 2016. He is Member of the Audit Committee at the Company. Since 1994, he has been Full Professor of Soil Mechanics at the Swiss Federal Institute of Technology in Lausanne (EPFL), where he also teaches risk management. Between 2006 and 2015, he was also a Board Member and from 2008 Chief Executive Officer of BG Ingenieurs Conseils, a Lausanne-based consultancy firm that operates internationally in the infrastructure, environment, building construction and energy sectors. He worked at the Universities of Darmstadt and Karlsruhe, and taught for three years at the University of Arizona in Tucson (USA). In 1989, he joined Cerenville Geotechnique SA, a consultancy firm in Ecublens specializing in geotechnical engineering, as Senior Engineer. From 2001 until the end of 2007, he was Deacon of the ENAC faculty at the EPFL, which encompasses architecture, infrastructure and environmental sciences. He is a member of the Swiss Academy of Engineering and the Energy Commission of the Canton of Vaud. From 1997 to 2007, he was also a member of the Non-Parliamentary Commission for Natural Hazards and from 2009 to 2013, Vice Chair of the Swiss Engineers and Architects Association (SIA). In 2008, he competed the Advanced Management Program at INSEAD in Fontainebleau (France). Having graduated as a construction engineer from the ETH Zurich in 1980, he obtained his doctorate in 1986 from the EPFL.

Serge Rotzer

Basic Compensation
