Tarek Aboualam

Mr. Tarek Aboualam serves as Chairman of the Board of ITALIAONLINE S.P.A. since February 14, 2017. Tarek Aboualam is the founder of Glint Consulting, a company that offers digital and industrial technology and management consulting services aimed at building successful companies and maximizing their value. Prior to Glint, Tarek was the CEO of the Mobiserve group, operating in 8 MENA countries (Middle East, North Africa); in 2012 he led the turnaround of the operator Telecom Egypt (TE) as CEO, after being Senior VP of the International Wholesale area. In 2008 he worked in Orascom Telecom as Director of the development of landlines and broadband. Between 2005 and 2008, he actively contributed to Wind's turnaround as Director of Planning and Business Intelligence of the Fixed Business Unit. Before 2005, Tarek began his career as co-founder and administrator of the first two ISPs in Egypt (TE Dati and Soficom). He has been President and member of the boards of several telecommunications and technology companies, including: Telecom Egypt, Vodafone Egypt, Mobiserve, TE Data, Xceed, Soficom, Glint Consulting, Tellas, Tirocon and TED-Jordan. He graduated in Telecommunications Engineering at the Alexandria University.

Antonio Converti

Mr. Antonio Converti serves as Chief Executive Officer, Executive Director of ITALIAONLINE S.P.A. since October 8, 2015. Computer Science graduate from the University of Pisa, he begins his career at Olivetti. Since 1995 he devoted himself to the web: at first in Italiaonline (first release), where he creates the search engine Arianna, then in Wind Telecomunicazioni, where he manages the start-up of the Internet division. Therefore he dedicates one year to the start-up of 3 Italy and goes back to Wind to take part in the top management. In 2011, he runs the spin-off of Libero and ITnet from Wind. A year later, at the helm of Libero Srl, he concludes the acquisition of Matrix form Telecom Italia: the “new” Italiaonline is born, the leading internet operator in Italy. In 2016 he leads the reverse merger of Italiaoline into Seat Pagine Gialle, consolidating the company’s leadership in the digital advertising market for large accounts and in the local marketing services, with the mission of digitizing Italy’s SMEs.

Gabriella Fabotti

Dr. Gabriella Fabotti serves as Chief Financial Officer, Financial Reporting Officer of ITALIAONLINE S.P.A. since January 12, 2017. Gabriella began her career in Ansaldo – Finmeccanica Group (1991- 1997). After she was Controller in Gillette Group Italy – Oral Care Division (1998-1999) and head of reporting and consolidated financial statements of Pirelli Cavi, she joined the Telecom Group where she served as Director of Administration, Control and Credit of the SEAT Group and subsequently as Chief Financial Officer of IT Telecom SpA. From 2004 to 2007 she was in Lottomatica Italia acting as Head of Administration and Control and later in Pierrel, a listed pharmaceutical company. In 2009 – 2010 she served as Restructuring Manager and CFO in the Socotherm Group, operating in the lining of the oil pipelines, then she moved to the Bialetti Group, with CFO functions. From 2012 to 2016 she was CFO & Corporate Director of Euticals Group, a pharmaceutical and chemical company controlled by Clessidra Sgr.

Carlo Meglio

Mr. Carlo Meglio serves as Chief Development and Innovation Officer - CEO MOQU Advertising at Italiaonline SpA. He began his career at Andersen Consulting (Accenture). In 2000 participates in the launch of e-Health, start-up founded by leading companies in the health care sector, as Head of Operations. In 2001 the entrance to Dada, where he serves as Operations Manager in the Marketing Services Division until 2005, and Customer Acquisition Director of Dada all products, business and consumer, until 2009, when, with the go live Peeplo.com, proprietary search engine, launches scalable advertising business unit. In 2010 the office opened in Dublin in October of 2012 and the birth of Moqu Group where he leads all activities of advertising and unit performance. He graduated in Mechanical Engineering.

Maurizio Mongardi

Dr. Maurizio Mongardi serves as Chief Operating Officer at Italiaonline SpA. He began his professional career in 1989 in IPSOA - Business School in charge of training plans for the management of enterprise. In 1992 he joined Sony in Italy as Head of Selection, Training and Development of Personnel, then in 1995 he moved to Cologne (Germany) at the Sony European Headquarters as Compensation & Benefits Manager. After two years he returned to Italy as Director of Human Resources for Sony in Italy while maintaining oversight of the Employee Benefits policy for the entire Sony group in Europe. In January 2000 he left Sony for the Italian multinational company Fila Sport (clothing & footwear), then part of HdP Group, where he works for four years as Vice President, Group HR & Organization. In 2004 he joined Gruppo De 'Longhi where for two and a half years is the Group HR & Organization Director. In 2006 he joined Wind Telecomunicazioni (initially Orascom Group and from 2011 part of the VimpelCom Group), as Director of Human Resources, where he worked for six years. From 2012 to 2016 in RCS MediaGroup S.p.A. as Director of Human Resources & Organization Group, for a year he also managed the area of Italian Operations. Currently he holds the position of Director in Dada S.p.A. He graduated in Business Administration from Universita Commerciale Luigi Bocconi in 1989.

Andrea Fascetti

Mr. Andrea Silva Fascetti serves as Chief Human Resource Officer at Italiaonlie SpA since January 2013. He began his career in 1991 at Andersen Consulting Spa (now Accenture), and then play the roles of organizational development for Axa Assicurazioni Spa and Spa Filasport. As part of the RCS Group, from 2004 to 2007 he served as Director of Human Resources and Organization in RCS Advertise Spa, from 2007 to 2011 as Director of Human Resources and Organization in Dada SpA and, in 2012, the role of Organization Director of RCS Mediagroup Spa. He graduated in Business Economics from Universita Bocconi in 1990.

Gianluca Pancaccini

Mr. Gianluca Pancaccini serves as Chief Technology Officer of ITALIAONLINE S.P.A. He comes from TIM S.p.A. where he served as Chief Information Officer, as well as Chairman and CEO of Telecom Italia Information Technology (TI.IT). His career began in 1985 as a consultant at UNESCO in Paris, until he entered Olivetti, where he became the head of the Laboratorio Multimedia di Pozzuoli. In 2000 he joined Wind ICT as he was appointed to CIO. Later (from 2008 to 2011) he has been Chief Operating Officer of the Operations Consortium MPS Group, which is entrusted with the ICT and the management of the back office of the Group. He graduated in Computer Science from Universita degli Studi di Pisa in 1985.

Fabrizio Manzi

Mr. Fabrizio Manzi serves as Chief Legal Officer of ITALIAONLINE S.P.A. He comes from UniCredit S.p.A., where he held the position of First Vice President – Head of Corporate Transactions Legal Support. Previously, Manzi has worked for many years as a lawyer at the law firm Gianni, Origoni, Grippo, Cappelli & Partners, in Rome, where he was in charge of numerous M & A operations and provided assistance to listed and non listed Italian and foreign companies, as well as to various international business banks. He was legal counsel at Merrill Lynch International in London and Rome and in Cementir Holding S.p.A. He graduated in Law from Universita degli Studi di Napoli Federico II.

Massimo Crotti

Mr. Massimo Crotti serves as Sales Director Large Accounts at Italiaonline SpA. He comes from Veesible, digital dealership of the Tiscali group, where he was CEO and general manager. In Tiscali he became the first entry in 2000, after a decade of experience in Publitalia. In 2006 he held the position of Country Manager in Italy Condé Nast Digital, then return to Tiscali in late 2009 as general manager of Tiscali Adv and, since 2012, taking the reins of Veesible. He graduated at the Universita Bocconi, Crotti was Audiweb board member, board member of Fedoweb and, from 2004 to 2008, President of FCP Assointernet.

Giorgia Camandona

Ms. Giorgia Camandona serves as Chief Communication Officer at Italiaonline SpA. She spent her teenage years in New York. Back in Italy, became a professional journalist in 2003. She has collaborated with the Republic D, A ("Anna"), Diary, Leiweb. Veteran Internet newsrooms, has entered Libero.it in 2000. Subsequently, senior editor. After the experience in Wind and the spin-off of Libero Srl, in 2012 the first role in communication and media relations. In February 2014 she was entrusted with the newly formed function Corporate Image and Communication. She care for the Group all external communication activities, internal, institutional and brands; media relations, the social profile management, events and media planning.

Andrea Chiapponi

Eng. Andrea Chiapponi serves as Chief Commercial Officer B.U. Large Accounts at Italiaonline SpA. He has a long consulting experience with McKinsey, Andrea Chiapponi comes from Google, where he held the strategic role of Head of Global Partnerships for Italy. Company to Mountain View Chiapponi came from The Real Face, the company he founded in services in the Web marketing where he was chairman and CEO. Previously, Chiapponi was managing director of the international group Noemalife and for four years, from 2007 to 2011, manager of the 24 Ore Group, where he was responsible for System 24, the advertising concessionaire of the entire group. He graduated in Management Engineering from Politecnico di Milano.

Angelo Jannone

Mr. Angelo Jannone serves as Chief Audit Executive at Italiaonline SpA since July 1, 2016. He is a former Colonel of the Carabinieri with extensive experience in the areas of security, audit and corporate compliance. Over the years spent in arming he has conducted important investigations Ndrangheta, Cosa Nostra, corruption, money laundering and drug trafficking, for which he received numerous awards. From 2004 to 2007 he held various executive positions in Telecom Italy. Subsequently, he was CEO of a company Consulting and more recently partners of the professional studio Fieldfisher. He is teacher at the Italian Association of Internal Audit and at the Italian Stock Exchange. He is author of numerous publications.

Ivan Ranza

Mr. Ivan Ranza serves as Chief Commercial Officer B.U. SME & Media Agency of ITALIAONLINE S.P.A. He held important roles in the main Italian editorial groups. In 24 Ore group he was General Manager Publishing from 2016 and General Manager of the advertising sales agency System 24 from 2014. He was Managing Director in Viacom Media Networks from 2008 and General Manager of the international branch in Rcs Mediagroup from 2006. From 2003 to 2006, he was Area Manager in SEAT Pagine Gialle and Sales Director of La7 (formerly SEAT group). Previously, he spent a long professional experience in Publitalia’80 (Fininvest group). He graduated in Economics from Universita Cattolica del Sacro Cuore, Milano.

Hasan Abdou

Eng. Hasan Mustafa Abdou serves as Director of ITALIAONLINE S.P.A. He is an experienced CEO, investor, operations manager, mentor and entrepreneur with over 25 years of work experience. He has successfully managed multi-billion dollar PE funds and small-scale startups. Having progressed through several careers including engineering, management consulting and PE fund management, Hassan is also involved in several not-for profit organizations and educational associations. He has a particular interest in helping bright young people shape ideas and bring them to market. From October 2017 he is Executive Chairman at Gemini Holding, an holding company of one of the wealthiest families in Egypt and globally which includes a diversified portfolio of assets in such areas as telecommunications, media, mining, real estate, technology, financial service and industry. From 2011 to 2017 he operated as Private equity and Financial Advisor, consulting on several initiatives spanning government, private and not for profit. From 2012 to February 2016 he held the role as CEO, Co-Founder & Vice Chairman at Macat.com, an online higher education company that teaches critical thinking to students, executive education and life long learners through an innovative content platform. From November 2003 to December 2010 he held the role as CEO at Gemini Technologies, Global private investment vehicle. Form July 2007 to December 2010 he held the role as CEO at Weather Investments II.

Pierre De Chillaz

Mr. Pierre De Chillaz serves as Director of ITALIAONLINE S.P.A. Pierre de Chillaz is a Partner and Head of European Investments at GoldenTree Asset Management and is a member of GoldenTree’s Distressed Committee. In addition, Mr. de Chillaz is a member of GoldenTree’s Executive Committee. GoldenTree has been investing in Europe for over 15 years and has had a local presence in Europe for over a decade: Mr. de Chillaz leadership over the last decade has contributed to significant growth of the firm’s presence and recognition in the European credit markets. In Europe, the firm is active across a broad array of opportunities including distressed, senior secured, structured products and special situations. Prior to joining GoldenTree, Mr. de Chillaz worked in investment banking for Bank of America Securities. Mr. de Chillaz earned his B.A. from Universite Paris Dauphine and received a Master’s degree in International Economics and Finance from Brandeis University.

Frederik Kooij

Mr. Frederik W. Kooij serves as Director of ITALIAONLINE S.P.A. Nearly 20 years investing experience in the Telecom and Media space spanning the buy and sell side across equity, credit and distressed debt. He is presently a Partner and Portfolio Manager at Digital World Capital (DWC), an alternative investment manager fund focussed on these two sectors. Immediately prior to DWC from 2007-2014, he was Head of Research for Leverage Finance at Bluebay Asset Management also focusing on distressed and special situations investments, including Seat Pagine Gialle. From 2005 to 2007, he was publishing analyst in High Yield in TMT for Credit Suisse’s leading Leverage Finance team, where his group was voted #1 in the Euromoney survey in 2004. Frederik Kooij began his career in Investment Banking at JP Morgan in 2000, before moving into an Equity Research role, covering the Media Sector. This team was voted #1 in the Institutional Investor Survey in 2002, and subsequently moved to Credit Suisse, where they repeated the feat in 2004. He also sits on the Supervisory Board of Euronews, the multilingual news media service, headquartered in Lyon. Fred holds an MA in PPE (Philosophy, Politics and Economics) from Oxford.

Onsi Sawiris

Eng. Onsi Naguib Sawiris serves as Director of ITALIAONLINE S.P.A. since October 8, 2015. He is Managing Partner and Co-Founder of HOF Capital, a company created to invest in emerging growth technology start-ups that have an international scope leveraging his expansive and diverse network in Egypt and the MENA region so to assist companies in expanding their global footprint. Onsi is also Director and Co-Founded Energal, a startup dedicated to the energy development thorugh renewable sources such as smart meters, solar power solutions across many verticals as well as hybrid power systems. Prior to that, he was working as an analyst at Arma Partners, an investment bank which specialises in seller-side M&A in the TMT sector. Onsi is a board member of Mach Music, Optij Solutions, World Capital Services and Voltaire Capital Holdings and obtained a Mechanical Engineering degree from the Massachusetts Institute of Technology.

Sophie Sursock

Mrs. Sophie Sursock serves as Director of ITALIAONLINE S.P.A. since September 9. 2015. Sophie is currently in charge of corporate finance in Accelero Capital, of which she is also one of Co-Founders. Prior to this position she was a Corporate Finance Manager at Orascom Telecom Holding (OTH) S.A.E/Weather Investments. Sophie was responsible for business planning and liquidity analysis throughout the Orascom Telecom and Weather groups. During this time, Sophie’s key roles were M&A transaction as well as overseeing debt and equity capital markets’ issues and liability management. Before joining OTH in 2007, Sophie held the position of Senior Analyst, M&A Transaction Service at Deloitte’s corporate finance division. She was part of the team handling financial advisory and due diligence for Private Equity and corporate clients. Preceding her position at Deloitte, Sophie was the Junior Project Manager at PrimeCorp Finance S.A. where she was involved in the structuring of a 100-million euro technology fund. Before joining PrimeCorp, Sophie also held the position of Junior Investment manager at Axa Investment. Sophie received a Bachelor in Business Administration and an M.Sc. in International Business from Paris Graduate School of Management (ESCP-EAP European School of Management Studies). In addition she successfully completed a student exchange program in Bangkok achieving a Certificate in the Management of Technology.

Arabella Caporello

Ms. Arabella Caporello serves as Independent Director of ITALIAONLINE S.P.A. She graduated in Economics, held the position of General Manager of the Municipality of Milan from August 2016 to April 2018. Directly reporting of the Mayor she has overseen all the administrative functions of the Municipality. From April 2014 to November 2015 she held the position of Senior Vice President – Head of the (i) Financial Institution sector and (ii) Services and Concession – at Investindustrial Advisors (Lugano) – Investindustrial Fund Manager (Private Equity) taking care, among the others, of the transfer of the Cogemat-Cogetech Group to SNAI S.p.A. company listed on the Milan stock exchange and operating in the Sports Betting and Gaming Machine sector. From June 2012 to March 2014 she held the position of Executive Assistant of the Management Board at Banca Popolare di Milano. Reporting directly to the Chief Executive Officer Arabella Caporello, among other transactions, coordinated the transformation of BPM into a joint-stock company and the relevant capital increase of € 500 million in 2014. From April 2016 to September 2016 she is a member of the Board of Directors of SEA S.p.A. – Milan Airports (office that became incompatible with the appointment as General Manager of the Municipality of Milan in August 2016). From July 2012 to March 2014 she is a member of the Board of Directors of Anima Holding S.p.A. and Anima SGR. From May 2013 to March 2014 she is a member of the Board of Directors of AEDES BPM SGR. Vittoria Giustiniani

Ms. Vittoria Giustiniani serves as Independent Director of ITALIAONLINE S.P.A. Admitted to the Milan Bar, partner of Bonelli Erede Law Firm in Milano, Vittoria Giustiniani has developed significant experiences in the field of Corporate law, M&A, Capital markets law, Corporate restructuring and insolvency proceedings and Extraordinary transactions. Vittoria Giustiniani assists public and private companies to access capital markets through IPOs and capital increases or in corporate restructuring and extraordinary operations (mergers, demergers, contributions in kind), in acquisitions, including through mergers, trade in holdings, public offerings, joint venture agreements and commercial agreements, debt restructuring transactions through recourse to instruments other than insolvency procedures, as provided for by bankruptcy law, and to further loans. Before joining Bonelli Erede Law Firm in 1995, joining also several internal Focus Team on insolvency and capital markets matters and becoming partner in 2000, Vittoria Giustiniani worked at the Law Firm of Professor Mario Casella. Ms. Cristina Finocchi Mahne serves as Independent Director of ITALIAONLINE S.P.A. since October 8, 2015. Business economist, Professor of Economics of Industrial and Banking Groups (Advanced Business Administration), on the faculty of the degree program in Advanced Economics, at the University of Rome La Sapienza; Professor of Corporate Governance at the Luiss Business School, on the faculty of the international MBA. Director and Chairman of the appointments and remuneration committee of Inwit (Borsa Italiana); Director and member of the control and risks committee, the appointments and remuneration committee and the related parties committee of the Trevi Group, (Borsa Italiana FTSE Mid Cap); Director and member of the control and risks committee and the related parties committee of the Banco Desio Group (Borsa Italiana); Director of Natuzzi (NYSE). Co-Presidente for Italy and member of the executive committee of WCD, international think tank on best practices in corporate governance. WCD counts over 3500 directors from throughout the world, including both executive and independent directors, sitting on over 7000 boards of listed companies, with an aggregate total market capitalization of USD 8,000 billion. Previously, she was a Member of the Management Committee, as Head of Investor Relations and Group Strategic Communications for important blue chip financial companies having market capitalization exceeding Euro 5 billion. She was also member of the board of directors of a strategic consultancy firm specialized in financial and corporate governance communications, from its listing on the Stock Exchange until 2013. She was a writer/creator and anchorwoman of Watchdog, the very first television program focusing on governance issues, which was on air from 2004 until 2012 on Class CNBC, the business and financial channel SKY 507.

Corrado Sciolla

Mr. Corrado Sciolla serves as Independent Director of ITALIAONLINE S.P.A. since October 8, 2015. Corrado held the office of Chairman of BT Continental Europe & Global Telecom Market between 2013 and 2017, company operating in over 40 countries and that employs more than 8,000 people. Previously, between 2011 and 2013, he held the office of Chairman and General Manager of BT France based in Paris; ICT company operating with almost all of the “CAC 40” companies, the main index of the French Stock Exchange. At the same time, and since March 2004 he also held the office of Managing Director of BT Italy (formerly Albacom), second operator “for turnover” of telecommunications services to companies in Italy, with offices in Milan and Rome, making a complete turnaround of the company and making it the biggest reality of BT outside UK. In 2001 he was appointed General Manager of Wind Telecomunicazioni, an office he held until 2003, with the responsibility to implement, through the joint leadership of Marketing (for fixed-line, mobile and internet), Sales (for the residential and business markets), Network, Customer Service and Information Systems departments, the Wind Telecomunicazioni strategy, managing more than 8,000 people.
