Name Description

Michael Tedesco

Mr. Michael A. Tedesco has been appointed as Independent Chairman of the Board of the Company. He was Independent Director of iPass Inc. He has served as a member of our Board of Directors since October 2014. Mr. Tedesco is the founder and Managing Member of Wellspring Growth Partners LLC, an investment firm that also provides capital raising, corporate development and strategic advisory services to growth companies in the technology and consumer products sectors, and has held that position since March 2015. From January 2011 until July 2014, Mr. Tedesco served as Head of US M&A and Global Technology M&A at Jefferies, a leading growth-oriented independent investment bank. Prior to Jefferies, from September 1994 until December 2010, Mr. Tedesco served in roles including head of Global Technology M&A and Co-Head of Americas Technology Banking at Citigroup and its predecessor Salomon Brothers. He is an investor in and advisor to a number of privately held software, consumer internet, eCommerce and enterprise technology businesses. He serves on the board of privately held GeoScale, a provider of software and technology solutions to the oil and gas discovery and production industry.

Gary Griffiths

Mr. Gary Alan Griffiths has been appointed as President, Chief Executive Officer, Director of Company., effective March 6 2015 Griffiths’ initiative is to drive Wi-Fi adoption in iPass’ Open Mobile applications to accelerate the company’s growth. He has been described as a natural leader with a strong operational background and a wealth of relevant experience. Previously a member of iPass’ Board of Directors, Griffiths was also co-founder and CEO of Trapit, Inc., a leading provider of SaaS-based applications for sales and marketing automation. A 35-year veteran of the high-tech industry, Griffiths has led some of the Web’s most innovative companies. He has held leadership positions at a number of large and prominent software companies. Prior to founding Trapit, he was president of products and operations at WebEx, acquired for $3B by Cisco Systems, Inc. Griffiths was also co-founder and Chief Executive Officer at Everdream Corporation, a SaaS company, from 1999 to 2005, as well as Chief Executive Officer at HEAT.net from 1996 until its acquisition by Sega, Inc. in 1999. In addition, Griffiths has extensive experience with overseeing financial and accounting matters and strategic initiatives at small technology companies. Griffiths currently serves on the board of directors of Silicon Graphics International Corp., (NASDAQ: SGI), and Janrain, Inc., a customer identity management SaaS company. Griffiths holds a bachelor’s degree in aerospace engineering from the US Naval Academy, as well as a Masters of Science in business administration from the George Washington University School of Business.

Darin Vickery

Mr. Darin R. Vickery is Chief Financial Officer, Vice President of the company. since June 1, 2015 . He has over 25 years of experience in the accounting and financial industries, Darin Vickery brings a vast array of public and private-sector expertise to his new position at iPass. Previously serving as the company’s Corporate Controller and Principal Accounting Officer, he provides iPass with an indispensable skill set to guide the financial health of a robust, leading-edge technology concern. Prior to iPass, Vickery spent a decade in Silicon Valley, where he consulted for a variety of public companies. Assisting in the implementation of Sarbanes Oxley compliance programs, supplying outsourced internal audit and financial reporting services, and backfilling interim finance and accounting roles, he was instrumental in maintaining the finances of several major firms. Vickerey began his career with the San Francisco branch of PricewaterhouseCoopers in San Francisco. While at PwC, he audited both large and medium-sized technology and energy companies, conducted forensic and fraud investigations in litigation support capacities, and led internal audit teams. Vickery holds a Bachelor of Arts degree in Economics from the University of Colorado, as well as an MBA in Finance from the University of Texas. He is a CPA (inactive) in the state of California.

Rajani Kolli

Mr. Rajani Kolli is Vice President - Global Cloud Operations of iPass Inc. He is responsible for designing, building and operating the infrastructure leads the world’s largest commercial-grade Wi-Fi networks with over 20 million Wi-Fi venues, as well as the engineering systems required for automating and optimizing the processes associated with the planning and management of the cloud infrastructure. He has over 18 years of experience focused on developing, deploying, managing and optimizing the delivery of cloud services from global data centers for some of the industry’s leading companies, including Saba, Cisco and WebEx. As Vice President of Cloud service at Saba, he deployed and managed systems and network services for over 8 global locations and led the several customer access and service initiatives. As Senior Director technical operations at Cisco, he led worldwide operations and product designs and re-engineered global collaborations operations to yield over $15 million annual cost savings. At WebEx he oversaw the operations engineering of its low latency communications network for audio and Video. Rajani has also served in a variety of technology and management positions at Simens, KCP sugars. Rajani holds a B.Tech in Electrical engineering from Nagarjuna University, Vijayawada, India. Also done executive management course from Cisco.

Keith Waldorf

Mr. Keith Waldorf is Vice President - Engineering of the company. Since 2015 and drives key elements of the company’s overall technical vision, strategic projects and initiatives addressing growing global mobility and cloud opportunities. Mr. Waldorf leads the engineering teams to deliver the entire suite of iPass products and services. His team also researches technologies in support of new product initiatives. Previously he served as vice president of platform engineering at iPass where he lead the development of several key technologies to enable the iPass Unlimited and HP / iPass Global WiFi product solutions. Mr. Waldorf joined iPass in 2013, with over 20 years of engineering experience. Before iPass, he served as a CTO and vice president of engineering at SkyPop, a provider of consumer loyalty program technology. Prior to SkyPop, Mr. Waldorf was CTO and vice president of engineering at DrDispense, a provider of SaaS pharmacy platform solutions. In 2003, Mr. Waldorf was co-founder and CTO at Captus Networks, an Internet security company. He also spent several years as a software engineer for MCI/Verizon, Pacific Gas & Electric, and Cisco Systems where he was awarded patents for his work.

Patricia Hume

Ms. Patricia R. Hume is Chief Commercial Officer of iPass, Inc. She is tasked with leading the global teams responsible for all customer-facing activities, including sales, marketing, business development, services, and support across the entire product portfolio. Patricia has a history of forging lasting working relationships with staff and contributing passion, accountability and exceptional vision to her team. A dynamic and energetic executive with 35 years of technology experience, Patricia has led several large sales, marketing, and business development operations, including President of Trapit, Inc., from 2013 to 2015. In addition, she was Chief Revenue Officer at Convio, acquired by Blackbaud, Senior Vice President of Global Indirect Channels at SAP AG, Group Vice President of Avaya’s, SMB Division, and CEO/President of VerticalNet Markets. She also held numerous senior management positions during her 17-year service with IBM and Lotus until 1999. Hume holds a Bachelor of Science degree in Economics from the University of Scranton.

Mr. Michael Minhall Chang is Independent Director of Ipass Inc. Since 2012, Mr. Chang has served as CEO of YesVideo, the leading cloud platform for preserving and sharing family memories. Mr. Chang is responsible for defining the company's market vision and leading his team to continued success by creating innovative products and services for the millions of consumers that YesVideo serves. Named one of America's Most Promising Companies by Forbes in 2014, YesVideo is the leader in photo and video digitization, and handles all orders for Costco, Walmart, Sam's Club, Target, and CVS. Under Mr. Chang's leadership, the company has created a new business unit, Legacy Republic, the first mission-driven marketplace for memories. In 2004, Mr. Chang founded Greystripe, which became the leading mobile advertising platform that provides smarter mobile solutions through full-screen ad formats, world-class data and proprietary cross-device targeting capabilities. At Greystripe, Mr. Chang developed relationships with hundreds of brands, including Wrigley, Unilever, Burger King, Yahoo!, and Buick, as well as advertising agencies such as AKQA, Starcom MediaVest, DraftFCB, Razorfish and McCann. In 2011, Mr. Chang negotiated a deal with Valueclick that led to a $70 million acquisition of Greystripe. Prior to Greystripe, Mr. Chang served as an Associate at Incubic Venture Capital, where he was responsible for investments in Internet and software companies.

David Panos

Mr. David E. Panos is Independent Director of Ipass Inc. Since August, 2014, He has served as a member of our Board of Directors since April 2015. Since August, 2014, Mr. Panos has served as a consultant to and Chairman of the Board of Directors of Rightside Group, a publicly traded domain name services company. From January 2014 until August, 2014, Mr. Panos served as a consultant to Demand Media, and between 2008 and December 2013, Mr. Panos served in several senior roles with Demand Media, including Executive Vice President, Emerging Markets, Chief Strategy Officer and Chief Marketing Officer. An entrepreneur with 25 years of internet, software and SaaS company experience, Mr. Panos co-founded and previously served as Chief Executive Officer of Pluck Corporation, a white label social media community platform, from 2003 until it’s acquisition in 2008 by Demand Media. Before starting Pluck Corporation, Mr. Panos was a Venture Partner at Austin Ventures from 2001 to 2003.

Damien Park

Mr. Damien J. Park has been appointed as Independent Director of the Company. He was Chairman of the Board of Ipass Inc. He has served as a member of our Board of Directors and as our Chairman since May 2015. Mr. Park has served as the Managing Partner of Hedge Fund Solutions LLC, a consulting firm focused on public-company engagements with shareholders on issues relating to operational improvements and corporate governance, since its formation in 2004. Mr. Park has also served as the President and CEO of Hibernian Partners, Inc., a management consulting firm, since 1998. Mr. Park has also served as a director of Deer Valley Corporation, a manufacturer of factory built homes, since September 2014. In addition, Mr. Park is the Co-Chairman of The Conference Board’s Expert Committee on Shareholder Activism, and he is often quoted in leading media outlets, and frequently speaks at top business schools and professional conferences contributing his perspective on issues regarding hedge fund activism, corporate governance reform, effective stakeholder communications and shareholder value improvement initiatives. He also is a founding board member of Nightlight Foundation, LLC, a non-profit organization designed to support individuals with autism through affordable, supervised residential living. Mr. Park earned a B.S. from Delaware Valley College and his MBA from Trinity College in Dublin, Ireland.

Justin Spencer

Mr. Justin R. Spencer is Independent Director of the Company. Mr. Spencer is the Executive Vice President and Chief Financial Officer of Vocera Communications and has a proven track record of excelling in technology companies with both hardware and software products as well as building trusted partnerships with boards, sell-side analysts, and investors. Prior to Vocera, Mr. Spencer was Chief Financial Officer at Symmetricom Inc. and Covad Communications Group Inc.
