Name Description

Thomas Burke

Mr. Thomas A. Burke is President, Chief Executive Officer, Director of Modine Manufacturing Company. Mr. Burke joined Modine in May 2005 as Executive Vice President and subsequently served as Executive Vice President and Chief Operating Officer (July 2006 – March 2008). Prior to joining Modine, Mr. Burke worked for five years in various management positions with Visteon Corporation, a leading supplier of parts and systems to automotive manufacturers, including as Vice President of North American Operations (2002 – May 2005) and Vice President, European and South American Operations (2001 – 2002). Prior to working at Visteon Corporation, Mr. Burke worked in positions of increasing responsibility at Ford Motor Company.

Michael Lucareli

Mr. Michael B. Lucareli is a Chief Financial Officer, Vice President - Finance of Modine Manufacturing Company. Prior to joining Modine, Mr. Marry held positions at General Motors, Robert Bosch and Milwaukee Electric Tool.

Scott Wollenberg

Mr. Scott D. Wollenberg is a Vice President and Chief Technology Officer of Modine Manufacturing Company. (July 2012 – Present); Chief Technology Officer (July 2011 – May 2013); Vice President – Global Research and Engineering (May 2010 – June 2011). In addition, from 1992 through 2010, Mr. Wollenberg held various engineering and product management positions at the Company. Prior to joining the Company in 1992, Mr. Wollenberg was in the co-operative engineering program at Harrison Radiator, a division of General Motors.

Sylvia Stein

Ms. Sylvia Ann Stein is Vice President, General Counsel and Corporate Secretary of the Modine Manufacturing Co. Ms. Stein joins Modine with 25 years of experience in the legal field. Most recently, she was the Associate General Counsel, Marketing & Regulatory at The Kraft Heinz Company inChicago, IL, where she led the legal team for the U.S. retail business units, food regulatory, marketing services and data privacy functions. She received her undergraduate degree from Northwestern University and her law degree from the University of Michigan Law School.

Brian Agen

Mr. Brian J. Agen was named Vice President, Human Resources of the Modine Manufacturing Co in October, 2012. In this capacity, he is responsible for leading Modine's global human resources function. Mr. Agen joined Modine in 1996, and has progressed through a series of increasingly responsible Human Resources roles including Plant Human Resources Manager; Divisional Employee Relations Manager; Director - Human Resources; and most recently, Director - Global Human Resources and Organizational Development. Mr. Agen received a bachelor's degree in Organizational Communications from the University of Wisconsin - Eau Claire, and a MBA from the Keller Graduate School of Management. He is a member of the United Way of Racine County Community Investment Committee.

Mr. Dennis P. Appel is Vice President - Commercial and Industrial Solutions of the Modine Manufacturing Co. Prior to joining Modine, Mr. Appel held a variety of leadership positions with Luvata HTS in the U.S., Europe and Asia, including most recently, President of Luvata HTS.

Scott Bowser

Mr. Scott L. Bowser is re designed as Chief Operating Officer, Vice President of the company effective January 1, 2019. He is no longer Vice President - Global Operations of Modine Manufacturing Company effective January 1, 2019. He was Regional Vice President – Americas (March 2009 – July 2012); Managing Director – Modine Brazil (April 2006 – March 2009); General Sales Manager – Truck Division (January 2002 – March 2006); Plant Manager at the Company’s Pemberville, OH plant (1998 – 2001). Prior to joining Modine, Mr. Bowser held positions at The Pierce Company.

Joel Casterton

Mr. Joel Casterton is Vice President - Vehicular Thermal Solutions of the Modine Manufacturing Co. Casterton has a Bachelor of Science Degree in Industrial & Manufacturing Engineering from Iowa State University. He joined Modine in 2005, and during his tenure with the company has held a variety of leadership roles including Engineering Manager - EPG, Engineering Director - EPG, North America Sales Director, Engineering Director -Asia, and, most recently Director - Global Program Management & Quality. Prior to Modine, Casterton was with Ford Motor Co. and Visteon Corp. for 10 years where he held positions in Process Development, Program Management, and Product Development.

Matthew Mcburney

Mr. Matthew J. Mcburney is Vice President, Strategic Planning and Development of Modine Manufacturing Company. Director, Commercial Products Group (CPG) – North America (June 2007 – May 2011); Business and Product Development Manager – CPG (November 2006 – June 2007); Business Development Manager – CPG (May 2006 – October 2006); Plant Superintendent at the Company’s Richland, SC plant (November 2003 – May 2006); Program Manager - Automotive (March 2000 – November 2003). In addition, from 1992 through 2000, Mr. McBurney held various engineering positions at the Company. Prior to joining Modine, Mr. McBurney was a Production Manager for Avenue International Radiator, Inc.

Mr. Scott A. Miller is Vice President - Building HVAC of the Modine Manufacturing Co. previously Managing Director – Global Operations for the Company and Operations Director of the Building HVAC and North America business units for the Company.

Ms. Marsha C. Williams is Lead Independent Director of Modine Manufacturing Company. Ms. Williams retired as Senior Vice President and Chief Financial Officer of Orbitz Worldwide, Inc., an online travel company (July 2007 - December 2010). Prior to joining Orbitz Worldwide, Inc., Ms. Williams was Executive Vice President and Chief Financial Officer (2002 – February 2007) of Equity Office Properties Trust, a real estate investment trust. Prior to that time, Ms. Williams was Chief Administrative Officer of Crate and Barrel and served as Vice President and Treasurer of Amoco Corporation; Vice President and Treasurer of Carson Pirie Scott & Company; and Vice President of The First National Bank of Chicago.

David Anderson

Mr. David J. Anderson is Independent Director of Modine Manufacturing Company. Mr. Anderson retired as President and Chief Executive Officer of Sauer-Danfoss Inc., a worldwide leader in the design, manufacture and sale of engineered hydraulic, electric and electronic systems and components. Mr. Anderson served in this capacity and as a director of Sauer-Danfoss Inc. from 2002 until his retirement in 2009. Prior to that time, he served in various senior leadership positions in strategic planning, business development and sales and marketing.

David Bills

Mr. David G. Bills is Independent Director of the Modine Manufacturing Co. Mr. Bills served as Senior Vice President – Corporate Strategy of DuPont, a science-based products and services company, from 2009 until his retirement in 2016. Mr. Bills joined DuPont in 2001 as Vice-President – Corporate Planning, and during his time at DuPont he also served as Vice President and General Manager—Displays, Vice President and General Manager – Fluoroproducts, and Chief Marketing and Sales Officer. Before joining DuPont, Mr. Bills was a partner with McKinsey & Company, Inc., a Chicago-based corporate advisory firm, where he worked with senior executives of Fortune 500 companies on corporate and business unit strategy, growth programs, business development, and marketing and sales strategies.

Charles Cooley

Mr. Charles P. Cooley is Independent Director of Modine Manufacturing Company. Mr. Cooley retired as Senior Vice President and Chief Financial Officer of The Lubrizol Corporation, a specialty chemical company (April 2009 – September 2011). Mr. Cooley joined The Lubrizol Corporation as Vice President, Treasurer and Chief Financial Officer (April 1998 – July 2005) and subsequently served as its Senior Vice President, Treasurer and Chief Financial Officer (July 2005 – April 2009). Prior to joining The Lubrizol Corporation, Mr. Cooley was Assistant Treasurer of Corporate Finance, Atlantic Richfield Company (ARCO) and Vice President, Finance, ARCO Products Company.

Suresh Garimella

Dr. Suresh V. Garimella is Independent Director of Modine Manufacturing Company. Dr. Garimella has served as a professor of Mechanical Engineering at Purdue University since 2002 and has also served as a professor of Mechanical Engineering at the University of California at Berkeley; University of Wisconsin-Milwaukee; The University of New South Wales, Sydney, Australia; Xi’an JiaoTong University, Xi’an, China; and Technical University of Darmstadt, Germany. Dr. Garimella received his Bachelor of Technology in Mechanical Engineering from Indian Institute of Technology, Madras, India; his M.S. in Mechanical Engineering from The Ohio State University; and his Ph.D. in Mechanical Engineering from the University of California at Berkley.

Larry Moore

Mr. Larry O. Moore is Independent Director of Modine Manufacturing Company. Mr. Moore retired as Senior Vice President, Module Centers & Operations of Pratt & Whitney, a division of United Technologies and a manufacturer of aircraft engines. Mr. Moore served in this capacity from 2002 until his retirement in 2009. Immediately prior to joining Pratt & Whitney, Mr. Moore served in various management positions with Cummins and Ford Motor Company.

Christopher Patterson

Mr. Christopher W. Patterson is Independent Director of Modine Manufacturing Company. Mr. Patterson retired as President and Chief Executive Officer of Daimler Trucks North America LLC, a leading producer of heavy-duty and medium-duty trucks and specialized commercial vehicles in North America. Mr. Patterson served in this capacity from 2005 until his retirement in 2009. Prior to this, he held senior positions, including as Senior Vice President, Service & Parts, with Freightliner LLC (predecessor to Daimler Trucks North America), and other international, commercial truck producers.

Christine Yan

Ms. Christine Y. Yan is Independent Director of Modine Manufacturing Company. She is Vice President of Integration, Stanley Black & Decker, Inc., a diversified global provider of power and hand tools, Engineered Fastening Systems for Automotive and other industries, and Electronic Security and Monitoring Systems (since January 2018). Prior to her current role, Ms. Yan held a variety of positions with Stanley Black & Decker, including President of Asia, Stanley Black & Decker, Inc., President of Storage and Workspace Systems, integration leader of Stanley Engineered Fastening Group, President of the Americas business of Stanley Engineered Fastening, and President of Stanley Engineered Fastening’s Global Automotive business.
