Name Description

Marina Berlusconi

Ms. Marina Elvira Berlusconi serves as Executive Chairman of the Board of Arnoldo Mondadori Editore SpA since February 2003. She is also the Chairman of Fininvest, a Member of the Boards of Directors of Mediaset and, since October 2008, of Mediobanca. She began working in the Company's Group at an early age, and, from the beginning, she has been involved in corporate management, business and financial development strategies. In July 1996, she was appointed Deputy Chairman of Fininvest, a position she held until October 2005.

Ernesto Mauri

Dr. Ernesto Mauri serves as Chief Executive Officer, Executive Director of Arnoldo Mondadori Editore SpA. Previously, he was Chief Executive Officer, General Manager of Mondadori France, Chairman of the Board of Mondadori France, General Manager of Mondadori Magazines, CEO and Chairman of Mondadori Pubblicita SpA at Arnoldo Mondadori Editore SpA since October 14, 2013. He has been Chief Executive Officer, General Manager of Mondadori France, Chairman of the Board of Mondadori France, General Manager of Mondadori Magazines at the Company since March 20, 2013. He was appointed Chief Executive Officer on March 20, 2013, General Manager of Mondadori Magazines on November 5, 2012 and has served as General Manager of Mondadori France since July 2007 and as Chairman of the Board of Mondadori France since August 2008. After starting his professional life as Auditor, he moved into publishing in 1975 with Rusconi, where he was appointed General Manager in 1980. In 1991, he joined Mondadori as General Manager of the magazine Division. In 2000, he moved to the Telecom Group where he was Managing Director of the TV channel La7. In July 2003, he joined the Cairo Communications Group as Chief Executive of Giorgio Mondadori Editore and Cairo Editore. He came back to the Company in July 2007 as General Manager of Mondadori France. He holds a degree in Economics and Business Administration.

Oddone Pozzi

Mr. Oddone Maria Pozzi serves as Chief Financial Officer, Group Director of Finance - Procurement and IT System, Executive Director at Arnoldo Mondadori Editore SpA since June 17, 2014. He accrued his professional experience in national and international companies: in NCR Italia from 1989 to 1998 he held the office of Head of Administration Italy and from 1998 to 2000 he was Group Head of Administration at Sisal Group. From 2000 to 2002 he was appointed Group Head of Administration, Planning & Control and IT for Camuzzi Group and from 2002 to 2004 he worked for Enel Gas, where he held the office of Head of Administration, Planning & Control, Real Estate and IT. Carlo Mandelli

Mr. Carlo Luigi Mandelli serves as General Manager - Magazines Italy, Chairman and CEO of Mondadori International Business S.r.l., and Chairman of Press-di Abbonamenti S.p.A., Chairman of Press-di Distribuzione e stampa S.r.l. of the Company. He General Manager - Magazines Italy, Chairman and CEO of Mondadori International Business S.r.l., and Chairman of Press-di Abbonamenti S.p.A., Chairman of Press-di Distribuzione e stampa S.r.l. He has been a Director of FIEG (Federazione italiani editori giornali, the Italian newspaper and magazine publishers association), since December 2012 and is currently responsible for product protection. Since May 2016 he has been Chairman of ADS (Accertamenti Diffusione Stampa, the Italian association that supplies statistics about circulation of newspapers and magazines). He joins the Mondadori Group in 1990, where he acquires extensive experience in the magazine and internet activities sector. In particular, from 1997 to 1999, he is Controller of the Magazines Division, later becoming General Manager and Board Member of Mondadori.com in 2000. He also covers the role of publisher of Men’s Lifestyle, Car and Technology Magazines from 2002 to 2004, after which he is appointed Business Unit Director for up market and interiors magazines. Carmine Perna

Mr. Carmine Perna serves as Managing Director of Mondadori France, General Manager of Mondadori France and Chairman of Mondadori Magazines France at Arnoldo Mondadori Editore SpA. He has been General Manager of Mondadori France and Chairman of Mondadori Magazines France since March 2013. Since August 2013, he has been a member of the Board of Directors of Presstalis, France’s leading press distribution company. After graduating from Milan’s Bocconi University with a degree in Business Administration, he acquires significant experience in the administration and finance fields. Between 1999 and 2001, he works in the SISAL Group with various positions in the administrative, tax and financial fields. He later becomes Tax Director at H3G S.p.A. (until 2004), before joining the Ventaglio Group as Group Finance Director (2004-2006). In 2006, he joints the Administration, Finance and Control Department of Mondadori. The next year, he becomes Chief Financial Officer of subsidiary Mondadori France, subsequently extending his responsibilities to the management of industrial operations (2009). In 2010, he is appointed Executive Director of Finance and Operations, and in 2012 he also takes on the role of Editorial Director of the Auto Magazines Division and General Manager of Emas Digital.

Antonio Porro

Mr. Antonio Porro serves as Deputy Chairman and Managing Director of Mondadori Libri S.p.A., Manager of Educational Books of the Company. He has been Deputy Chairman and Managing Director of Mondadori Libri S.p.A. since February 2015. He has also been Chairman and CEO of Mondadori Education S.p.A. and Mondadori Electa S.p.A. since June 2011, as well as being Managing Director of Education and International Illustrated Books areas of Rizzoli Libri S.p.A. and Chairman of Rizzoli International Publications Inc.since September 2016. Of Milanese origin, He earned his Degree in Economics and Business Administration of Milan’s Cattolica University. He begins his career in Mondadori in the early 1990’s as Head of Development Projects. He subsequently joins Telecom Italia for ten years: from 1995 in the Business Division, and from 2001 in the International Division, with positions of growing responsibility. In January 2009, he returns to Mondadori as Head of Mergers & Acquisitions for the Group and in 2011 is appointed General Manager of the Educational area.

Enrico Selva Codde

Mr. Enrico Selva Codde serves as Manager of Trade Books, Managing Director of Mondadori Libri S.p.A. Trade Area of the Company. He has been Managing Director of the Trade area of Mondadori Libri S.p.A. since January 2015; he is also Managing Director of Giulio Einaudi Editore S.p.A., and, since September 2016, Managing Director of the Trade area of Rizzoli Libri S.p.A. Since July 2014, he has been Vice President of FIEG (Federazione italiani editori giornali, the Italian newspaper and magazine publishers’ association) and President of the Large-Scale Magazines Division. In January 2015, he joins the President’s Committee of Associazione Italiana Editori, the Italian publishers’ association. In February 2015, he was appointed member of the Board of Directors and of the Council of Supporting Members of Fondazione Arnoldo e Alberto Mondadori. Enrico Selva Coddè holds two degrees, one in Engineering and the other in Philosophy. He begins his career in Olivetti in 1987, where he works in planning and logistics until 1991, year in which he joins Mondadori. Until 1999, he works in the Segrate Selva Group as Head of Human Resources in the Direct Marketing, Advertising and Magazines sectors. From 1999 to 2002, he is Head of Operations at Rizzoli Newspapers. In 2002, Selva takes on the role of General Manager of Giulio Einaudi Editore, before being appointed Chief Executive Officer from 2003 to 2008, year in which he is appointed Director of Human Resources, Organisation and Technology Systems for the Mondadori Group.

In 2002, he obtained the title of Cavaliere del Lavoro. He has also been Extraordinary Commissioner of the Ciro-Del Monte Group, Chairman of the American Chamber of Commerce in Italy, Member of the Aspen Institute in Italy, Non-Executive Director of Lancome-L'Oreal, Versace SpA, Rizzoli RCS, UPA and Chairman of Kenwood Electronics SpA. In 1976, he became Partner at Egon Zehnder, where he remained for 15 years, first taking over responsibility for the Italian office and then also of worldwide mergers and acquisitions. In 1995, he was appointed Chairman and Chief Executive Officer of McDonald's Italia. He graduated in Business Economics from the Universita Commerciale Luigi Bocconi in 1969.

Daniele Sacco

Mr. Daniele Sacco serves as Group Director - Human Resources and Organization of Arnoldo Mondadori Editore S.p.A. He has been Group HR and Organisation Director of Mondadori since January 2017. Sacco earned a degree in political science at the Università Cattolica in 1986. He started his professional career at HP Italiana S.p.A. as HR coordinator (1986-1990). Following a stint at Cedborsa S.p.A. (1990-1993) as HR and Organization Director, in 1993 he returned to HP, holding increasing responsibilities until becoming HR Director of Hardcopy Division and HP Italy (1994-1997). From 1997 to 2004, Sacco worked with the Kraft Food Group, initially as HR Director of Kraft Jacobs Suchard Italia S.p.A. (1997-1999), then as Management and Organizational Development Director E.U. Region at Kraft Food International. From 2004 to 2011, he held positions of increasing responsibility at Ferrero International, becoming Director HR and Organization Global Commercial, reporting directly to the CEO, and board member of various group companies (2010-2011). From 2011 to 2016 he was at Rio Tinto, until 2013 as Vice President HR Diamonds and Minerals, then as Chief Operating Officer HR.

Federico Angrisano

Mr. Federico Angrisano is Director of Communications and Media Relations at Arnoldo Mondadori Editore SpA since June 2013. In 1997 he joined the Communication Department of McDonald's Italia, where he was involved, among other things, in external relations, the press office and internal communications. In 2000 he joined Pirelli’s External Relations Department. He joined Mondadori in September 2002 managing press relations, before being appointed, in 2005, as head of institutional communications. Mr. Angrisano is also a director of FIEG (Federazione Italiana Editori Giornali) the Italian newspaper and magazine publishers association, a director of the publishing and media group of Assolombarda and a member of the board of Mediafriends. He graduated in Political Science from Universita degli Studi di Milano.

Pierluigi Bernasconi

Mr. Pierluigi Bernasconi serves as Managing Director of Mondadori Retail S.p.A. of the Company. He has been managing director of Mondadori Retail S.p.A. since June 2017. After ten years at Hitachi, holding increasing responsibilities until becoming director of the audio-video division, in 1989 Pierluigi Bernasconi founded Mediamarket S.p.A., the consumer electronics chain, which operates in Italy under the Media World, Saturn and Media World Compra On Line brands; appointed CEO, in 1991 he opened the first Media World store in Curno. From 2013 to 2015, he was CEO of the Mercatone Uno Group, leading distributor in Italy of furniture, accessories, household products and jewellery. In 2016 he was appointed Chairman and director of B-Retail, a strategic advisory firm in the distribution field. Subsequently was appointed vice president of Iper Montebello S.p.A., the company which manages the chain IPER La grande I. Since 2016, he has been board member of ePRICE. In 2010, he received the honour of “Cavaliere del Lavoro”.

Cristina Rossello

Ms. Cristina Rossello serves as Non-Executive Lead Independent Director of Arnoldo Mondadori Editore SpA since November 2016. She was Non-Executive Independent Director of Arnoldo Mondadori Editore SpA from April 19, 2012. She is Member of the Audit Committee at the Company. She is Lawyer operating at the Supreme Court level, specialized in commercial, banking and securities law, with offices in Milan, Rome and Brussels. She has added to her activities the role of Legal Adviser. She conducts litigation and is Member of arbitration bodies. During her career, she spent 10 years specializing in the television rights. In addition, she teaches a course for specialists in Sports Law and Sports Justice at the University of Milan. She is Author of books and publications in reviews and journals on civil and commercial law, business practice and in financial newspapers. She is Consultant in the fields of civil, commercial, corporate and sports law for commissions set up by the Senate and Lower House. She is also Secretary of the Shareholders’ Agreement of Mediobanca SpA. She is Chairman of the Board of Directors of Ni.Co. New Investments Company SpA, Centro Studi Fratelli Branca Srl and Branca Investment Srl, Member of the Board of Directors at Fiumi Uniti Agricola Fiduciaria SpA, Carpano Srl, Branca Real Estate Srl, Fratelli Branca Distillerie Srl and Branca International SpA. She gained a degree in Law from the Universita degli Studi di Genova.

Paolo Ainio

Mr. Paolo Guglielmo Luigi Ainio serves as Non-Executive Director of Arnoldo Mondadori Editore S.p.A. since July 28, 2016. He begins his career in 1981 at his father’s company, Centro Media, the first media company on the Italian market. In 1993, he leaves the advertising world to spend time in the United States, where he sees the birth of the Internet. In 1995, he founds Matrix, within which Virgilio is created, the first and most important Italian portal. He is member of the Board of Directors of Seat pagine Gialle S.p.A. from 1997 to 2002 and of Lottomatica S.p.A. from 2002 to 2007. In 2007, he founds Banzai, first Italian e-commerce operator with the brands ePrice and Saldiprivati, of which he is executive chairman. Paolo Ainio has been non-executive director of the Board of Directors of Arnoldo Mondadori Editore S.p.A. since July 2016. He is also Chairman of Im3D S.p.A., company that works on the development and management of innovative high-tech solutions in medical imaging for the prevention of tumours.

Pier Silvio Berlusconi

Mr. Pier Silvio Berlusconi serves as Non-Executive Director of Arnoldo Mondadori Editore SpA. He begins his professional experience in 1992 in the marketing department of Publitalia, subsequently moving to the Italia 1 television network. In November 1996, he becomes Head of Coordination of Programmes/Scheduling of the Mediaset networks. In 1999, he is appointed Deputy General Manager of Content at R.T.I. Since April 2000, he has been Vice Chairman of the Mediaset Group, as well as Chairman and CEO of R.T.I. Member of the Board of Directors of Arnoldo Mondadori Editore S.p.A. since May 1994. Francesco Curro

Mr. Francesco Curro serves as Non-Executive Director of the Company. After studying political science he began working as a journalist at Ansa. A professional journalist since 1978, he works in various newspapers and periodicals as a columnist, special correspondent and chief editor for economics and finance. From 1990 to 1997 he held top positions in the Mondadori Group’s titles Fortune Italia, Epoca and Panorama. In 1997 he joined Fininvest S.p.A. as head of the Special Communication Initiatives; in 2003 he became head of the Communication Department. Member of the Board of Directors of Arnoldo Mondadori Editore S.p.A. since April 2018. Director of Class CNBC S.p.A., Currò represents Fininvest S.p.A. in the Media, communication and entertainment group of Assolombarda.

Danilo Pellegrino

Mr. Danilo Pellegrino serves as Non-Executive Director of Arnoldo Mondadori Editore SpA since February 28, 2013. He is Chief Executive Officer of Fininvest S.p.A. During his studies in economics and business administration at Cattolica University in Milan, in 1975 he joins Magneti Marelli S.p.A., company of the Fiat Group in which he covers a number of positions, from Manager of Administration to Head of Management Control. In 1988, he joins Fininvest S.p.A., first as head of Budget and Reporting, from 1999 as Head of Administration, Planning and Control and from 2003 until 2016 as General Manager. He is Chairman of Poli e Associati S.p.A., company active in the sector of corporate finance, mergers & acquisitions, and corporate restructuring. Professor of corporate finance at Milan’s Cattolica University from 1966 to 1998, Roberto Poli is a consultant for leading public and private Italian groups, international groups and some of the most important Italian entrepreneurial families. Poli is member of the Boards of Directors of Fininvest S.p.A., COESIA, Ospedale San Raffaele e CGT, and chairman of Istituto Ortopedico Galeazzi.

Elena Biffi

Ms. Elena Biffi serves as Non-Executive Independent Director of the Company. After graduating in political economy from Bocconi University, from 1991 to 1998 she worked for the G. Ottaviani actuarial firm in the non-life and life insurance, pension and health funds and insurance company balance sheet certification sectors. On behalf of Shandwick Corporate Communication, she provides advice on Investor relations to listed companies (2000 – 2001). At the same time, since 1995 she has been teaching actuarial mathematics (Università Cattolica of Milan), risk management (Università La Sapienza of Rome, Master in financial management) and actuarial technique of life insurance (Università Cattolica of Milan). Biffi is an independent director of FinecoBank (with the positions of chairman of the Appointments and Sustainability Committee and member of the Remuneration Committee) and liquidator of La Concordia S.p.A. in LCA.

Martina Forneron Mondadori

Ms. Martina Forneron Mondadori serves as Non-Executive Independent Director of Arnoldo Mondadori Editore SpA since 2003. She is graduates in Philosophy from the University of Milan with honours. Founder and Chairperson, since 2006, of Memoria, cultural marketing company committed in the literature, art and design sectors. First-born daughter of Leonardo Mondadori, she is the fourth generation of the dynasty and has been a member of the Board of Directors of the publishing house founded by Arnoldo Mondadori since 2003.

Patrizia Michela Giangualano

Ms. Patrizia Michela Giangualano serves as Non-Executive Independent Director of the Company. She graduated in Economics and Business at Bocconi University and obtained a Master’s Degree in Tax Law at the same university. After an initial experience in Montedison’s Strategy direction as a business analyst, in 1986 she joined IBM, where she remained until 1998 with increasing responsibilities, from marketing manager to general manager and board member. Senior manager in financial services at Ernst & Young (1998-1999), from 2000 to 2005 she worked for A.T.Kearney as a consultant to major national companies in various transformation and development processes. Giangualano joined Capgemini in 2005 as Head of Banking and Retail Supply Coordinator and Vice President. From 2007 to 2016 she was an associate partner of PwC, and since 2010 she has been the contact person for the Governance, risk and compliance area. Member of the Board of Directors of Arnoldo Mondadori Editore S.p.A. since April 2018. She is a member of the Supervisory Board of UBI Banca with roles in the Internal Control, Remuneration and Risks Committees.

Angelo Renoldi

Mr. Angelo Renoldi serves as Non-Executive Independent Director of Arnoldo Mondadori Editore SpA since November 11, 2010. He graduated from Bocconi University with a degree in Business Administration and is a chartered accountant and auditor. Renoldi is ordinary professor of economics and corporate management at the University of Bergamo since 1995, institution where he also held the role of Deputy Rector (from 1999 to 2009) and Director of the SDM School of Management (from 2004 to 2008). Author of numerous monographs on the issue of management and corporate valuation, he has published articles, contributions and analyses in specialised magazines and collections of studies. He provides advisory services in the field of corporate transactions and in the valuation of companies and intangible assets and has been technical advisor on behalf of Italian and foreign companies for cases involving dumping and unfair competition. Member of the Board of Directors of Arnoldo Mondadori Editore S.p.A. since November 2010. Renoldi is chairman of the Board of Directors of Mediolanum Vita S.p.A. and Mediolanum Assicurazioni S.p.A.
