Name Description

Kenneth Hartwick

Mr. Kenneth Michael Hartwick is Independent Chairman of the Board of the Company. Mr. Hartwick was named chief financial officer of Wellspring Financial Corporation, a Canadian sales financing company. Prior to that, Mr. Hartwick held a variety of senior executive roles, gaining an extensive financial background in the energy, consumer products and capital markets areas, including the positions of CEO and CFO at Just Energy Group, Inc. (TSX/NYSE), CFO at Hydro One, Inc. and a partner at Ernst & Young, LLP. In each of these roles, Mr. Hartwick participated in the expansion and growth of the businesses and the establishment of financial platforms to support that growth. At Just Energy Group, Inc. his role included putting in place a broad set of financing arrangements for growth in North America and the United Kingdom and the expansion of the sales organization across these locations. Mr. Hartwick also serves on the Board of Directors of Atlantic Power Corporation (TSX/NYSE) and SparkEnergy, Inc. (NASDAQ), as well as the Board of Governors for Trent University. He obtained his Bachelor’s Degree in Business Administration from Trent University and became a CPA while at Ernst & Young.

Richard Swartz

Mr. Richard S. Swartz serves as a President, Chief Executive Officer, Chief Operating Officer of MYR Group Inc effective January 1, 2017. Mr. Swartz has over 30 years of experience in the electrical construction industry beginning with the C&I segment at Sturgeon Electric Company, Inc., a subsidiary of the Company, in the early 1980s. Before his September 2016 promotion to Executive Vice President and Chief Operating Officer of the Company, Mr. Swartz had served as Senior Vice President and Chief Operating Officer since May 2011. Mr. Swartz served as Senior Vice President from August 2009 to May 2011, and as Group Vice President from 2004 to 2009.

Betty Johnson

Ms. Betty R. Johnson serves as a Chief Financial Officer, Senior Vice President, Treasurer of the Company. She was an Independent Director of MYR Group Inc. Ms. Johnson currently serves as the Chief Financial Officer of Faith Technologies, Inc., a privately held electrical, engineering and technology systems contractor. From 2009 to 2014, Ms. Johnson served as the Vice President of Global Finance and Chief Financial Officer of Sloan Valve Company, an international manufacturer and distributor of water efficient products to the commercial plumbing industry. Prior to this, Ms. Johnson was Executive Vice President and Chief Financial Officer with Block and Company, Inc., a manufacturer and distributor of money handling and office products from 2003 to 2009. From 1999 to 2003 she served as the Vice President — Operations/Finance with Encompass Services Corporation, an electrical and mechanical construction company. Ms. Johnson served as MYR Group’s Controller from 1992 to 1998 and Vice President and Controller from 1998 to 1999. In addition, Ms. Johnson has 11 years of experience in various auditing roles within Deloitte and Touche’s construction industry group. Ms. Johnson holds a bachelor’s degree in business administration from Loyola University Chicago and is a certified public accountant.

Gerald Engen

Mr. Gerald B. Engen serves as a Senior Vice President, Chief Legal Officer, Secretary of MYR Group Inc. Between November 2002 and August 2009, Mr. Engen served as vice president, chief legal officer and secretary. Mr. Engen joined us as an assistant general counsel in September 2000 from Wells, Love & Scoby, LLC, a law firm specializing in construction law.

Tod Cooper

Mr. Tod M. Cooper serves as Senior Vice President, Chief Operating Officer - T&D of MYR Group Inc. Mr. Cooper currently serves as a Senior Vice President for the Company and was appointed to this position in August 2013. Mr. Cooper served as Group Vice President, East from 2009 to 2013 and Vice President T&D, East from 2006 to 2009. Mr. Cooper has held a number of additional positions since joining the Company in 1989, including business development manager, regional manager, district manager, and estimator.

Jeffrey Waneka

Mr. Jeffrey J. Waneka is seniorVice President, Chief Operating Officer - C&I of the Company effective January 1, 2017. Mr. Waneka currently serves as President of subsidiary company Sturgeon Electric Company, Inc. and was appointed to this position in February 2015. Mr. Waneka served as Group Vice President, C&I from 2014 to 2015 and Vice President, C&I from 2009 to 2014. Mr. Waneka has held a number of additional positions since joining the Company in 1991, including regional manager, director business development and district manager.

Gary Johnson

Mr. Gary R. Ronald Johnson is Director of MYR Group Inc. Most recently, Mr. Johnson was Vice President and General Counsel of Xcel Energy and its wholly-owned subsidiary, Northern States Power Company. Xcel Energy, through its subsidiaries, is a leading electric and natural gas utility company offering a comprehensive portfolio of energy-related products and services to customers throughout the western and midwestern United States. Mr. Johnson occupied this position from 2000 until his retirement in 2007. From 1989 to 2000, Mr. Johnson was Vice President and General Counsel of Northern States Power Company, the predecessor to Xcel Energy. He holds a bachelor’s degree in history from the University of Minnesota and a Masters in Public Administration degree from the Ohio State University. Mr. Johnson is a graduate of the University of Minnesota Law School.

William Koertner

Mr. William A. Koertner is Director of MYR Group Inc. Mr. Koertner joined MYR Group in 1998 as Senior Vice President, Treasurer and Chief Financial Officer, responsible for all financial functions including accounting, treasury, risk management and MIS operations. He was promoted to President and CEO in December 2003. In his role as President and CEO, he has complete profit and loss responsibility for the Company. Prior to joining MYR Group, Mr. Koertner served as Chief Financial Officer for Central Illinois Public Service Company from 1995 to 1998 and President and Chief Executive Officer of CIPSCO Investment Company (“CIPSCO”) from 1995 to 1998 as well. CIPSCO manages nonutility investments and provides investment management services for affiliates. Mr. Koertner holds a Bachelor of Science degree in finance from Northern Illinois University and a Masters of Business Administration degree from the University of Illinois.

Jennifer Lowry

Ms. Jennifer E. Lowry is Director of the Company. In November 2016, Ms. Lowry became Vice President of Corporate Finance for McCormick & Company, Inc. Prior to that, she held several executive positions at companies within the electric power industry including AES Corporation; Cogentrix Energy Power Management, LLC; Exelon Corporation; and Constellation Energy Resources, LLC (now an Exelon Company). Ms. Lowry has served on numerous governing committees within Constellation and Exelon and is currently Vice Chair of the Maryland Zoo Board of Trustees. She attended Dartmouth College where she obtained a Bachelor of Arts degree and Bachelor of Engineering degree, and she holds a Masters in Management from the Northwestern University Kellogg School of Management.

Larry Altenbaumer

Mr. Larry F. Altenbaumer serves as an Independent Director of MYR Group Inc. Mr. Altenbaumer has over 40 years of experience in the energy industry and is currently an independent consultant providing services to several organizations both in and outside of the energy industry. Currently, he serves as an independent director for the Southwest Power Pool, a FERC-approved regional transmission organization covering portions of eight states, and as a director for Summit Utilities, a privately-held holding company that owns and operates natural gas distribution companies in Colorado, Missouri and Maine. He is also currently serving as the executive director of the Midwest Inland Port, a regional economic development initiative based in Decatur, Illinois. Mr. Altenbaumer joined Illinois Power Company (“Illinois Power”), an electric and natural gas utility, in 1970 and spent much of his nearly 34 years there in various financial leadership positions, including Treasurer, Controller and Chief Financial Officer prior to becoming President in 1999. During his tenure with Illinois Power, Mr. Altenbaumer also served as executive Vice President for Regulated delivery for Dynegy, Inc. (“Dynegy”), a wholesale power, capacity and ancillary service provider. Illinois Power became a subsidiary of Dynegy in 2000, in a transaction led by Mr. Altenbaumer for Illinois Power. Mr. Altenbaumer received a Bachelor’s Degree in electrical engineering and computer science from the University of Illinois.

Bradley Favreau

Mr. Bradley T. Favreau serves as a Independent Director of the company. He currently serves as a Partner at Engine Capital Management, LLC, which serves as the investment manager to value-oriented special situations funds that invest both actively and passively in companies undergoing change. As a Partner at Engine Capital Management, Mr. Favreau is responsible for sourcing, evaluating and monitoring investment opportunities. Mr. Favreau currently serves as a director and a member of the audit committee of RDM Corporation, a provider of solutions for the electronic commerce and payment processing industries. Prior to Engine Capital, Mr. Favreau served as a consultant to HUSCO International, a global leader in the development and manufacture of hydraulic and electro-hydraulic controls for off-highway applications. At HUSCO, his duties included identifying and initiating supply chain improvement initiatives. Prior to HUSCO, Mr. Favreau worked as an investment professional at Apax Partners (Apax), an international private equity investment group with $34 billion of assets under management. At Apax, his responsibilities included analyzing new investment opportunities and monitoring the operations of portfolio companies. Mr. Favreau received an MBA from Columbia Business School and graduated with honors from the Kelley School of Business at Indiana University.

Henry Fayne

Mr. Henry W. Fayne serves as an Independent Director of MYR Group Inc. Mr. Fayne has more than 30 years of experience with American Electric Power (“AEP”), an electric utility company servicing five million customers in 11 states. During his tenure from 1974 to 2004, he held senior positions in both finance and operations. Most recently, he served as Executive Vice President of Energy Services and was responsible for transmission, distribution and customer relations operations for the AEP system, which employed approximately 15,000 line workers. He also served as Chief Financial Officer and Executive Vice President — Financial Services and was responsible for financial planning and budgeting, risk management, internal audits, accounting and treasury functions. After retiring from AEP in 2004, Mr. Fayne began providing advisory and consulting services to various companies, including Century Aluminum Company. In addition to serving on our Board, Mr. Fayne currently serves as chairman of the board of directors for Southwest Generation, LLC, a privately held gas-fired generating company; director and chairman of the audit committee of the board of directors for Murray Energy Corporation, a privately held coal mining company; sits on the board of directors of Youth and Families, a non-profit organization serving at-risk children in Franklin County, Ohio; and serves as a director of Summit Utilities Inc., a privately held gas distribution company. Mr. Fayne holds a Bachelor of Arts degree in economics from Columbia College of Columbia University and a Masters of Business Administration degree from the Columbia Business School.

Donald Lucky

Mr. Donald C. I. Lucky serves as a Independent Director of the Company. Mr. Lucky is a construction attorney and managing partner at the century-old Alberta-based law firm of Reynolds Mirth Richards & Farmer LLP, where he has practiced for 27 years. He has advised contractors and owners in major power projects, including oil and gas, solar, wind and carbon capture and more than 80 public-private finance infrastructure projects (hospitals, penitentiaries, water treatment and transportation) throughout Canada, the United States and Australia. He teaches Construction Law at the University of Alberta and has received numerous industry awards and recognitions in the area of construction law. Mr. Lucky obtained his Bachelor of Commerce and Bachelor of Law degrees from the University of Alberta, and his Masters of law degree from the University of Cambridge.

Maurice Moore

Mr. Maurice E. Moore serves as an Independent Director of MYR Group Inc Mr. Moore has over 30 years of experience in banking, leasing and project financing, and in providing financial advisory services to the electric utility and renewable energy industries. Since 2009, Mr. Moore has served as Managing Director of Primus Financial Group, LLC, a company that he founded, which provides asset and lease financial advisory services to major U.S. commercial banks and companies engaged in the renewable energy business. From 2006 to 2009, Mr. Moore served in senior leadership roles with Chase Equipment Leasing, Inc., a division of JP Morgan Chase, offering a variety of financing and lease solutions to help businesses acquire the equipment needed for daily operations. From 1986 to 2005, Mr. Moore served in various roles, including senior leadership roles, with JP Morgan Capital Corporation and its predecessor companies. Prior to serving on the Board, Mr. Moore served on the boards for West Suburban Medical Center and Community Chest of Oak Park & River Forest, Illinois, and was formerly Finance Advisory Committee Chairman for Oak Park & River Forest High School in Illinois. Mr. Moore earned a Bachelor of Science degree in civil engineering from Brown University and a Master of Business Administration degree from Harvard Business School.

William Patterson

Mr. William D. Patterson serves as an Independent Director of MYR Group Inc. In October 2010, Mr. Patterson rejoined EnSTAR Management Corporation, a company that he founded to provide advisory and consulting services to utilities. Prior to this, Mr. Patterson served as Senior Vice President of Corporate and Business Development for American Water Works Company, Inc., the largest investor-owned U.S. water and wastewater utility company. From 2005 through mid-2008, Mr. Patterson served as Senior Vice President and Chief Financial Officer of Pennichuck Corporation, an investor-owned water utility holding company. From January 2003 to January 2005, he served as an executive advisor to Concentric Energy Advisors, a private firm located in Marlborough, Massachusetts, providing financial advisory and consulting services for utilities. His experience also includes nearly 20 years of work within the investment banking industry, serving in senior positions at E.F. Hutton, Shearson Lehman and Smith Barney, where he was managing director and co-head of the corporate finance department’s regulated utilities practice. Mr. Patterson earned his Bachelor of Science degree in civil engineering from Princeton University, graduating summa cum laude. He earned his Masters of Business Administration degree in finance and accounting from the University of Chicago Booth School of Business.
