Name Description

Inge Hansen

Mr. Inge K. Hansen has served as Independent Chairman of the Board of Directors of Nets A/S since July 2014. He is Chairman of the Remuneration Committee and Nomination Committee. Inge K. Hansen is also the chairman of the board of directors of Gjensidige Forsikring ASA, Arctic Securities AS, Troms Kraft AS, Skiskytter VM 2016 AS, Point Resources AS, Hotell-og Restauranthuset Continental AS and NorSun AS, as well as a member of the board of directors of Fram Museum and Sissener AS. Inge K. Hansen has previously been the chairman of the board of directors of Harding Holding II AS, Core Energy AS, Core Energy Holding AS, Aerospace Industrial Maintenance Norway SF, Bertel O. Steen AS (as well as acting chief executive officer thereof) and Leonhard Nilsen & Sonner AS and deputy chairman of the board of directors of Norsk Hydro ASA as well as a member of the board of directors of Johan G. Olsen AS, Jiffy International AS and Master Marine AS. Inge K. Hansen holds a degree in Economics and Business Administration from the Norwegian School of Economics and Business Administration (NHH).

Bo Nilsson

Mr. Bo Nilsson has served as Group Chief Executive Officer of Nets A/S since August 2014. He was Chief Financial Officer at the Company from May 2013 until August 2014. He is also founder and executive officer of NH Fintech ApS, executive officer and chairman of the board of directors of North Properties ApS, executive officer and member of the board of directors of Quartet Holdings A/S and Time Investments A/S, as well as a member of the board of directors of Boheme Investments SGPS SA and Heisamore SGPS SA. Bo Nilsson holds a Master’s degree in Financing and Strategic Planning from Copenhagen Business School and he graduated from the MBA Corporate Finance Program at JPMorgan Chase & Co.

Jeff Gravenhorst

Mr. Jeff Gravenhorst has served as Independent Vice Chairman of the Board of Directors of Nets A/S since September 2016. He is member of the Audit Committee. Jeff Gravenhorst is Group CEO of ISS. Jeff Gravenhorst is also chairman of the board of directors of Ramboell Gruppen A/S, a member of the board of directors of the Confederation of Danish Industry’s (DI) Permanent Committee on Business Policies. Jeff Gravenhorst has previously been the deputy chairman of the board of directors of Ramboell Gruppen A/S and a member of the board of directors of Danish Crown A/S, a member of the board of directors of Statsautoriseret revisor Ove Haugsted og Hustru Lissi Haugsteds Familiefond (being dissolved), Leverandoerselskabet Danish Crown AMBA as well as a member of the executive management of ISS World Services A/S. Jeff Gravenhorst holds a Bachelor of Science in Business Administration and a Master of Science in Business Administration and Auditing, both from Copenhagen Business School.

Klaus Pedersen

Mr. Klaus Pedersen has served as Group Chief Financial Officer of Nets A/S since September 2015. Klaus Pedersen holds a Master of Science in Business Economics from Aarhus Business School.

Pia Joergensen

Ms. Pia Joergensen has served as Group Executive Vice President, Technology of Nets A/S since August 2014. She was Interim Chief Operating Officer at the Company until April 2015. She previously was Chief Technology Officer for retail banking services for JPMorgan Chase & Co.

Thomas Kolber

Mr. Thomas Kolber has been Group Executive Vice President, Human Resources at Nets A/S since February 2017. Thomas Kolber has previously been Vice President, HR in Copenhagen Airports A/S and Vice President, HR in Carlsberg A/S. Thomas Kolber holds a Master’s degree in Human Resources from Copenhagen Business School.

Frode Asheim

Mr. Frode Asheim serves as Group Executive Vice President, Corporate Services and Sector & Government and Country Manager for Nets in Norway. He joined the Company in January 2016. He holds a Master of Science in Economics and Management from the University of Oslo and has received training in Board Management from the Norwegian Business School (BI).

Freddy Haraldsen

Mr. Freddy Haraldsen has served as Group Executive Vice President, Sector and Government of Nets A/S since November 2011. He previously was Country Manager of Nets in Norway since January 2012. Freddy Haraldsen is also chairman of the board of directors of e-Boks A/S, a member of the board of directors of Signaturgruppen A/S and an alternate member of the board of directors of EDIGard AS. Freddy Haraldsen is a Data Engineer from Oslo Ingeniorhogskole and holds a Master’s degree in Management and a degree in Business Management from the Norwegian Business School (BI).

Asger Hattel

Mr. Asger Hattel has served as Group Executive Vice President, Merchant Services at Nets A/S since April 2015. He holds a Master’s degree in Economics from Aarhus University.

Thomas Jul

Mr. Thomas Jul has been appointed Group Executive Vice President for Financial & Network Services at Nets A/S effective as of October 1, 2017. Thomas Jul comes from a position as President and CEO of Ericsson in Indonesia and has prior hereto, among other things, worked as the Vice President of Ericsson in Central Europe and held a range of executive positions with Nokia, serving customers such as Deutsche Telekom, Singtel and Telenor across the globe.

Niels Mortensen

Mr. Niels Mortensen serves as Group Executive Vice President, Customer Services at Nets A/S. He has previously served as Group Chief Operating Officer of Nets A/S since May 2015. He previously was the chief operating officer of Codan Forsikring A/S and the deputy chief executive officer of Alka Forsikring A/S. Niels Mortensen is also a member of the board of directors of Scalepoint Technologies (Denmark) (branch of Scalepoint Technologies Ltd.). Niels Mortensen holds a Master’s degree in Law from the University of Copenhagen.

James Brocklebank

Mr. James Gerald Arthur Brocklebank has served as Member of the Board of Directors of Nets A/S since July 2014. He joined Advent in 1997 and is co-head of Advent in Europe. He co-chairs the European Investment Advisory Committee and is responsible for the European business and financial services sector team. James Brocklebank has led Advent’s investments in Nets, Worldpay and Equiniti and has participated in several other investments. James Brocklebank is also a member of the board of directors of ICBPI and Advent International plc. James Brocklebank has, among others, previously been a member of the board of directors of Worldpay Group plc and Equiniti Group plc, and various companies affiliated with each of them. James Brocklebank holds an MA degree from Cambridge University.

Robin Marshall

Mr. Robin Marshall has served as Member of the Board of Directors of Nets A/S since July 2014. He joined Bain Capital in 2009 and is Co-Head of Bain Capital in Europe. Robin led Bain Capital’s investments in Nets, Worldpay, ICBPI, Securitas Direct, amongst several others. Robin Marshall is currently also a member of the board of directors of ICBPI and a member of the partnership Bain Capital Private Equity (Europe) LLP. Robin Marshall has previously been a member of the board of directors of Worldpay Group plc, Ship Investors S.a r.l., Ship Luxco Holding S.a r.l., Ship Holdco Limited, Ship Midco Limited, NAGA UK Bidco Limited, NAGA UK Topco Limited, NAGA 1 (BC) S.a r.l., NAGA 2 (BC) S.a r.l., Bain Capital Ship S.a r.l. and Verisure Topholding AB and Quintiles. Monica Caneman

Ms. Monica Caneman has served as Independent Member of the Board of Directors of Nets A/S since March 2016. She is Chairman of the Audit Committee and Member of the Remuneration Committee and Nomination Committee. Monica Caneman is also the chairman of the board of directors of Bravida Holding AB, BIG BAG Group AB and Arion Bank hf as well as a member of the board of directors of Com Hem Holding AB and SAS AB. Monica Caneman has previously been the chairman of the board of directors of VIVA Media AB, VIVA Media Group AB, Frosunda Omsorg AB, Allenex AB and SOS International AS, as well as a member of the board of directors of Intermail A/S, mySafety AB, Schibsted Sverige AB, Storebrand ASA, Poolia AB, Schibsted ASA, Electronic Transaction Group Nordic AB, Electronic Transaction Group Nordic Holding AB, Investment AB Oresund, SPP Livforsakring AB and SPP Pension & Forsakring AB. In addition, Monica Caneman has been the chairman of AP4 (The Fourth Swedish National Pension Fund). Monica Caneman holds a Bachelor degree in Business Administration from Stockholm School of Economics.

Per-Kristian Halvorsen

Dr. Per-Kristian (Kris) Halvorsen, Ph.D. has served as Independent Member of the Board of Directors of Nets A/S since December 2015. He is Member of the Audit Committee, Remuneration Committee and Nomination Committee. Per-Kristian Halvorsen is also senior vice president and senior fellow of Intuit Corp., as well as a member of the board of directors of Iron Mountain Inc. Per-Kristian Halvorsen has previously been chief innovation officer (and prior to that chief technology officer) of Intuit Corp. as well as a member of the board of directors of Autodesk Inc. and finn.no AS and Symantec Corp. Per-Kristian Halvorsen has extensive knowledge of technology having had a long career at leading technology centers such as MIT, the Xerox Palo Alto Research Center (PARC) and HP Laboratories. Per-Kristian Halvorsen has pursued undergraduate studies at Oslo University and holds a Master’s and Ph.D. in Linguistics from University of Texas at Austin.
