Name Description

Piotr Sadownik

Mr. Piotr Sadownik has been Independent Chairman of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Audit Committee and the Strategy Committee and Chairman of the Remuneration Committee at the Company. He is a graduate from the Faculty of Law Uniwersytet Warszawski and Universite Paris II Pantheon – Assas. He got the professional title of advocate at the Regional Advocate Bar in Warsaw in 1996. He started his professional career in 1993 in the Warsaw office of Gide Loyrette Nouel law firm. At present he is Partner responsible for the Departments of Dispute Resolution and Arbitration, Infrastructural Projects and Public Law as well as the Intellectual Property Law at the Warsaw Office of Gide Loyrette Nouel. He has served as Member of the Supervisory Board of Bank Ochrony Srodowiska S.A.

Zbigniew Jagiello

Mr. Zbigniew Jagiello has served as Chairman of the Management Board of Powszechna Kasa Oszczednosci Bank Polski SA (PKO Bank Polski SA) since March 2, 2011. From October 1, 2009 until March 2, 2011, he served as Acting Chairman of the Management Board of PKO Bank Polski SA. He is in charge of the President of the Management Board Division, Legal Division and Compliance. He has been President of the Assets and Liabilities Committee, President of the IT Security Committee, President of the Risk Committee and President of the Strategy Committee. He has been active in the investment fund sector since 1995. Initially he worked at Pioneer Pierwsze Polskie Towarzystwo Funduszy Inwestycyjnych SA. From November 1996, he served at PKO/Credit Suisse TFI SA. From July 2000 he acted as Chairman of the Management Board of Pekao/Alliance Towarzystwo Funduszy Inwestycyjnych SA (currently Pekao TFI SA). From July 2001, he held the same post at Pioneer Pekao Towarzystwo Funduszy Inwestycyjnych SA and from February 2005 at Pioneer Pekao Investment Management SA. Moreover, from February 2005 he acted as Chairman of the Supervisory Board of Pekao Financial Services Sp. z o.o. In addition he served as Head of Distribution of Pioneer Investments and held numerous other posts. Mr. Zbigniew Jagiello obtained Master of Engineering degree in Information Systems from the Faculty of Computer Science and Management at Politechnika Wroclawska. He also graduated from Executive MBA studies organized by Gdanska Fundacja Ksztalcenia Menedzerow, Uniwersytet Gdanski and Erasmus Universiteit Rotterdam.

Grazyna Ciurzynska

Ms. Grazyna Ciurzynska has been Vice Chairman of the Supervisory Board of PKO Bank Polski SA since June 30, 2016. She is Vice Chairman of the Audit Committee, Member of the Remuneration Committee, Vice Chair of the Risk Committee and Chairman of the Strategy Committee at the Company. She graduated from the Foreign Trade Department of Szkola Glowna Handlowa w Warszawie and completed postgraduate studies in European Banking Law of the Institute of Law Studies of Polska Akademia Nauk - PAN. She started her career in 1991 in the government administration in the Ministry of Ownership Transformations. Since 1996, for 20 years she has been working within the banking sector. She held managerial positions in the area of corporate business of the bank PBK S.A. (currently Bank BPH S.A.) and Kredyt Bank S.A. Next, as a Director in the retail area of Bank BGZ S.A., she was responsible for creation of the retail activity strategy, sales and pricing policy, bank assurance development, sales network management, designing and implementing products. She served as an advisor to the President of the Management Board of the Bank. Since 2007 she has been working within the banking payments and cards market. As a director of the department at Bank BGZ S.A., and then at BGZ BNP Paribas S.A., she was responsible for the card activity area, cooperation with international payment organizations and providers of card technologies and services. Moreover, she was the member of Prezydium Rady Wydawcow Kart Bankowych [Presidium of the Council of Banking Card Issuers], and earlier the Presidium of the Council of Cash Management at the Polish Bank Association. For more than 15 years she was involved in teaching and research activity in the Warsaw School of Economics at the Institute of International Economic Relations. She has been the Director of the Large Investment Support Department in the Ministry of Development, coordinating the investment policy, supervising the cooperation with Polish and foreign investors and financial institutions.

Rafal Kozlowski

Mr. Rafal Kozlowski has been Vice Chairman of the Management Board in charge of Finance and Accounting of PKO Bank Polski SA since January 1, 2018. He graduated in Quantitative Methods and Information Systems from Szkola Glowna Handlowa w Warszawie and from Uniwersytet Warszawski and University of Illinois, where in 2008 he completed MBA studies. He has served in banking since 1995. He held managerial positions at Powszechny Bank Kredytowy, Bank BPH-PBK, Bank Pekao SA and PKO Bank Polski. He was Member of the Management Board and Finance Director at Corporation of European Pharmaceutical Distributors N.V. Since 2012 he has cooperated with PKO Bankie Polski, where he was responsible for organizing PKO Bank Hipoteczny, being its Chairman of the Management Board since October 2014.

Adam Marciniak

Mr. Adam Tadeusz Marciniak has been Vice Chairman of the Management Board in charge of the IT and Service Area of PKO Bank Polski SA since October 1, 2017. He has been connected with PKO Bank Polski since 2011. As the head of the Application Development and Maintenance Division responsible for the management, development and maintenance of the information processing systems, he organized the operation of the IT organization, focusing on the efficiency of processes, cost optimization and a dynamic business growth. From 2011 to 2014, acting as a Vice President of Inteligo Financial Services SA, he was also responsible for the development of the information processing systems, optimization and incorporation of the subsidiary into Bank’s organization. Earlier, he had worked for Pekao SA as the Operating Manager of the Electronic Channels Development and Management Office and the head of the IT Department in the Central Brokerage House of Pekao SA. Mr. Marciniak is Member of the Presidency of the Electronic Banking Council of the Polish Bank Association, the IT Architecture Council of the Government’s Digitization Committee and an expert in the Task Force for the evaluation of IT projects of the Government’s Digitization Committee. He is Member of the Supervisory Board of PKO Bank Hipoteczny SA and PKO BP Finat Sp. z o.o. He has won numerous industry awards and accolades, is a holder of the title of the Ambassador for the Electronic Economy at the 10th Congress of Electronic Economy, winner of the Nicholas Copernicus Medal awarded by the Polish Bank Association for special merits in the construction and development of the banking sector and a special title of “Banking Market Innovator 2015” within the Top 50 Banks in Poland ranking. He graduated from Wojskowa Akademia Techniczna im. Jaroslawa Dabrowskiego w Warszawie (WAT) and Politechnika Warszawska.

Mieczyslaw Krol

Mr. Mieczyslaw Krol has been Vice Chairman of the Management Board in charge of Bank Assurance as well as the Legal and Compliance Area of PKO Bank Polski SA since June 6, 2016. He holds Masters degree in Economics from Szkola Glowna Handlowa w Warszawie and completed doctorate studies at the same university. He worked for such institutions as the National Bank of Poland. He was Director of PKO Bank Polski S.A. for many years. In the years 2007-2011 he was Director of the Audit Department of PKO Bank Polski S.A. From 2011 to 2015 he was Director of the Audit Department of Bank Ochrony Srodowiska S.A. in Warsaw. Between 2006 and 2007, he was serving on the Supervisory Board of Centrum Finansowo – Bankowe (Finance and Banking Centre) in Warsaw. In 2007, he was Chairman of the Supervisory Board of Zaklady Chemiczne (Chemical Plant) Organika - Sarzyna in Nowa Sarzyna and the Conservation Plant. He lectured at the Higher School of Business in Warsaw (Wyzsza Szkola Dzialalnosci Gospodarczej). In the period of 1998 – 2002, he was a councilor of Warszawa district. He was a Deputy Chairman of the Budget Committee and Member of the Audit Committee. In the period of 2002 - 2014 he was Member of the City Council of Capital City of Warsaw. In the City Council he was a Deputy Chairman of the Budget and Finance Committee and Member of the Health Committee.

Rafal Antczak

Mr. Rafal Piotr Antczak has been Vice Chairman of the Management Board in Charge of the Enterprise Banking, Strategy and the Analyses Area of PKO Bank Polski SA since July 2, 2017. He graduated from the Faculty of Economics of Uniwersytet Warszawski and completed Comprehensive Course in Market Economics at Joint Vienna Institute (1997). From October 2008 to January 2017 he served at Deloitte Consulting S.A. as Member of the Management Board. Between 2006 and 2008 he was Managing Director and Main Economist ay PZU Group, at the same tine he served an the Supervisory Board of PZU Asset Management, PZU-Ukraina, PZU-Ukraina Ubezpieczenia na Zycie and UFG. Maks Kraczkowski

Mr. Maks Kraczkowski has been Vice Chairman of the Management Board in charge of International and Transaction Banking and Cooperation with Local Government Authorities and Government Agencies at PKO Bank Polski SA since July 4, 2016. He graduated from the Faculty of Law and Administration of Uniwersytet Warszawski. A member of the Polish Parliament for the 5th, 6th, 7th and 8th terms of office: since 2015 he has been Deputy Chairman of the Commission of Economy and Development of the Polish Parliament, in 2005-2007 he was Chairman of the Commission of Economy of the Polish Parliament, as well as: Member of the Legislative Commission of the Polish Parliament, and Chairman of the Standing Subcommission of the Constitutional Tribunal. He has many years’ experience in establishing laws and a knowledge of business matters in Poland and abroad.

Piotr Mazur

Mr. Piotr Mazur has served as Vice Chairman of the Management Board for Risk Management Area at Powszechna Kasa Oszczednosci Bank Polski SA (PKO Bank Polski SA) since January 8, 2013. He was involved in building the strategy of Bank Zachodni WBK SA, he was directly responsible for credit risk management, optimization of debt collection and restructuring, he cooperated with supervision authorities in Poland and abroad. After studies he started his professional career in credit area at Bank BPH. Since 1992 he was associated with the Bank Zachodni SA and next, after the merger, with the Bank Zachodni WBK SA (at first as a Specialist and after as a Head of Section in Capital Investments Department, next as a Director of Credit Quality Controlling Department). In the years 2005 – 2008 he was the Director of Business Intelligence and Risk Management Area, and in the years 2008 – 2010 he was the Deputy Chief Risk Officer. Since January 2011 he has been the Chief Credit Officer and since March 2012 also he has been the Deputy Chief Risk Officer. He has served as President of Credit Committee in BZ WBK and as Supervisory Boards Member of: BZ WBK Factor Sp. z o.o., BZ WBK Leasing SA, BZ WBK Finanse Sp. z o.o. He was also the Deputy President of Credit Risk Forum and Deputy President of Risk Model Forum. He holds M. Sc. in Economics. He studied at the Academy of Economics in Wroclaw (currently Uniwersytet Ekonomiczny we Wroclawiu) on the Faculty of Management and Computer Science, specialization of Organization and Management.

Jakub Papierski

Mr. Jakub Papierski has been Vice Chairman of the Management Board in charge of Corporate and Investment Banking Area at PKO BANK POLSKI SA since May 1, 2014. Prior to that, he served as Vice Chairman of the Management Board in charge of Investment Banking of the Company from March 22, 2010. Since 2011 he has served as Vice Chairman of the Supervisory Board at Bank Pocztowy SA. He started his career in 1993 in Pro-Invest International. From 1995 to 1996 he worked in Dom Maklerski ProCapital and then in Creditanstalt Investment Bank. In March 1996 he joined Deutsche Morgan Grenfell/Deutsche Bank Research and was responsible for the banking sector in Central and Eastern Europe. From November 2001 to September 2003 he served as Executive Director of Financial Division in Bank Pekao as and was also Member of the Assets and Liabilities Management Committee. In October 2003 he was appointed as Chairman of the Management Board of Centrally Dom Maklerski Peko SA. In September 2006, he also took up the position of Deputy Chairman of the Supervisory Board of Pioneer Pekao TFI SA. From May 2009, he served as President of the Management Board of Allianz Bank Polska SA and in October 2009 he became Management Board's President. Between 2005 and 2009, Mr. Papierski was a Chairman in the Programme Council of Akademia Liderów Rynku Kapitalowego established at the Leslaw Paga Foundation; and now he is Member of the Programme Council. He gradauted from Szkola Glowna Handlowa w Warszawie and holds Chartered Financial Analyst (CFA).

Jan Rosciszewski

Mr. Jan Emeryk Rosciszewski has been Vice Chairman of the Management Board in charge of the Retail Market Area of PKO Bank Polski SA since July 18, 2016. He is the manager of the insurance industry. In the years 1998 - 2016 he was president of the Association of Life Insurance Cardif Poland (today the group BNP Paribas). In the years 2001 - 2016 he served as Director General of Cardif Assurance Risques Divers in Poland. He has held many additional positions in the industry, such as Chairman of the Supervisory Board of Pocztylion-Arka Pension Fund Company (since 1999), Vice Chairman of the Supervisory Board of Postal Financial Services Agency SA (2000-2014), a member of the Audit Committee of the Polish Insurance Association (2012-2016), a Member of the Supervisory Board of BBI Development NFI SA (since 2011).

Zbigniew Hajlasz

Mr. Zbigniew Hajlasz has been Independent Secretary of the Supervisory Board of PKO Bank Polski SA since July 14, 2016. He was Member of the Supervisory Board of PKO Bank Polski SA from June 30, 2016. He is Chairman of the Audit Committee and Deputy Chairman of the Strategy Committee at the Company. He holds Masters degree in Economics from London University and Master of Science degree in Mathematics from Politechnika Wroclawska. Since August 2011 he has been President of the Management Board of Zaklad Gospodarki Komunalnej sp. z o.o. Since January 2016 he has been Vice Chairman of the Supervisory Board of Polskie Radio SA. He has held among others the following functions: Director of the Economic Development Department, The Voivodeship Office in Wroclaw (1991-1993); Director of the Regional Privatization Office of the Bank BWP SA (1994-1996), Vice President of the Management Board of Wroclawska Agencja Rozwoju Regionalnego SA; Managing Director, President of the Management Board of PRW SA in Wroclaw, President of the Management Board of TBS sp. z o.o. in Glogow, Director of the OPDRO Project Coordination Office. Mariusz Andrzejewski

Mr. Mariusz Andrzejewski has been Independent Member of the Supervisory Board of PKO Bank Polski SA since June 22, 2017. He is Member of the Audit Committee and the Risk Committee at the Company. He is Professor at Uniwersytet Ekonomiczny w Krakowie, where he has been Dean of the Faculty of Finance and Law and Head of the Financial Accounting Department. He holds Doctorate degree in Economics. Since 2013 he has also been Professor at Wyzsza Szkola Zarzadzania i Bankowosci w Krakowie. Miroslaw Barszcz

Mr. Miroslaw Jan Barszcz has been Independent Member of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Strategy Committee at the Company. He is a graduate of Katolicki Uniwersytet Lubelski, where he obtained the title of Master at Law. He has been employed at PGNiG SA. He has experience in auditing firms (1996-1997 Ernst & Young, 1998 -2001 Arthur Andersen, 2001 – 2004 PricewaterhouseCoopers), law firms (2005 Baker & McKenzie, 2008-2013 GWW Legal) and the government administration (2005 – 2006 Undersecretary of State in the Ministry of Finance, 2007 – Minister of Construction, 2011 – 2013 advisor of the Minister of Justice). He participated in more than 30 training courses (organized by Ernst & Young, Arthur Andersen, PricewaterhouseCoopers) including in the field of taxes, finances, human resources management, negotiations, project management, change management, cultural differences, communication. He also has consulting experience in many industries, including: financial, information technology, telecommunications, energy, construction, real estate development, pharmaceutical, manufacturing, banking, commerce, logistics, tourism industries.

Adam Budnikowski

Prof. Dr. Adam Bartlomiej Budnikowski has been Independent Member of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Risk Committee and the Strategy Committee at the Company. He completed his Master of Science studies in 1971 at Wyzsza Szkola Ekonomiczna w Poznaniu (now Uniwersytet Ekonomiczny w Poznaniu), majoring in the economics of international trade. He received his doctoral degree in 1975 at the faculty of International Trade of the former Szkola Glowna Planowania i Statystyki (now Szkola Glowna Handlowa). He got his post-doctoral degree at the same faculty in 1983. In 1992, the obtained the tile of Professor of Economic Sciences. He has been with the Warsaw School of Economics since the beginning of his career. He started working at the school in 1974 as an assistant in the Institute of International Trade Relations. In subsequent years, as he was granted higher scientific degrees, he was promoted to an assistant professor, then to associate professor, and finally full professor. In 1996, he was elected Dean of the World Economy College of the Warsaw School of Economics and held that position for two consecutive terms of office until 2002. He became Vice Chancellor of the Warsaw School of Economics in 2005 and on 5 March 2008 he was re-elected for the second term of office for the years 2008-2012. Since 2012, he has continued to hold the tenure of Vice Chancellor of the Warsaw School of Economics. During his professional career, he has collaborated with other scientific and educational institutions, including the Polish Academy of Sciences, the Polish Economics Association, the Institute of Business Climates and Prices of International Trade (he was Deputy Director of the Institute from 1992-1993), Lublin Catholic University, Higher School of Business in Radom, Academy of Diplomacy in Warsaw and the National School of Public Administration.

Andrzej Kisielewicz

Prof. Dr. Andrzej Kisielewicz has been Independent Member of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Audit Committee and Chairman of the Risk Committee at the Company. He holds the title of Professor of Mathematical Sciences. He is employed at the University of Wroclaw, Faculty of Mathematics and Computer Science. He defended his habilitation at Uniwersytet Wroclawski, and obtained the title of Ph.D. at Mathematical Sciences at Polska Akademia Nauk. He also graduated from Uniwersytet Wroclawski. He gained experience in the academic centers such as: Opole University, Vanderbilt University (Nashville, USA), the Polish Academy of Sciences, Technische University (Darmstadt, Germany), The University of Manitoba (Winnipeg, Canada), Wroclaw University of Technology. He has experience as Member of the Supervisory Boards.

Elzbieta Maczynska-Ziemacka

Prof. Dr. Elzbieta Maczynska-Ziemacka has been Independent Member of the Supervisory Board of PKO Bank Polski SA since June 20, 2013. She is Member of the Remuneration Committee, the Risk Committee and the Strategy Committee at the Company. She is a graduate of Unwiersytet Warszawski. She graduated in Econometrics. She has been a Professor and Doctor of Economics employed at Institute of Economic Sciences at Polska Akademia Nauk (1990) and Szkola Glowna Handlowa (from 1998) where she is Head of the Department of Financial Management of Companies at College of Business Economics (from 2008) and Head of postgraduate studies in Property Valuation. She is Prsident of the Committee for Economic Strategic Thinking at the Ministry of Economy (from June 14, 2013), President of the Polish Economic Society (since 2005), Member of the Presidium of Forecasting Committee, Poland 2000 Plus and Committee of Economic Sciences (since 2011). Between 1994 and 2005, she was Academic Secretary and Member of the Presidium of the Strategy for Social and Economic Council of Ministers. From 2005 to 2007, she was Independent Member of the Supervisory Board of BGZ, while between 1996 and 1998, she held the same post at Polski Bank Rozwoju and Adviser and Consultant in Polsko-Szwedzka Sp. z o.o. SWEA SYSTEM from 1990 to 1991. Ms. Maczynska also attended several internships, is author of articles and redactor of publications, among others.

Janusz Ostaszewski

Prof. Dr. Janusz Ostaszewski has been Independent Member of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Audit Committee, the Remuneration Committee and the Strategy Committee at the Company. He has been Director of the Finance Institute, and in 2001-2013 he was Head of the Finance Department, Member of the Senate of the Warsaw School of Economics. From 2005 to 2012 he was Dean of the College of Management and Finance for two terms of office. He is a graduate of Szkola Glowna Planowania i Statystyki (now Szkola Glowna Handlowa) of 1978, with major in Economics and Management. He got his doctoral degree in 1982 at the Faculty of Domestic Trade of the former Szkola Glowna Planowania i Statystyki (now Szkola Glowna Handlowa). He received the post-doctoral degree at the same faculty in 1990. In 2003 he was awarded the title of Professor of Economic Sciences. He completed postgraduate studies in Finance and Management at Scuola Superiore Enrico Mattei in Milan. His main area of research are matters of operation of businesses, their financial management and strategy. His interest in finance was further deepened by a several-year tenure as head of the Department of Property Matters at the Finance Ministry and subsequent service as an advisor to the President of Kredyt Lease SA, a subsidiary of Kredyt Bank SA Group and the work in the Finance Bureau of the Polish Parliament Office.

Mr. Wojciech Jasinski has been Member of the Supervisory Board of PKO Bank Polski SA since February 25, 2016. He is Member of the Remuneration Committee at the Company. He graduated from Uniwersytet Warszawski, the Faculty of Law and Administration (1972). In years 1972 – 1986 he worked in Plock, for instance in the National Bank of Poland, Branch in Plock and in the Town Hall, also as a legal counsel in the Tax Chamber. In years 1990 – 1991 he organized the local government in Plockie Voivdeship, being the Delegate of the Government’s Plenipotentiary for Local Government Reform. From 1992 to 1997 he worked in the Supreme Audit Office (NIK) at the positions director of NIK’s Delegation Office in Warsaw, Finance and Budget Team, State Budget Department. In years 1997-2000 he was Member and then the President of the Management Board of Srebrna company seated in Warsaw. He was Member of the Supervisory Board of Bank Ochrony Srodowiska in years 1998 – 2000. From September 2000 to July 2001 he held the position of Undersecretary of State in the Ministry of Justice. In years 2006 – 2007 he was the Minister of State Treasury. Since 2001 he has been Member of Polish Parliament. He was Chairman of the Management Board of PKN ORLEN S.A.
