Massimo Tononi

Dr. Massimo Tononi serves as Chairman, Independent Director of Prysmian S.p.A. since April 18, 2012. Prior to this he served as Non-Executive Independent Director of the Company from July 21, 2010. He also serves as Member of the Remuneration and Nominating Committees of the Company. From 2008 to July 2010, he was Partner and Managing Director of Investment Banking Division of Goldman Sachs in London. Between May 2006 and May 2008, he was Undersecretary of State of Ministry of Finance and Economics. From August 2005 to May 2006 he was Managing Director of he was Partner and Managing Director of Investment Banking Division of Goldman Sachs in London. From December 1999 to August 2005, he was Partner and Managing Director of Investment Banking Division of Goldman Sachs in Milan. From September 1994 to November 1999, he was Partner and Managing Director of Investment Banking Division of Goldman Sachs in London. From May 1993 to June 1994, he was Assistant to Chairman of Istituto per la Ricostruzione Industriale (IRI SpA). From June 1988 to May 1993, he served at Investment Banking Division of Goldman Sachs in London. Since May 2010, he has served as Director of Mittel SpA. Since June 2010 he has served Member of the Board of Directors and of Executive Committee of Sorin SpA. He also serves as Chairman of the Board of Borsa Italiana SpA, as Chairman of ISA – Istituto Atesino di Sviluppo SpA and as Director of the London Stock Exchange. Valerio Battista

Eng. Valerio Battista serves as Chief Executive Officer, Executive Director, General Manager of Prysmian S.p.A. since 2005. Prior to becoming Chief Executive Officer of Prysmian SpA in 2005, he had over 17 years experience in Pirelli Group. He joined UnoAErre before developing his career within Pirelli: firstly in the Steel Cord structure (Pirelli Pneumatici), subsequently managing this division. He was appointed Purchasing Director for the Tyre Division in the same company. In 2002, he became Managing Director of the Energy Cables Division within Pirelli Cables and Systems and two years later also took responsibility for the Telecommunications Cable Division before the transition from Pirelli to Prysmian. He is also Director of Indesit Company SpA. He graduated in Mechanical Engineering from Universita degli Studi di Firenze in 1981.

Pier Facchini

Dr. Pier Francesco Facchini serves as Chief Financial Officer, Director at Prysmian S.p.A. He was Director; Chairman of the Board of Prysmian Treasury S.r.l. at Prysmian S.p.A. He was Chief Financial Officer and Executive Director at the firm from January 2007. His first work experience was with Nestle Italia where, from 1991 up to 1995, he held different positions in the Management and Finance departments. From 1995 to 2001, he worked with the Panalpina Group where he held the position of Regional Financial Controller for the Asia-Pacific region. During his career at Panalpina Group he was also appointed Chief Financial Officer of Panalpina Korea and Panalpina Italia Trasporti Internazionali SpA. In April 2001, he was appointed Chief Financial Officer of the Consumer Services Business Unit of Fiat Auto and from 2003 until November 2006, he held the position of Chief Financial Officer of the Benetton Group. He obtained degree in Business Economics from the Universita Commerciale Luigi Bocconi in Milan in 1991.

Andrea Pirondini

Mr. Andrea Pirondini serves as Chief Operating Officer of Prysmian S.p.A. since January 2014. He started his career in Pirelli Group in 1989, holding various positions in the UK, Italy, Turkey, Russia and Egypt over a 24-year period, both in the Tyres and Cables & Systems businesses, where he was involved in restructuring the manufacturing system for energy cables. In 2012 he was appointed Chief Commercial Officer of Pirelli Tyre S.p.A, a position he held until December 2013. He has a degree in Business Administration from the Universita Commerciale Luigi Bocconi.

Massimo Battaini

Mr. Massimo Battaini serves as Senior Vice President Energy Projects, Director at Prysmian S.p.A. January 2014. Previously, he was Head of Business Energy Projects at the firm. He was Chief Operating Officer of the Company from January 2011 until January 2014. He started his career in Pirelli Group in 1987 and held various positions in R&D and Operations over an 18-year period. After running the Business Development department for two years, covering the three Business Divisions of Tires, Energy Cables and Telecom Cables, in 2002 he became Operations Director of Energy Cables and Telecom Cables for Pirelli Group. In 2005 he was appointed Chief Executive Officer of Prysmian UK, a role he held until December 2010. He has a degree in Mechanical Engineering from Politecnico di Milano and an M.B.A. degree from Universita Commerciale Luigi Bocconi of Milan.

Hans Nieman

Mr. Hans Nieman serves as Senior Vice President Energy Products at Prysmian S.p.A. since January 2014. He embarked on a diplomatic career with the Dutch Ministry of Foreign Affairs, holding several national and international posts. He started working in the cable industry about 20 years ago after switching to the private sector in 1992, and has since held various positions in NKF, Pirelli and Prysmian. He became CEO of the Submarine and High Voltage Cables division in 2002, and was appointed CEO of Prysmian Germany in 2010, a position he held until 2014. He graduated in Literature from the Universiteit van Amsterdam.

Cristiano Tortelli

Mr. Cristiano Tortelli serves as Senior Vice President Oil & Gas at PRYSMIAN S.P.A. since January 2016. He has long experience in the Oil & Gas industry with several international postings in the Middle East, Africa and Russia. He worked for GE Oil & Gas for more than 15 years, holding several key positions including Subsea Chief Commercial Officer, Russia & East Europe CEO, Turbomachinery Global Sales General Manager and West Africa and Middle East Operations General Manager. He then joined the Air Liquide Group in Germany, leading the Engineering & Solution organization as VP & Chairman. He has a degree in Electronic Engineering and an MBA.

Philippe Vanhille

Mr. Philippe Vanhille serves as Senior Vice President Telecom at Prysmian S.p.A. since May 2013. After graduating as a Mechanical Engineer in Lyon (France) in 1989, he began his career as a Research Engineer for Renault Formula 1 development. He moved to the cable industry in 1991 with Alcatel Cable. Over the past 20 years he has held a number of senior Operations and General Management positions within the cable industry for Alcatel and Draka, and subsequently in the energy, copper telecom and optical fibre sectors. He was head of Draka's Optical Fibre Business Unit at the time of the Prysmian merger, holding the same position in Prysmian Group until his appointment as Senior VP Telecom Business.

Dr. Fabio Ignazio Romeo serves as Executive Director, Chief Strategy Officer at Prysmian S.p.A. since January 2014. He was Executive Director and Executive Vice President Energy Business of the Company until January 2014. He was appointed Executive Vice President Energy Business of the Company on July 2011. Between December 2004 and 2010 he was Director of the Company's Energy Cables division. His first work experience was in 1981 with Tema (ENI Group) as Project Manager for Chemical Plants. In 1982 he moved to Honeywell as Technical Advisor to the Honeywell’s Chief Executive Officer. In 1989 he joined the Electronics division of Magneti Marelli as Innovation Manager. In 1998 he was appointed Managing Director of the Electronics Systems division of Magneti Marelli. He joined the Pirelli Group in 2001 as Director of the Truck business unit for Pirelli Tire division and, one year later, became the Utilities Director of the Cable division of the Pirelli Group. He is also Director at Oman Cables Industry SAOG. He obtained a degree in Electronic Engineering from Politecnico di Milano in 1979, Master of Science and Doctorate in Philosophy in Electrical Engineering and Computer Sciences from the University of California at Berkeley, in 1986 and 1989, respectively.

Alberto Capponi

Mr. Alberto Capponi serves as Non-Executive Independent Director at Prysmian S.p.A. since April 16, 2015. He started his work experience at the Boccolini Studio and provides fiscal and tax advice. In 1979 he makes experience at Procter & Gamble Italy at the Advertising Department and Budget Control. From 1979 to 1984 he worked at the National Bank in the General Management and Marketing Performance Branches Service. Claudio De Conto

Dr. Claudio De Conto serves as Non-Executive Independent Director of Prysmian S.p.A. since July 21, 2010. He also serves as Chairman of the Audit and Member of the Remuneration and Nominating Committees of the Company. After an experience with Ernst & Whinney in the United Kingdom, he joined the Pirelli Group in 1988, initially in Group Treasury and later in 1993 in Accounting, Finance and Control for the group's tyre subsidiaries in Brazil, Spain and Germany. He served as Chief Financial Officer at Pirelli Neumaticos SA (Spain) from 1996 to 2000 and later at Pirelli Deutschland AG (Germany). In 2000 he became Director Administration, Planning and Control of Pirelli SpA. In 2001 he was appointed General Manager Administration and Control of Pirelli SpA, a role he maintained in the holding company Pirelli & C. SpA following the merger with Pirelli SpA in August 2003. From November 2006 up to September 2009 he was General Manager and Chief Operating Officer of Pirelli & C. SpA and was also Member of the Board of Directors of Pirelli Tyre SpA and Chairman of Pirelli Broadband Solutions SpA. Furthermore from December 2008 to May 2010 he has been the Managing Director Finance of Pirelli Real Estate and from July 2009 to May 2010 Executive Chairman of Pirelli Real Estate Credit Servicing SpA. Between 2002 and June 2008 he was in the International Financial Reporting Interpretation Committee (IFRIC) set up within the International Accounting Standards Board (IASB) and now is Member of European Financial Reporting Advisory Group (EFRAG). He is Director of Assicurazioni Generali SpA and Chairman of Star Capital SGR SpA. He is a graduate in Business Administration from Universita Commerciale Luigi Bocconi of Milan.

Monica De Virgiliis

Ms. Monica De Virgiliis serves as Non-Executive Independent Director at Prysmian S.p.A. since April 16, 2015. At the beginning of 1993 she joined Magneti Marelli as a Production Engineer in Electronics Division based in Pavia. In late 1996 she joined the High Commission for the French Atomic Energy and Alternative Energies (CEA) with the mission of developing partnerships with Italian companies. At the beginning of 2001, she joined STMicroelectronics as Business Development Manager for Telecom Wireline Division based in Agrate Brianza. In 2002 she was promoted Strategic Alliances Director for the Advanced Technology group and moves to the headquarters in Geneva. In 2004 she was promoted Group Vice President in charge of Business Development Division Systems and Mobile Multimedia Architecture of Wireless Telecom Group. In 2006 she became General Manager of Video and Home Division in 2007, in the change of customer business model Wireless Telecom, becomes General Manager of the Wireless Multimedia Division with a turnover of over a billion dollars, which successfully operates a transformation of product portfolio and business model. She is one of the main actors of the acquisition-NXP Wireless and the Joint-Venture with Ericsson constitution. Leave ST-Ericsson in early 2010 and is part of ST Microelectronics putting its experience at the disposal of Corporate programs first as Group VP Operational Development and Mergers and Acquisitions and Corporate Strategy. Since November 2015 she joined Infineon with the title of Vice President Industrial Microcontrollers based in Monaco (Germany). She was part of several startups in the years 2010-2014 Board of Directors. She graduated in Electronics Engineering at the Politecnico di Torino in 1992 with honors.

Maria Letizia Mariani

Ms. Maria Letizia Mariani serves as Non-Executive Independent Director at Prysmian S.p.A. since April 16, 2015. After a short research experience she enters Rank Xerox, where, from 1986 to 1989, covering technical and business roles. In 1989 she joined Apollo Computer as a marketing manager from where, as a result of an acquisition, in October 1989 passes through Hewlett Packard. She remains in Hewlett Packard until December 2010, diversifying its experience in Italy and abroad in various roles of increasing responsiilities in the commercial, marketing, services, software and general management. In January 2011, she enters as Philips Lighting Vice President and General Manager for Italy, Greece and Israel. In 2013 she was appointed Senior Vice President & General Manager Lighting Europe. From 2011 to 2015 she also served as Chairman of Luceplan and IltiLuce of which she was also CEO from 2013 to 2015. She graduated with honors in Natural Sciences in 1984 at the Universita degli Studi di Roma La Sapienza.
