Name Description

James Skippen

Mr. James Douglas Skippen is Executive Chairman of the Board of the Company. Mr. Skippen has been the Executive Chairman of Quarterhill and Chief Executive Officer of our Wi-LAN Inc. subsidiary since April 18, 2017, prior to which he was Quarterhill’s President, Chief Executive Officer & Chief Legal Officer since June 2006. Prior to joining Quarterhill, Mr. Skippen had more than 18 years’ legal experience in business management, patent licensing and technology transfer including more than 9 years as a Senior Executive with MOSAID Technologies Incorporated, experience as leader of the Ottawa Technology Practice of the law firm McCarthy Tétrault LLP and more than 8 years as an associate and then partner with the law firm Borden & Elliot (now, Borden Ladner Gervais LLP). Mr. Skippen is a frequent speaker on patent monetization matters. Mr. Skippen holds an LL.B. degree from the University of Ottawa in Ottawa, Ontario. Mr. Skippen is a former member of the Board of the Canadian Diabetes Association, a former member of the Board of Governors of Elmwood School in Ottawa, Canada, a former member of the Board of Directors of the Ottawa Art Gallery.

Douglas Parker

Mr. Douglas Michael Parker is President, Chief Executive Officer, Director of the Company. Prior to Quarterhill, Doug was Senior Vice President, Corporate Development of Open Text Corporation, a Canadian based US $2 billion global leader in enterprise information management. In this role, Doug was a member of the Executive Leadership Team and managed a seasoned group of corporate development professionals with operational responsibility for the company’s corporate development, M&A, integration and venture capital activities. Doug’s professional experience includes leading or involvement in dozens of company acquisitions. During his tenure as head of corporate development, Open Text deployed approximately $2.5 billion into acquisitions, onboarded over 3,500 employees, and added significant accretive revenues. Prior to this position, Doug held senior roles as General Counsel and Assistant Secretary of Open Text and Associate General Counsel of Nortel, where he was responsible for all legal aspects of global M&A. Doug holds an MBA (Executive) from the Richard Ivey School of Business, the University of Western Ontario, an LLB from Queen’s Law School, and a BA from Trinity College, the University of Toronto.

Shaun McEwan

Mr. Shaun McEwan is Chief Financial Officer of the Company. He has more than 20 years of experience in finance and executive leadership positions in public and private high-technology companies. Shaun previously held the position of Chief Financial Officer at WiLAN where he was responsible for all financial and fiscal management aspects of WiLAN’s operations including business planning, accounting, budgeting and financial reporting efforts. Prior to WiLAN, his position at BreconRidge Manufacturing Solutions was Chief Financial Officer where he was responsible for overall financial management. His accomplishments while at BreconRidge included leading private placement transactions that raised more than $40 million and completing numerous corporate acquisitions. Shaun served in increasingly senior positions, prior to BreconRidge, at Calian Technologies Ltd., first as Chief Financial Officer and then President and Chief Executive Officer. During his tenure at the publicly traded company, Shaun was responsible for all its financial affairs, completed several corporate acquisitions and divestitures, helped grow revenues to more than $125 million and served as corporate secretary and as a Director. Shaun also held senior executive positions at Microstar Software and led the company’s initial public offering on the Toronto Stock Exchange in 1993. Shaun holds a Bachelor of Commerce degree from Carleton University and is a Chartered Professional Accountant.

Mr. Terry A. Bergan is International Road Dynamics Chief Executive Officer of the Company. January 1984 to present – International Road Dynamics President and Chief Executive Officer.

Mr. John Vujicic is VIZIYA Chief Executive Officer of the Company. 2006 to present – VIZIYA President and Chief Executive Officer.

Prashant Watchmaker

Mr. Prashant Watchmaker is Senior Vice President, General Counsel of the Company. He oversees all of Quarterhill’s corporate, M&A and securities legal requirements, and acts as corporate secretary for the company. Prashant practiced corporate, securities and technology law and tax litigation with the Ottawa law firm of LaBarge Weinstein Professional Corporation for 10 years, developing extensive experience and negotiating many significant transactions for clients in Canada, the U.S. and the United Kingdom. Prashant has also practiced banking law as Legal Counsel with the Canadian Payments Association. Prashant holds a LLB and a BA from the University of Ottawa and a MA from the University of Toronto. He is a member of the Law Society of Upper Canada.

W. Paul McCarten

Mr. W. Paul McCarten is Lead Independent Director of the Company. Mr. McCarten is the Chairman of the Board and was a partner with the law firm of Borden Ladner Gervais LLP from 1981 to his retirement from that firm on December 31, 2011. Mr. McCarten holds an LL.B. degree from Queens University in Kingston, Ontario and a Bachelor of Arts degree from Carleton University in Ottawa, Ontario. Mr. McCarten was recently a member of the National Board of Directors of Start 2 Finish and is the former National Secretary of the Crohn’s and Colitis Foundation of Canada, is a former Chair of the Board of Directors of the Canadian Diabetes Association. Mr. McCarten is a member of the Institute of Corporate Directors

Roxanne Anderson

Ms. Roxanne Anderson is an Independent Director of the Company. Ms. Anderson is the CEO of March Advisory Inc. which specializes in transformation and turnaround mandates. Ms. Anderson has over 25 years of corporate transformation and turnaround experience, including strategic reviews, financial and operational transformation, turnarounds, risk management and governance across a number of industries but with an emphasis on technology. From September 1985 to July 2012, Ms. Anderson was with PricewaterhouseCoopers LLP where she held various roles including Managing Partner of the National Federal Government Services Practice and Managing Partner of the Ottawa office. Since September 2006, Ms. Anderson has been on the Board of Directors of the University of Ottawa Institute of Mental Health Research and from 2012 to 2016 she was the Chair of that Board. Since May 2014, Ms. Anderson has been an Advisory Board Member of TruReach Health Inc., a mental wellness company. In May 2016, Ms. Anderson was appointed a member of the Departmental Audit Committee for Shared Services Canada, a department of the Government of Canada. Ms. Anderson holds B.Comm. and M.B.A. degrees from McMaster University, Hamilton ON, Canada, and is a Chartered Accountant and Chartered Professional Accountant in the Province of Ontario, Canada and a Chartered Director of the Institute of Corporate Directors. Ms. Anderson is an “independent” member of the Board and is a member of each of the Audit Committee and the Governance Committee.

John Gillberry

Mr. John Kendall Gillberry is Independent Director of the Company. Mr. Gillberry has been a member of audit committees for a number of private and public companies and brings that experience to WiLAN as a member of the Board’s Audit Committee. Mr. Gillberry is the Founder and President of Bayfield Capital Group, a corporate finance advisory firm. Mr. Gillberry was a member of the board of GuestLogix Inc. from March 2015 to September 2016, and its interim Chief Executive Officer since September 2015 to September 2016. From March 2012 to December 2014, Mr. Gillberry was the Executive Vice-President and Chief Financial Officer of eSentire Inc. From May 2011, he has been the Executive Vice- President & Chief Financial Officer of QHR Technologies Inc. From December 2009 to June 2012, Mr. Gillberry was the Chief Executive Officer of Utilitran Corporation and from July 2005 to July 2009, he was the Executive Vice President and Chief Financial Officer of Coreworx Inc. (formerly, Software Innovation Inc.). Mr. Gillberry holds a Master of Business Administration degree from the University of Western Ontario in London, Ontario.

Ronald Laurie

Mr. Ronald Sheldon Laurie is an Independent Director of the Company. Mr. Laurie is the co-founder and Managing Director of Inflexion Point Strategy, LLC, the first intellectual property investment bank, which provides patent brokerage and IP-driven M&A advisory services to technology companies and institutional investors. Prior to launching Inflexion Point in 2004, Mr. Laurie was a founding partner of the Silicon Valley offices of the Skadden Arps, Weil Gotshal and Irell & Manella law firms. At Skadden, Mr. Laurie founded the firm’s IP Strategy & Transactions practice group and led IP teams in some of the largest high-tech and life sciences M&A and joint venture deals ever done, worth over $50 billion in the aggregate. Mr. Laurie holds a J.D. degree from the University of San Francisco School of Law, San Francisco CA, USA, a Bachelor of Science degree in Industrial Engineering from the University of California in Berkeley CA, USA and is registered to practice before the U.S. Patent & Trademark Office.

Ian McKinnon

Mr. Ian H. McKinnon is Independent Director of the Company. Mr. McKinnon is an independent director and technology industry business consultant. Between 1995 and 2007, Mr. McKinnon was President, Chief Executive Officer and a member of the Boards of Directors of each of Promis Systems Corporation Ltd. and Certicom Corp. He is currently Chair of the Board of Directors of Messagepoint Inc., a privately held Canadian software company. Mr. McKinnon was previously a member of the Board of Directors of TSX listed Constellation Software Inc., a member of the Board of Directors of SMART Technologies Inc. and Chair of the Board of Directors of Adeptron Technologies Corporation. Mr. McKinnon holds an Honours B.A. from McMaster University and attended the INSEAD Advanced Management Program.

Richard Shorkey

Mr. Richard J. Shorkey is Independent Director of the Company. Mr. Shorkey is a Chartered Professional Accountant and Chartered Accountant in the Province of Ontario, Canada who has provided part-time and interim chief financial officer services to several technology companies since September 2002. Mr. Shorkey has more than 40 years of industry experience holding senior financial and general management roles in a number of public and private companies, all of which experience he brings to WiLAN as Chair of the Board’s Audit Committee. Mr. Shorkey is a member of the Chartered Professional Accountants of Ontario and of CPA Canada.
