Name Description

Massimo della Porta

Dr. Massimo della Porta has served as Chairman of the Board of SAES Getters S.p.A. since April 21, 2009. Previously, he was also Chief Executive Officer of the Company. He graduated in Mechanical Engineering from Politecnico di Roma in 1989. He joined the SAES Getters Group in 1989 and starts working for SAES Metallurgia SpA, as Researcher with the specific task to set up an Research and Development (R&D) laboratory. In 1991, after focusing on a production processes improvement project, he starts managing the operations of SAES Metallurgia SpA. In 1992, he became the Technical Director of the Avezzano factories, taking care of coordinating the R&D and manufacturing activities of both SAES Metallurgia SpA and SAES Engineering SpA. From 1993 to 1995, he personally attended the building (and in part the project planning) of a new factory in Avezzano, the expansion of the factory in Chincheon, Korea and the one in San Luis Obispo, CA, USA. In 1996, he moved to Milan to become the Group Innovation Manager at the Group Headquarters, while maintaining the previous offices in the Avezzano factories. In April 29, 1997 he was appointed Vice Chairman, Managing Director and Group Chief Technology Officer. He also took the responsibility of the Information Systems at Group Level. In 2003, he is confirmed Vice Chairman and Managing Director and appointed Group Chief Executive Officer. In 2006 he was confirmed in all the offices. He has served as Independent Director at Alto Partners SGR SpA since 2004. He is Director in MGM Srl. He is Inventor of various patented alloys and products. He is an EIRMA (European Industrial Research Management Association) Member.

Giulio Canale

Mr. Giulio Riccardo Canale has served as Chief Executive Officer, Vice Chairman of the Board of SAES Getters S.p.A. since April 21, 2009. In 1991, he graduated in Economics from Universita degli Studi di Genova. From 1984 to 1989, he started his career at IGAP SpA where he held different positions, coming up to the position of Sales Manager. In 1990, he became part of the Saes Getters Group as person representing special Group interests with Saes Getters Korea where he worked for four years. He is the Chairman of Saes Getters Korea. In 1994, he moved to the Tokyo premises of Saes Getters Japan, taking on the role of Asian Markets Coordinator. In 1997, he returned to SaeS Getters SpA of Lainate, Milan, since he was appointed co-Managing Director, and acted as Saes Group Subsidiaries Director. In 2003, he was reconfirmed Managing Director and appointed Group Deputy Chief Executive Officer. In 2006, he was confirmed Managing Director, Deputy Chief Executive Officer and he was appointed Group Chief Financial Officer.

Mr. Stefano Proverbio has served as Non-Executive Lead Independent Director of SAES Getters S.p.A. since 29 April 2015. He is Member of the Audit and Transactions with Related Parties Committees of the Company. He graduated with a degree in Nuclear Engineering from the Politecnico di Milano. He joined McKinsey in 1987, where he remained until 2013 (Principal from 1992 and Director from 1998). During his career with McKinsey, Mr. Proverbio concentrated his efforts on the industry, focusing on the energy, engineering, steel, telecommunications and high-tech sectors. In this context he has worked for Italian and international clients in the field of strategy and operations. He has also led the McKinsey Supply Chain Practice from 1995 to 2000 and the StrategyPractice from 2000 to 2012. From 2008 to 2012 he was also a member of the European Group advising the Managing Director of McKinsey and from 2000 to 2013 he was a member of the Partner evaluation and election committee. Mr. Proverbio currently is Director Emeritus in McKinsey and provides advisory services for the top management of medium-sized firms in Italy and abroad, as well as for investment funds. Prior to joining McKinsey, he worked at Accenture (at that time Arthur Andersen Consulting) for five years, leading projects linked to operations. was a member of t with the Zanussi Group (Zeltron and Ducati) for two years and prior to this a researcher at the Polytechnic of Milan, where he worked on a project in collaboration with EURATOM.

Alessandra della Porta

Ms. Alessandra della Porta has served as Non-Executive Director of SAES Getters S.p.A since 9 May 2013. After graduating with a Law degree in March 1989 from the Universita degli Studi di Milano, she became a member of the professional Association “Janni Fauda & Associates”. She was a member of the professional Association “NCTM” from July 2009 to June 2010. Currently she is a partner in the professional association “Studio DPC”. Ms. Della Porta specialises in civil law in general, with a particular focus on family law. She deals with debt collection assisting a bank, is involved in civil and judicial activities and provides out-of-court assistance and advice on corporate matters. She has been registered in the Register of Lawyers since 9 July 1992 and in the Register of Supreme Court Lawyers since 21 November 2007.

Luigi della Porta

Mr. Luigi Lorenzo della Porta has acted as Non-Executive Directors of SAES Getters S.p.A. since 24 April 2012. He embarked upon his career in Rome in 1975 by founding the first private radio station of the capital with other partners, which he managed until 1979 when he opened the RAM production centre that produces and distributes news and current affairs programmes to private radio stations in Italy. From 1979 he managed the Soram company, the owner of large recording studios studies, which he sold in 1983, the year in which he founded the Delven company, which he currently still manages today and which markets historical military finds from 1500 to 1945. In 1997 he took over a business together with a partner in the centre of Rome offering various collectible items.

Andrea Dogliotti

Mr. Andrea Dogliotti has served as Non-Executive Director of SAES Getters S.p.A. since April 27, 2006. He was also Member of Company's Control and Risk Committee. He started his career in 1974, at Italimpianti, where he became Manager in 1981, working for the start-up and evaluation of projects and investments plans both in Italy and abroad. He managed territorial and logistic projects. He was also in charge for the organizational set up of the company and the IRI Group. From 1995, he was Logistic Development Director of an logistic and shipping company. He managed and develops logistic planning, project management, Information systems, and quality systems. Currently he is Chairman of Fos Progetti Srl, a consulting company in Genoa. He is the Author of numerous publications. He graduated in Mechanical Engineering from Universita degli Studi di Genova in 1974.

Adriano De Maio

Prof. Adriano De Maio has served as Non-Executive Independent Director of SAES Getters S.p.A. since April 24, 2012. Prior to his appointment he served as Non-Executive Lead Independent Director of the Company from April 21, 2009, to April 24, 2012. He also serves as Member of the Company's Nominating and Remuneration Committees. Prior to this position, he served as Non-Executive Independent Member of the Board of Directors of the Company since 2001. From 1998 to 2002, he was Member of the Board of Ecole Centrale Paris and received a diploma of Docteur Honoris Causa in 2003. He also served as Dean of Politecnico di Milano from 1994 to 2002 and was Dean of Luiss Guido Carli Libera Universita Internazionale degli Studi Sociali from 2002 to 2005. Since 1996, he is Chairman of IRER - Istituto di Ricerca della Lombardia. In 2003 and 2004 he acted as Government Commissioner of CNR - Consiglio Nazionale delle Ricerche (the National Research Council). Since May 2005, he is delegated by the President of Regione Lombardia for High education, research and innovation. In addition he is Member of the Compensation Committee at Telecom Italia Media S.p.A., Non Executive Director and Member of both the Audit Committee and the Compensation Committee at TxT e-solutions S.p.A. and Non Executive Director at EEMS S.p.A. He graduated in Civil Engineering from Politecnico di Milano in 1964.

Gaudiana Giusti

Ms. Gaudiana Giusti has served as Non-Executive Independent Director of SAES Getters S.p.A. since 28 April 2015. She is Member of the Remuneration, Audit, Nominating and Transactions with Related Parties Committees of the Company. She graduated with a law degree from the Universita di Pisa in 1987. She has been practicing law in Italy since 1988. Ms. Giusti specialises in corporate law, capital markets, and investment and banking services. She has also accumulated considerable experience in corporate governance, compliance, rules of business conduct, control and remuneration systems and the extraordinary financial transactions of listed and/or regulated companies. In 2016 she held the position of General Counsel of Veneto Banca. Between 2012 and 2016 she held the position of counsel in the Gianni, Origoni, Grippo, Capelli & Partners Firm, a firm that she worked for previously for 12 years until 2007. Between 2007 and 2012 she worked at Credit Suisse (Italy) as Head of General Counsel Country Coverage. In this position, she acted as senior representative of the General Counsel division for Italy, responsible for the coordination of Legal and Compliance issues. She was a member of the Italian Management Committee, in charge of the strategic management of Italian business for the three divisions (Investment Banking, Private Banking and Asset Management). She also sat on the Diversity and Philanthropy Council for Italy. She is an independent director of A2A S.p.A. and a member of the Supervisory Body, pursuant to Decree 231, of several bodies of the Credit Suisse group and SAES Getters S.p.A. She was also an independent director and chairwoman of the Risk Committee of Banca Farmafactoring and an independent director of Trevi Finanziaria S.p.A. Ms. Giusti has participated in many conferences and has worked and still works as a lecturer for degree and specialisation courses at the Università Commerciale “Luigi Bocconi” and the Università LUISS “Guido Carli”, as well as in seminars.

Luciana Rovelli

Ms. Luciana Sara Rovelli has served as Non-Executive Independent Director of SAES Getters S.p.A. since 28 April 2015. She is Member of the Audit, Remuneration and Nominating Committees of the Company. After graduating with a degree in Business Economics from the Universita Commerciale Luigi Bocconi in 1997, Ms. Rovelli gained 13 years’ experience as the coordinator of various projects for Italian companies and international groups (Protiviti, Deloitte and Arthur Andersen), achieving the role of senior manager. During her professional career she gained material expertise in Risk Management, Corporate Governance, Internal Auditing, the evaluation of internal control systems, and the design and implementation of organisation, management and control models pursuant to Italian Legislative Decree 231/2001. In recent years, first as an executive manager for the “231 Division” in Protiviti and then as an independent consultant, she completed numerous projects for Italian and international clients aimed at the development of organisation models, codes of conduct, training plans and auditing in collaboration with control bodies, as a project coordinator. She is the co-founder and Managing Partner of RC Advisory S.r.l., a consultancy firm founded in 2010 by a team of experts with experience in Strategy and Risk Analysis Consultancy. Ms. Rovelli is a member of the Supervisory Board of the Edison Group and the Gucci Group. She is Chairwoman of the Supervisory Board of Maire Tecnimont, Generali, Galbusera, Henry Shein, La Gardenia, Philips Saeco and in a subsidiary of Société Générale. She is also a member of the Italian Association of Supervisory Bodies and the Italian Association of Internal Auditors.
