Biographies

Name Description

Luca Fabbro

Mr. Luca Dal Fabbro is Independent Chairman of the Board of the Company. He is also Vice President of the Circular Economy Network, a project to promote the development of the circular economy in Italy, and co-Founder of the European Association OCCE (Organization for Climate and Circular Economy) in Brussels. He is General Manager of INSO, an engineering and construction company, and contract professor at MBA LUISS University in Rome. Dal Fabbro is also on the advisory board of Aspen Friends Association. He boasts an extensive international managerial experience in leading energy and industrial companies: he was previously CEO of Enel Energia SpA and E.On Italia SpA, and manager of Techint and Procter & Gamble. As Chairman, he successfully listed the advanced energy storage company Electro Power Systems S.A. on Euronext Paris. Until March 2019 he served as an independent board member of Terna for five years. He holds a BSc and an MSc in Engineering at I University of Rome and a Postgraduate degree in International Politics at ULB Centre d'Etudes des Relations Internationales & Stratégiques in Brussels; he also studied advanced management at M.I.T. Sloan School in Boston.

Marco Alvera

Mr. Marco Alvera serves as Chief Executive Officer, Director at Snam S.p.A. He is Chief Executive Officer at Snam S.p.A. since April 27, 2016. He is an Italian-American businessman and has been the CEO of Snam, Europe’s largest natural gas utility, since April 2016. Marco has about 20 years of experience in Italy’s most prominent energy companies. He holds a degree in Economics and Philosophy from the London School of Economics and began his career working at Goldman Sachs in London before moving to Enel and subsequently joining Wind.Afterwards, he moved to Eni, where he worked for 11 years holding various positions of increasing responsibility. He currently serves as President of GasNaturally, a partnership of six associations from across the whole European gas value chain, non-executive director of S&P Global and member of the Executive Board of the Giorgio Cini Foundation in Venice. Marco is a Visiting Fellow of the University of Oxford.

Franco Pruzzi

Mr. Franco Pruzzi is Chief Financial Officer of the Company. Franco Prussi, born in Voghera (PV) in 1964, Economics and Business graduate, joined the Snam Group in September 1989 where he performed Internal Auditing activities and participated in extraordinary transactions selling businesses and business units. In 1997 he was appointed Head of Accounting and Finance and, in addition to overseeing the institutional activities, he also oversaw extraordinary company transactions. In 2001 he was appointed Head of Administration and Finance at Snam, reporting directly to the CFO, and participated in the listing of the company on Milan Stock Exchange, was responsible for preparing the financial information of the Company and the Group and fulfilling the accounting requirements of the stock market control bodies Borsa Italiana and Consob. Until 2011 he acted as secretary of the Board of Statutory Auditors of Snam. In 2004, he managed the process for the adoption of IFRS international accounting standards at Snam and in February 2005 he was appointed Coordinator of the Project Team working on the adaptation of the Snam Rete Gas Control System to the provisions of the Sarbanes Oxley Act and the ensuing obligations introduced by the Italian Savings Law, ensuring compliance with the latter since that time.

Paola Boromei

Ms. Paola Boromei serves as Executive Vice President of Human Resources & Organisation at Snam S.p.A. since March 2017. With a degree in Psicology of Organization at Università Cattolica del Sacro Cuore in Milan and a Master’s Degree in Organization and Personnel at SDA Bocconi School of Management, she began her career at L’Oréal Group in 2000, where she remained until 2011, holding roles of increasing responsibility in the Human Resources & Marketing department of the Mass Market Division. In 2005 she was appointed Human Resources Director at L’Oréal Prodotti di lusso S.p.A.. In 2008 she was appointed Human Resources Director Europe at Paris headquarters, and subsequently became Global HR Director of the Travel Retail division. In 2010 she obtained a Master Executive (CEDEP) at Insead Business School. From 2011 to 2013 she was Human Resources Director for the Mediterranean region at Ernst&Young (EY). From the end of 2013 to February 2017 she was HR & Organization Director at Humanitas, Techint Group.

Camilla Palladino

Ms. Camilla Alessandra Palladino serves as Executive Vice President of Corporate Strategy and Investor Relations at Snam S.p.A. since November 2016. She holds degree in Literature and History from Oxford University and a MSc in European Policy from the London School of Economics, she began her career in 2001 working as a reporter at Breakingviews, dealing with financial analysis with a specific focus on Italy. In 2006 she joined Eni where, over the course of 9 years, she held positions of increasing responsibility, firstly as Head of Internal Communications and subsequently as Vice President Leadership and Talent Development. In 2010 she was appointed Senior Vice President Investor Relations, a role she held until her appointment as Senior Vice President Media Relations in 2013. In 2015 she was appointed Senior Vice President Public Affairs and Communications at Saipem.

Gaetano Mazzitelli

Mr. Gaetano Mazzitelli serves as Executive Vice President of Regulatory Affairs of Snam S.p.A. since December 2011. He graduate in Mechanical Engineering at the Politecnico di Milano, he also achieved a Master on Business for Energy and environment at the Eni School for higher studies "Enrico Mattei". He began his career in Snam in 1995 and in 2000 he was appointed as Project Evaluation Manager. He took part to different national and international acquisition projects as well as to the unbundling of transmission and re-gasification activities. In 2001 he was appointed as Manager for Project Evaluation and Tariffs at Snam Rete Gas, being in charge for ensuring the investment planning and defining tariff proposals related to regulated services. In this context, he took part to the IPO of the company, assessing in particular the areas of value generation in the new regulatory framework. In 2006 he was appointed as Business Development Manager at Snam Rete Gas, in charge for ensuring the definition of tariffs and network code proposals, the gas demand forecast as well as the monitoring of market and regulation in order to identify development opportunities. In this context, he participated to the Stogit and Italgas acquisition project and to their subsequent integration. In 2010 he took charge of the Regulation and in 2011 he was appointed as Executive Vice President of Regulatory Affairs of Snam. Currently he is Board Director in TAG Gmbh (the Austrian Company responsible to manage the Transport Pipeline along the interconnection route between Russia and Italy) and in Interconnector UK Ltd (the pipeline connecting Great Britain with continental Europe). Since March 2017 he has been Chair of the Shareholder Meeting of PRISMA European Capacity Platform GmbH. He has also a long experience in the activities of Associative Bodies in the natural gas sector.

Massimo Montecchiari

Mr. Massimo Montecchiari is Executive Vice President - International Engineering & Construction of the Company. He is also Senior Vice President of Engineering & Construction for transmission activities since 2011. Graduated in civil engineering, hydraulic section, at the University of Bologna, after a short work experience at a construction company that operated on Snam building sites, he joined Snam Progetti in 1985 where he oversaw construction activities for development projects of Snam pipelines on the national territory. In 1987 he took on the role of Project Manager and Works Manager in Bonatti, dealing with gas distribution projects for the methanation program in the South of Italy. After this three-year experience, he returned to Snam Progetti to hold the position of Project Manager to follow the activities of the second stretch of the Transmed pipeline in Sicily. From 1995 to 2000, always with Snam Progetti in the position of Project Manager, he took care of the development projects of the Snam network throughout the country. In July 2000 he moved to Austria to head the Austrian branch of Snam Progetti where he also plays the role of Project Manager of the TAG Loop 2 project (OMV client). In 2003 he became Project Manager of the Consortium Eni - Cepav Uno (General Contractor) for the complete construction of the MI-BO High Speed railway line, ensuring the coordination and control of the activities and constantly interfacing with the client and the local administrations. In 2006 he definitively joined Snam as Project Manager for the realization of Investment Projects, subsequently being appointed Senior Vice President in 2011.

Cosma Panzacchi

Mr. Cosma Panzacchi serves as Executive Vice President Digital Transformation & Technology of SNAM S.P.A. since January 2018. In this position he is in charge of three, main, areas: the traditional ICT business, the digitalization programs across the Group and the development of an open innovation hub within Snam. Prior to his current role, he was Chief of Staff to Snam’s CEO and led the Lean Program, which encompassed the entire Group and aimed at simplifying processes, while accelerating the delivery on efficiencies. Before joining Snam, Cosma was Senior Analyst (Director) for European Utilities at AB Bernstein, part of the AllianceBernstein group (more than $ 550 bn AUM). As a Senior Analyst, he ranked 3rd in the 2017 Institutional Investor All-Europe Research Team, won the European Rising Star award by Extel in 2016 and reached the 4th position in Greenwich 2016 EU Survey. He also spearheaded several energy-focused Investors’ events including roadshows, reverse roadshows and conferences. Prior to Bernstein, Cosma was a Junior Partner at McKinsey & Company, where he was a member of the European Leadership of both the Power & Natural Gas and Oil & Gas Practices, focusing on operational and strategic engagements. In this position, he covered the gas, power and oil value chains, working - among other countries - in Italy, France, Russia, Germany, Spain, Belgium, Turkey, Azerbaijan and Libya. Cosma holds a MBA from the Stanford Graduate School of Business (where he was leader of the European Club and NOVA School Leader). He earned a M. Sc. in Economics (Laurea) from the University of Pisa and a Licence (Diploma di Licenza) from the Scuola Superiore Sant’Anna di Pisa, both cum laude.

Patrizia Rutigliano

Ms. Patrizia Rutigliano is Executive Vice President - Government Affairs, Corporate Social Responsibility and Communications of the Company. She is Executive Vice President of Government Affairs, Corporate Social Responsibility and Communications. From June 2011 to July 2016 she was President of Ferpi, the Italian Federation of Public Relations. A professional journalist, she began her career at Mondo Economico, before moving onto Fininvest and Euronews. Between October 1997 and January 2001 she was Spokesperson for Milan City Council, during the privatization phase of the major local utilities. From January 2001 to March 2004 she was Head of External Relations at Fastweb and Manager of the e.Biscom Press Office, playing a key role in the start-up of the company from its listing onwards. Between April 2004 and November 2009 she was Director of Communications at Autogrill, where she was involved in the development and diversification of the Group's business in Italy and abroad. She is currently member of the General Council of Assolombarda, where she is also member of the Energy Group and coordinator for Oil & Gas industry. She is currently Board member of TIGF (from 2018 Teréga) Holding and of Il Cittadino di Monza e Brianza and was part of the Board of Directors of Fiera Milano. She is a lecturer at the High School of Media, Communication and Entertainment at Università Cattolica del Sacro Cuore of Milan, as part of the Master's course in Media Relations and Corporate Communications. Since 2012 she is a member of the steering committee of the Department of Political Science at LUISS Guido Carli of Rome. She is also a member of the scientific committee of RIE (Industrial and Energetic Research). She has a degree in Foreign Languages and Literature, her thesis focusing on aspects of the Jewish culture in the films of Woody Allen, and produced together with the Faculty of Arts and Science of Columbia University.

Lorenzo Alzati

Mr. Lorenzo Alzati serves as Senior Vice President - Internal Audit at Snam S.p.A. since February 1, 2017. He holds degree in Business, he began his career in 1997 at Arthur Andersen working in audit. In 2000 he joined the commercial control unit of Iveco, which was part of the Fiat Group. At the end of 2002 he joined Eni Servizi Amministrativi, dealing with planning and monitoring. He held the same role in Sofid, a financial intermediary subject to the supervision of Bank of Italy, from April 2004 to October 2006, when he was named Head of Internal Audit. In 2007 he joined the Internal Audit department of Eni, where he took on roles of increasing responsibility, first as Head of Financial and Administrative Services Audit, and then as Head of Supply & Trading Processes Audit, until January 2017.

Marco Reggiani

Mr. Marco Reggiani is General Counsel of Snam S.p.A. He was General Counsel, Secretary at Snam S.p.A. Previously, he was Director of Legal Corporate Affairs and Compliance at the firm from January 2012 to 2014. Previously he served as Director of Corporate and Legal Affairs since January 2010. Previously, he covered responsibility roles in the Eni group and in particular, from June 2006 to December 2009 he took care of ethics and corporate responsibility issues including inter alia Criminal Law, Code of Ethics, Anti-Bribery policies and Model 231 of Eni. From October 2001 to May 2006 he also managed the legal assistance for Eni’s exploration and production activities in Italy. Moreover, from 2002 to 2006 he was appointed as Chairman of the Legal Affairs Committee of Assomineraria. Mr. Reggiani is also board member of Snam Rete Gas and Stogit. A graduate in Law at the Universita degli Studi di Parma, he achieved the Masters on advanced studies in trans-national law at the Universita degli Studi di Trento. He is also Professor of Environmental Law in the Faculty of Law at LIUC University of Castellanza.

Sergio Busato

Mr. Sergio Busato is Chief Global Solutions Officer of Snam S.p.A. since June 2017. He was Chief Corporate Services Officer at Snam S.p.A. from November 2016 to June 2017. He was Director of Human Resources, Organization & Security at Snam S.p.A. from July 2015. He graduated in Biology from Universita degli Studi di Roma La Sapienza. He is initially dealt with research and study of mineral deposits with University of Rome, Aeneas and Agip Nucleare and subsequently enters Agip S.p.A. in 1985. After gaining experience in the upstream business, onshore and offshore, passes to the Human Resources and Organisation where the 1990 to 1997 he held positions of increasing responsibility, both in Italy and abroad, in the fields of Education, Change Management, personnel management, industrial relations, organization, Security and Health. Has contributed, since the negotiation phases initiated in 1990, the development of activities that led to project initiatives in Kazkahstan and from 1998 to 2001 he worked in Kazakhstan, as Human Resources Senior Manager, alternating its presence in Kazakhstan, Russia and Great Britain in the Joint Venture Karachaganak formed with British partners, Americans, Russians and Kazakhs. Returning to Italy he was appointed Head of International Personnel Agip S.p.A. until 2005 completing the his work experience, human and social in over 30 countries. In the following years further consolidates its profile taking responsibility for Personnel, Organization and ICT in the Engineering industry leader, Generation and Electric Photovoltaic (EniPower and Snamprogetti) and then in the Engineering and Construction (Saipem) with particular attention to the management of international staff distributed on all continents. From 2009 Eni S.p.A., assumes the role of HR Director of the Refining & Marketing Division.

Federico Ermoli

Mr. Federico Ermoli is Chief International Assets Officer at Snam S.p.A. He was Head of Business Development and Foreign Activities at Snam S.p.A. from April 2013. He graduated in Business Administration, with a specialization in Corporate Finance at Universita Bocconi Milan in 1984 built his managerial career Financial sector in Snam. Then as Foreign activities coordinator Eni Gas & Power has consolidated his experience International holding numerous positions of summit in a number of foreign companies in Germany, Switzerland, Spain, Portugal, Tunisia and Holland. These include the role of CEO of GALP Energy and CEO of Transgas, from 2001 to 2004. He also held project management roles in projects Industrial as the construction of the underwater gas pipeline Blue Stream between Russia and Turkey and operations M & A deals such as the acquisition of the French company TIGF. Italgas in 2006 to 2011 as CFO falls Snam, in January 2012, in the position of Director Planning, Insurance and Finance to guide the start-up of the financial assets of the company.

Paolo Mosa

Mr. Paolo Mosa is Chief Commercial, Regulation & Development Officer at Snam S.p.A. since 2016. He was Chief Executive Officer of Rete Gas a subsidiary of Snam S.p.A. He started his career in Snam SpA in 1987. Since 2001 he has been in Snam Rete Gas SpA as director responsible for the activities of investment planning for the development of networks and for the management of transport contracts. He has been Vice President of Gas Transmission Europe since 2006. Between 2000 and 2001 he was responsible for coordinating the foreign companies invested in by Snam SpA and served as CEO of TMPC Ltd and Director of TAG GmbH, TEMP GmbH, TTPC Ltd and Transitgas SA. He graduated in 1985 from Politecnico di Milano in Mechanical Engineering.

Mr. Yunpeng He serves as Non Executive Director at Snam S.p.A. since January 26, 2015. Bachelor's Degree and Master's Degree in Electric and Automation Engineering from Tianjin University. Master's degree in Management of Technology from the Rensselaer Polytechnic Institute (RPI). Currently holds the office of Board Director of CDP Reti S.p.A., Terna S.p.A., Italgas S.p.A. and IPTO S.A. (the TSO for the Hellenic Eletricity Trasmission System). He has held the position of Deputy Director General of European Representative Office of State Grid Corporation of China from January 2013 to December 2014. He has held the following positions at State Grid Tianjin Electric Power Company: Vice Chief Technical Officer (CTO) from December 2008 to September 2012, Director of the economic and legal department from June 2011 to September 2012, Director of planning and development department from October 2005 to December 2008, Director of the planning and design department from January 2002 to October 2005. He has also held the position of Head of the Tianjin Binhai Power Company from December 2008 to March 2010 and of Chairman of the Tianjin Electric Power Design Institute from June 2000 to January 2002. From January 26, 2015 he is a Board Director of Snam S.p.A.

Alessandro Tonetti

Mr. Alessandro Tonetti serves as Non-Executive Director at Snam S.p.A. is Vice General Manager and Chief Legal Officer of Cassa Depositi e Prestiti S.p.A. A cum laude graduate in Law, he won two one-year scholarships for specialization courses in Administrative Sciences, with particular reference to Economic Public Law under the direction of Professor Sabino Cassese. Subsequently, he obtained a PhD in Administrative Law and Organization and Functioning of the Public Administration at the Sapienza University in Rome and a postgraduate specialization diploma in European Public Law at the Academy of European Public Law of the Kapodistrian University of Athens, with an in-depth examination on the subject of competition and state aid. In December 2010 he became a senior executive at Cassa Depositi e Prestiti S.p.A. From June 2013 to February 2016, he was a member of the “Nucleo tecnico per il coordinamento della politica economica” (Technical Team for coordination of economic policy) in support of the Prime Minister' office and then since March 2014 he has held the position of deputy Head of Cabinet of the Ministry of Economy and Finance. In this latter period, as representative for the Ministry of Economy and Finance, he was a member of the “Gruppo di coordinamento per l’attuazione della disciplina dei poteri speciali sugli assetti societari" (Coordination group for the implementation of regulations on special powers on share ownership) operating at the Prime Minister’s office. In the past, he has held managerial and executive roles at the Prime Minister's Office and was a member of the "Nucleo di consulenza per la regolazione dei servizi pubblici" (Advisory Team for public service regulation), as well as of the Technical Secretariat of the National Management Committee for economic programming, also operating at the Prime Minister's office, in support of the activity of the Inter-ministerial Committee for economic programming.

Laura Cavatorta

Ms. Laura Cavatorta is Non-Executive Independent Director of the Company. She acquired over twenty years of managerial experience in air transport, with roles of increasing responsibility in the Alitalia Group from 1995 to 2017. She has held positions of operational responsibility with a workforce of 3,000-5,000. She has acquired specific expertise on the phases of restructuring, mergers, acquisitions and receivership, and on impacts, including process re-engineering and HR dynamics, acquiring particular consciousness of the many dimensions involved in each corporate “change”. AICAS member – Italian Association of Directors and Statutory Auditors. She has attended courses for Directors with Assogestioni and Valore D. She has a keen interest in corporate governance, and in particular has examined ESG matters and the various expressions through which to substantialise an approach aimed at sustainable development over time. She is an active follower of the B Corp movement, committed to disseminating a paradigm of sustainable business, able to develop profits while impacting positively on society and the environment.

Francesco Gori

Dr. Francesco Gori serves as Non-Executive Independent Director of Snam S.p.A. since March 26, 2013. He graduated with honours in Business and Economics from the University of Florence, working at the same time first in a software company and then in the paper industry, again in Florence. He joined Pirelli in 1978 where he was promoted as an executive in 1984 and where, after various assignments in commercial, marketing and M&A roles in Italy and abroad, he was appointed General Manager of the Tyre Division in 2001, Chief Executive Officer of Pirelli Tyre Spa in 2006 and, in 2009, also General Manager of Pirelli & C. During his 10 years tenure Pirelli Tyre doubled its revenues and from a cash burning, one digit Ebitda became a cask positive, high teens Ebitda company thanks to the execution of a premium strategy which translated into a higher top and bottom line growth than its peers, culminating with the entry in F1 as a sole supplier in 2010. From 2006 to 2011 and for two consecutive terms he was elected president of ETRMA, the European Tyre & Rubber Manufacturers' Association. In 2012 he decided to leave the Pirelli group From 2013 to 2015 he was an Industrial Advisor of Malacalza Investimenti and, from 2014, Managing Director of the CCR (Corporate Credit Recovery) fund of Dea Capital Alternative Funds Sgr where he currently is a Senior Advisor. From 2015 he is a non-executive director on the Supervisory and Management boards of Apollo Tyres Ltd, a leading company in the sector and listed in India. In 2016 he became Chairman of Benetton Group Srl for two years. He was appointed as a member of the Board of Directors of Prysmian Group S.p.A on September 18th, 2018.

Antonio Marano

Mr. Antonio Marano is Non-Executive Independent Director of the Company. He is currently Chief Executive Officer of Partners 4 Energy S.r.l., an independent financial advisory company focusing on infrastructures and renewable energies. He provides financial institutions and companies with strategic support in these areas, in relation to mergers and acquisitions, loans and fundraising. He is a board member of Concessioni Autostradali Lombarde S.p.A and Chairman of Aeroporto FVG S.p.A. In 1998, after working in managerial roles at finance companies, he became General Manager for Italy of Commerzbank AG and later, in 2003, Director for Development at Autostrade S.p.A.. In 2007, after working in the role of Chief Executive Officer and General Manager of Scala Capital S.p.A., he became Head of the “Public Sector FIG & Intrastructures Italia” department of Unicredit corporate banking.

Francesca Pace

Ms. Francesca Pace is Non-Executive Independent Director of the company. She has worked in academia as a professor of civil law She has been an independent director of Cassa di Risparmio di Orvieto since May 2018. In addition to providing consultancy for commercial law, regulatory law, antitrust, M&A, restructuring, contract regulations and disputes, and her past roles as judicial commissioner and judicial receiver of some Italian companies, she has also been Director of Legal and Corporate Affairs at WIND Telecomunicazioni S.p.A. and member of the Board of Directors of Banca Tercas and Acquedotto Pugliese S.p.A.

Rita Rolli

Ms. Rita Rolli is Non-Executive Independent Director of the Company. She is a Court of Cassation lawyer and pursues her professional activity in the field of civil law, commercial and corporate law - both in court and out of court and in arbitration procedures - and bankruptcy law (Studio Galgano). She teaches as a Full Professor of Private Law on the Master’s degree programme in Law in the Department of Law at the University of Bologna. She offers advice to leading companies in Italy, including ones listed on the Italian stock exchange, with reference to Corporate Governance and relations with CONSOB, national and international contract regulations, and legal assistance and consultancy in extraordinary corporate transactions.
