Name Description

Martin Maeland

Mr. Martin Maeland has been Chairman of the Board of Directors of Veidekke ASA since 2009. He has been Member of the Company's Board of Directors since 2002 and served as its Vice Chairman between January 1, 2008 and 2009. He chairs the Company's Remuneration Committee and Property Committee. He was previously President and CEO of OBOS (1983-2015) and currently sits on a number of boards. He is Chairman of Norwegian Property ASA, Board Deputy Chairman of Arctic Securities AS, Ticon Eiendom, Bjaertnes & Hoel and Kultur- og Idrettsbygg Oslo. He has previously been Board Member/Chairman of Kredittkassen, VEAS (Vestfjorden Avlopsselskap), AF Group, FONUS, Oslo Byhall, Oslo Byfornyelse, INBY, Dagsavisen and others. Previously, he was municipal counselor in City of Oslo and planner in Oslo Lysverker.

Arne Giske

Mr. Arne Giske has been appointed Chief Executive Officer (CEO) and President of Veidekke ASA effective as of July 1, 2013. Before that, he has served as Executive Vice President of Property Development Division in Scandinavia at the Company from 2007. Before that, he served as Executive Vice President and Chief Financial Officer of the Company between May 2001 and 2007. Prior to joining the Company in 2001, he was General Secretary at The Association for the Promotion of Skiing from 1997 until 2001. Earlier in his career, he worked in various positions, including Executive Vice President and Chief Financial Officer (CFO), Deputy Chief Executive Officer from 1992 to 1997 at ABB; CFO at Elektrisk Bureau AS (1987-1992); Finance Manager at Elektro Union AS (1986-1987) and Treasurer at National Elektro AS (1983-1986). Previously he was Board Member in Anthon B Nilsen AS (1999-2011) and Chairman of ABB Asea Skandia AS, ABB Komponent AS, ABB Eiendom AS, ABB Financial Services AS, ABB Pensjonskasse and Project Risk Committee (1992-1997). He holds a Master’s degree in Business and Economics from Handelshoyskolen BI from 1981 and a Master of Business Administration degree from the University of Wisconsin from 1982. He also completed International Finance Program at ISNEAD in 1986.

Per Dyb

Mr. Per Otto Dyb serves as Deputy Chairman of the Board of Directors of Veidekke ASA. He has been Member of the Board of Directors of the Company since May 10, 2012. He is Member of the Company's Remuneration Committee. He is Chairman of Innovasjon Norge and Sivantos, Board Deputy Chairman at Gc Rieber AS, Board member at Digitread, Jacob Hatteland Solutions and Composites Energy Solutions. Dyb has extensive experience in key leadership positions in Tandberg Data, ABB Flexible Automation, Kverneland, Hjellegjerde, Siemens, both in Norway and internationally. He was President and CEO of Siemens Norway. He holds a graduate degree in Technical Cybernetics from Norges Teknisk-Naturvitenskapelige Universitet (NTNU).

Terje Larsen

Mr. Terje Larsen serves as Executive Vice President, responsible for Accounting & Finance, IT, Procurement and Strategy of Veidekke ASA. Mr. Terje Larsen has been employed at Veidekke since 2001 and has been Executive Vice President since 2013. Mr. Larsen has a Master’s in Business and Economics from BI Norwegian Business School and an MBA from the University of Wisconsin.

Hege Schoyen Dillner

Ms. Hege Schoyen Dillner has served as Executive Vice President, responsible for Human Resources, Health and Safety, Environment and Legal at Veidekke ASA since 2013. She is no longer responsible for Communications of the Company, effective as of October 1, 2016. She joined the Company from the position of Division Director at the Norwegian Directorate for Education and Training. In the past, she also held senior HR positions in the Aker group and consulting company Capgemini. Ms. Schoyen Dillner holds a Master's degree in Education from Univeristetet i Oslo.

Dag Andresen

Mr. Dag Andresen has served as Executive Vice President, Construction Norway at Veidekke ASA since 2001. He joined the Company in 1986 as Financial Manager for Region Oslo. From 1988 to 1990, he was Finance Manager for Heavy Construction Division at the Company. He also served as Finance Director, from 1990 to 1992, Controller, from 1992 until 1994; Senior Vice President, Finance, from 1994 until 1999, and Senior Vice President, Industry Division, between 1999 and 2001. He holds a Master’s degree in Business and Economics from Handelshoyskolen BI.

Jimmy Bengtsson

Mr. Jimmy Bengtsson has been Executive Vice President Sweden at Veidekke ASA since January 1, 2016. He came from the position of CEO of Veidekke's subsidiary Arcona AB in Stockholm (2007-2015). He is a graduate engineer from the Royal Institute of Technology in Stockholm, and spent 16 years with Skanska. He has held the position of Managing Director of Arcona since 2007.

Lars Lund

Mr. Lars Erik Lund has been appointed Executive Vice President, responsible for Communications and Public Affairs of Veidekke ASA, effective as of October 1, 2016. He has more than 20 years of experience with communication work in various organisations. For the past 15 years, he has worked as an adviser to the management of a number of listed companies. He was involved in the establishment of Crux Kommunikasjon, and he has also been an adviser to Veidekke. For the last two years, Lund has been employed as a special adviser to the corporate management team of Statoil in the field of financial communication. He has a Master’s degree in Business and Economics from the Norwegian School of Economics (NHH) in Bergen.

Jorgen Wiese Porsmyr

Mr. Jorgen Wiese Porsmyr has served as Executive Vice President Industrial, Property Development & Denmark at Veidekke ASA since September 1, 2013. He has previously been Executive Vice President and Manager of Veidekke Industri and Veidekke Eiendom since April 15, 2013. He is no longer Chief Financial Officer of the Company, effective as of September 1, 2013. He joined Veidekke in 1995 and has held such positions as Controller, Construction Operations, Norway (1995-1997); Chief Accountant, Industry Division (1997-2003), and Director, Corporate Accounts (2003-2007). Mr. Wiese Porsmyr has obtained a Master of Science degree in Economics and Business Administration from Norges Handelshoyskole, Bergen - NHH and from Hochschule St. Gallen.

Ann-Christin Andersen

Ms. Ann-Christin Andersen has been Member of the Board of Directors of Veidekke ASA since May 10, 2012. She is Member of the Company's Audit Committee. She holds a graduate degree in Offshore Electrical Engineering from Heriot-Watt in Edinburgh. She has extensive offshore industry experience with ABB, Kongsberg Simrad and FMC, where she has held key positions in project management, safety, quality, and management positions with international responsibility. Andersen is currently Managing Director of TechnipFMC in Norway and VP Subsea Projects Norway & Russia of Technip FMC.

Gro Bakstad

Ms. Gro Bakstad has been Member of the Board of Directors of Veidekke ASA since 2010. She is Chair of Company’s Audit Committee and Member of Property Committee. She holds an MBA from the Norwegian School of Economics and Business Administration with a Master’s in accounting and auditing from the same place. She has long experience from senior positions in finance in Ocean Rig, ProCorp and Norway Post. She is currently Executive Vice President, Division Mail at Norway Post. She was appointed "This year's Business Leader" in Norway in 2007. Bakstad is a Board member of DNB Bank ASA and Arbeidsgiverforeningen Spekter.

Ingalill Berglund

Ms. Ingalill Marie Berglund has been Member of the Board of Directors of Veidekke ASA since May 5, 2016. She is Member of Property Committee. Berglund is share member at Scandic Hotels and Axfast Eiendom. Ingalill has more than 20 years’ experience in the property industry. Her most recent position (2011–2016) was CEO of Atrium Ljungberg AB (publ), a Swedish property development and management company focusing on retail and offices, which is listed on Nasdaq OMX Stockholm, Large Cap. Prior to that, she was CFO of the same company (2001–2011). Her previous positions include working as CFO of a municipal property company, SISAB, and as an auditor. She is currently actively involved in board work and runs her own consultancy business.

Arve Fludal

Mr. Arve Fludal has been Director, Employee Representative at Veidekke ASA since May 2015. He represents salaried employees. He is employed in Veidekke since 1998. He is construction manager in Construction Norway.

Ingolv Hoyland

Mr. Ingolv Hoyland has been Director of Veidekke ASA since May 10, 2017. Ingolv Hoyland holds a M.Sc. in Civil Engineering from NTH and a M.Sc. in Business from NHH. He previously worked as a crane operator and concrete worker in Construction Norway. He is senior shop steward for Special projects and Heavy construction and holds honorary positions in trade union movement.

Hans von Uthmann

Mr. Hans von Uthmann has been Member of the Board of Directors of Veidekke ASA since 2010. He also serves as Member of the Company's Remuneration and Audit Committees. He is Chairman of Springtime Resor, Falbygdens Energi and board member at Svenska Olympiske Komiteen. He holds an MBA from the Stockholm School of Economics. He has held many key leadership positions in Swedish industry including SEVP and Head of Vattenfall Nordic, CEO of Duni AB and AB Svenska Shell. In the period 1992 to 1994 he worked for Shell in Norway. He has also held a number of central board positions including in the Swedish Confederation of Enterprises, Fortum Oyj, Swedish Energy and as head of the Swedish Basketball Association. He is presently a senior partner in the consulting company Neuman & Nydahl and is associated with the private equity firm EQT as Industrial Advisor.
