Name Description

Lindsay Maxsted

Mr. Lindsay Philip Maxsted is Independent Non-Executive Chairman of the Board of Westpac Banking Corporation. He is Director since March 2008 and Chairman since December 2011. Lindsay was formerly a partner at KPMG and was the CEO of that firm from 2001 to 2007. His principal area of practice prior to becoming CEO was in the corporate recovery field managing a number of Australia’s largest insolvency/workout/turnaround engagements including Linter Textiles (companies associated with Abraham Goldberg), Bell Publishing Group, Bond Brewing, McEwans Hardware and Brashs. He is also a former Director and Chairman of the Victorian Public Transport Corporation. He is Chairman of Transurban Group, Managing Director of Align Capital Pty Ltd and a director of BHP Billiton Limited, BHP Billiton plc and Baker IDI Heart and Diabetes Institute Holdings Limited.

Brian Hartzer

Mr. Brian Charles Hartzer serves as Chief Executive Officer, Managing Director, Executive Director of Westpac Banking Corp. Brian has been Managing Director & Chief Executive Officer since February 2015. Brian was appointed Managing Director & Chief Executive Officer in February 2015. Brian joined Westpac as Chief Executive, Australian Financial Services in June 2012 encompassing Westpac Retail & Business Banking, St.George Banking Group and BT Financial Group. Prior to joining Westpac, Brian spent three years in the UK as CEO for Retail, Wealth and Ulster Bank at the Royal Bank of Scotland Group. Prior to that, he spent ten years with Australia and New Zealand Banking Group Limited (ANZ) in Australia in a variety of roles, including his final role as CEO, Australia and Global Segment Lead for Retail and Wealth. Before joining ANZ, Brian spent ten years as a financial services consultant in New York, San Francisco and Melbourne. He is a director of The Financial Markets Foundation for Children and the Australian Banker’s Association Incorporated.

David Lees

Mr. David Lees served as Acting Chief Financial Officer of the company . David acted as the Chief Financial Officer from June 2018 to September 2018. Westpac’s Chief Financial Officer is responsible for Westpac’s Finance, Group Audit, Tax, Treasury and Investor Relations functions. Prior to this appointment, David was Deputy Chief Financial Officer from January 2016 to June 2018. He has returned to this role in October 2018. Since joining Westpac in 1997, David has held other senior roles across the Westpac Group, including General Manager, BT Solutions, where he was responsible for BT Financial Group’s insurance and asset management businesses. David holds a Bachelor of Commerce and Bachelor of Laws from Durban University

Lyn Cobley

Ms. Lyn Elizabeth Cobley serves as Chief Executive - Westpac Institutional Bank of the Company. Since September 2015. She has responsibility for Westpac’s global relationships with corporate, institutional and government clients as well as all products across financial and capital markets, transactional banking, structured finance and working capital payments. In addition, Lyn oversees Hastings Funds Management, global treasury as well as Westpac’s International and Pacific Island businesses. Lyn has over 20 years’ experience in financial services. Prior to joining Westpac, Lyn held a variety of senior positions at the Commonwealth Bank of Australia including serving as Group Treasurer from 2007 to 2013 and most recently as Executive General Manager, Retail Products & Third Party Banking. She was also Head of Financial Institutions at Barclays Capital in Australia, held senior roles at Citibank in Australia and Asia Pacific including Head of Securitisation and was CEO of Trading Room (a joint venture between Macquarie Bank and Fairfax). Lyn is a member of both the Australian Financial Markets Association (AFMA) and the Westpac Foundation. She is also a member of Chief Executive Women. Lyn has a Bachelor of Economics from Macquarie University, is a Senior Fellow of the Financial Services Institute of Australia and is a graduate of the Australian Institute of Company Directors.

Guilherme Lima

Mr. Guilherme Lima is Chief Executive of Business division of the Company. Mr Lima joins Westpac Group from HSBC in Hong Kong where he has been Group Head of Wealth Management and in prior roles led the Retail and Wealth management business of HSBC for the Latin American region. Guil has 22 years' experience in banking and consulting in Hong Kong, Brazil, UK, US, Spain and the Netherlands. In his most recent role as Group Head of Wealth Management at HSBC Hong Kong, Guil led wealth proposition teams covering products, insights and solutions globally for customer segments including Premier, Jade, and International and Cross-border clients. He started at HSBC as Group Head of Strategy in London in 2010 after a career totalling 10 years at McKinsey & Co. Appointed a Partner of McKinsey in 2007, Guil led client relationships across emerging and developed markets in retail and wholesale banking and wealth management. Guil started his career at Citigroup in Brazil as an intern and financial analyst focused on credit analysis. He holds a Bachelor of Business Administration in General Management and Finance from Brazilian private higher education institution, Fundação Getulio Vargas (FGV) and a Master of Business Administration in Strategy, Corporate Finance and Investment Management from Harvard Business School.

David Lindberg

Mr. David Lindberg is appointed as Chief Executive Consumer of the company., effective 1 April 2019. He is responsible for managing the Group’s end to end relationships across small and medium enterprises, commercial and agri-business customers as well as asset and equipment finance in Australia. Prior to this appointment, David was Chief Product Officer, responsible for the Group’s retail and business products across all brands, as well as overseeing the Group’s digital activities. Before joining Westpac in 2012, David was Executive General Manager, Cards, Payments & Retail Strategy at the Commonwealth Bank of Australia. David was also formerly Managing Director, Strategy, Marketing & Customer Segmentation at Australia and New Zealand Banking Group Limited and Managing Vice President and Head of Australia for First Manhattan.

David McLean

Mr. David Alexander McLean serves as Chief Executive Officer - Westpac New Zealand Limited, a subsidiary Company of Westpac Banking Corp. Since February 2015. Since joining Westpac in February 1999, David has held a number of senior roles, including Head of Debt Capital Markets New Zealand, General Manager, Private, Wealth and Insurance New Zealand and Head of Westpac Institutional Bank New Zealand, and most recently, Managing Director of the Westpac New York branch. Before joining Westpac, David was Director, Capital Markets at Deutsche Morgan Grenfell since 1994. He also established the New Zealand branch of Deutsche Bank and was New Zealand Resident Branch Manager. In 1988, David joined Southpac/National Bank as a Capital Markets Executive. Prior to this, David worked as a lawyer in private practice and also served as in-house counsel for NatWest NZ from 1985. David is a Barrister & Solicitor of the High Court of New Zealand.

Alastair Welsh

Mr. Alastair Welsh is appointed as Acting Chief Executive Business of the Company., effective 1 April 2019. He has over 30 years’ experience in financial services. For the last 26 years he has worked at Westpac in both New Zealand and Australia including time in BTFG and most recently as General Manager, Commercial Banking. He has a broad range of experience including roles as a Business Banker running client portfolios, leading large scale strategic initiatives and transformation programmes, including working as Transformation Director on the Westpac and St.George Bank merger.

Craig Bright

Mr. Craig Bright has been appointed as Chief Information Officer of the Company. Craig is a seasoned technology executive with a wealth of global experience across complex, multi-country banking operations in a mix of technical engineering, application, program management, IT development, and IT infrastructure roles. Craig is currently Chief Technology Officer for Citi’s Global Consumer Bank. In this role he leads IT strategy and architecture for the Consumer division, playing a central role in setting and executing Citi’s cloud agenda, and strengthening the Bank’s DevOps and Production Management capabilities. Craig joined Citigroup in 2011 as Managing Director, initially responsible for strategic and operational leadership of infrastructure globally for the Consumer Bank. His scope of responsibility expanded to include Production Management for the thousands of applications across the globe that support the Consumer Bank; and leadership of Citi’s global data centre network. During this time Craig built and led technology teams of up to 8,500 employees located in Citi’s strategic centres worldwide. Prior to this, Craig was Global Head of Infrastructure and Service Delivery with Barclays, with responsibility for infrastructure management and service delivery across the global retail and commercial banking business. Before Barclays, Craig spent nine years at National Australia Bank as CIO, Investment Bank and General Manager, Retail & Business Banking. Before joining National Australia Bank, Craig spent seven years with Ernst & Young focused on financial services technology consulting across the Asia Pacific region. Craig commenced his career with the State Electricity Commission of Victoria, working as a Systems Engineer. Craig holds a Bachelor of Computing from Monash University and a Computer Field Service Certificate from Royal Melbourne Institute of Technology.

Carolyn McCann

Ms. Carolyn McCann is Chief complaints Officer of the Company. Ms. McCann is currently Westpac’s General Manager, Corporate Affairs and Sustainability. Prior to joining Westpac, Ms McCann spent 13 years at Insurance Australia Group in various positions, including Group General Manager, Corporate Affairs & Investor Relations, where she had responsibility for corporate affairs, investor relations, brand integrity, government relations and stakeholder engagement. Ms McCann joined Westpac in 2013 with responsibility for external affairs, communications, government relations and sustainability across the Westpac Group.

Peter King

Mr. Peter Bruce King serves as Chief Risk Officer from June 2018 to September 2018. Westpac’s Chief Risk Officer is responsible for key risk management activities across the enterprise. Prior to this appointment, Peter was Chief Financial Officer from April 2014 to June 2018. He has returned to this role in October 2018. Since joining Westpac in 1994, Peter has held senior finance positions across the Group, including in Group Finance, Business and Consumer Banking, Business and Technology Services, Treasury and Financial Markets. Peter commenced his career at Deloitte Touche Tohmatsu. He has a Bachelor of Economics from Sydney University and completed the Advanced Management Programme at INSEAD. He is a Fellow of the Institute of Chartered Accountants.

David Stephen

Mr. David Stephen has been appointed as Chief Risk Officer of the Company. Mr. Stephen joins Westpac Group from Royal Bank of Scotland (RBS) where he has been Group Chief Risk Officer since 2013. Prior to RBS, Mr Stephen held senior roles at Deutsche Bank and Credit Suisse First Boston. He also spent five years at ANZ as Group Chief Risk Officer, Head of Risk – Institutional, and General Manager Wholesale Risk.

Rebecca Lim

Ms. Rebecca Lim serves as General Counsel, Group Executive, Compliance, Legal & Secretariat of the company. Rebecca was appointed as Westpac’s Group Executive responsible for compliance, legal and secretariat functions globally from October 2016. She was appointed Group General Counsel in November 2011 and was Chief Compliance Officer from 2013 to 2017. Rebecca joined Westpac in 2002 and has held a variety of other senior leadership roles including General Manager, Human Resources for St.George Bank and General Manager, St.George Private Clients. Rebecca began her career at Blake Dawson Waldron (now Ashurst) before joining the US firm Skadden Arps where she worked in both New York and London. Rebecca then moved into an in-house role in investment banking at Goldman Sachs in London before returning to Australia and joining Westpac. Rebecca is Deputy Chair of the GC100 Executive Committee and a member of Chief Executive Women.

Christine Parker

Ms. Christine Parker serves as Group Executive - Human Resources, Corporate Affairs & Sustainability of Westpac Banking Corp, since October 2011. Christine was appointed Group Executive, Human Resources, Corporate Affairs & Sustainability in October 2011, with responsibility for human resources strategy and management, including reward and recognition, safety, learning and development, careers and talent, employee relations and employment policy. She is also responsible for Corporate Affairs and Sustainability, and Customer Advocacy. Prior to this appointment, she was Group General Manager, Human Resources, from March 2010, with responsibilities across the entire Westpac Group. Prior to that, Christine was General Manager, Human Resources, Westpac New Zealand Limited. Prior to joining Westpac in 2007, Christine was Group Human Resources Director, Carter Holt Harvey, and from 1999 to 2004, she was Director of Human Resources with Restaurant Brands New Zealand. Christine is a Governor of the St.George Foundation and also a Director of Women’s Community Shelters.

Gary Thursby

Mr. Gary Thursby serves as Group Executive, Strategy & Enterprise Services of the company. Reporting to the Deputy Chief Executive Officer, Gary is responsible for the development of the Group’s strategy, along with business development and mergers and acquisitions. Gary first joined Westpac in 2008 and more recently was Chief Financial Officer, Australian Financial Services, where his responsibilities included Westpac’s Australian retail banking and wealth management businesses. Gary has a wealth of financial services experience, having held a range of senior positions across a number of financial institutions over the last 20 years. Prior to joining Westpac, he served as Chief Financial Officer, Retail Bank at the Commonwealth Bank of Australia. Gary commenced his career at Deloitte Touché Tohmatsu. Gary has a Bachelor of Economics and a Post Graduate Diploma in Accounting from Flinders University of South Australia and is a Fellow of the Institute of Chartered Accountants.

Tim Hartin

Mr. Tim Hartin serves as Group Company Secretary of Westpac Banking Corp since November 2011. Before that appointment, Tim was Head of Legal - Risk Management & Workouts, Counsel & Secretariat and prior to that, he was Counsel, Corporate Core. Before joining Westpac in 2006, Tim was a Consultant with Gilbert + Tobin, where he provided corporate advisory services to ASX listed companies. Tim was previously a lawyer at Henderson Boyd Jackson W.S. in Scotland and in London in Herbert Smith’s corporate and corporate finance division.

Mei Fung Yuen

Ms. Yuen (Anita) Mei Fung is Director of the Company. Ms Fung spent 19 years of her executive career at HSBC, including 7 years serving as Group General Manager of HSBC Holdings plc and then from 2011 to 2015 as the Chief Executive Officer Hong Kong of The Hongkong and Shanghai Banking Corporation Limited. Prior to joining HSBC, Ms Fung held a number of roles at Standard Chartered Bank. Ms Fung is currently a Non-executive Director of each of China Construction Bank Corporation, Hong Kong Exchanges and Clearing Limited, Hang Lung Properties Limited and The Hong Kong Mortgage Corporation Limited. She is also an Independent Non-executive Member of the Airport Authority Hong Kong Board and a Board Member of the West Kowloon Cultural District Authority.

Nerida Caesar

Ms. Nerida Frances Caesar serves as Non-Executive Independent Director of the Company. Nerida has 30 years of broadranging commercial and business management experience. Most recently, Nerida was Group Managing Director and Chief Executive Officer, Australia and New Zealand, of Equifax (formerly Veda Group Limited) from February 2011. Nerida was formerly Group Managing Director, Telstra Enterprise and Government, responsible for Telstra’s corporate, government and large business customers in Australia as well as the international sales division. She also worked as Group Managing Director, Telstra Wholesale, and prior to that held the position of Executive Director National Sales where she was responsible for managing products, services and customer relationships throughout Australia. Prior to joining Telstra, Nerida held several senior management and sales positions with IBM within Australia and internationally over a 20 year period, including as Vice President of IBM’s Intel Server Division for the Asia Pacific region.

Ewen Crouch

Mr. Ewen Graham Wolseley Crouch serves as Non-Executive Independent Director of Westpac Banking Corp. He has been Director since February 2013. Ewen was a partner at Allens from 1988 to 2013 where he was one of Australia’s most accomplished mergers and acquisitions lawyers. He served as a member of the firm’s board for 11 years including four years as Chairman of Partners. His other roles at Allens included: Co-Head Mergers and Acquisitions and Equity Capital Markets, Executive Partner, Asian offices and Deputy Managing Partner. He is now a Consultant to Allens. Ewen served as a director of Mission Australia from 1995 and as a Chairman from 2009, before retiring in November 2016. From 2010 to 2015, Ewen was a member of the Takeovers Panel. In 2013, Ewen was awarded an Order of Australia in recognition of his significant service to the law as a contributor to legal professional organisations and to the community. Ewen is currently a director of BlueScope Steel Limited. He is also a member of each of the Commonwealth Remuneration Tribunal, the Law Committee of the Australian Institute of Company Directors, Corporations Committee of the Law Council of Australia and a Board member of the Sydney Symphony Orchestra and Jawun.

Alison Deans

Ms. Alison C. Deans serves as Non-Executive Independent Director of Westpac Banking Corp. She has been Director since April 2014. Alison has more than 20 years’ experience in senior management and strategy consulting roles focused on e-commerce, media and financial services in Australia. During this time, Alison held a number of senior executive roles including as the CEO of eCorp Limited, Hoyts Cinemas and eBay, Australia and New Zealand. Most recently, she was the CEO of the technology-based investment company netus Pty Ltd, which was acquired by Fairfax Media Limited in 2012. She was also an Independent Director of Social Ventures Australia from September 2007 to April 2013. Alison was formerly appointed by the Australian Government to a panel of experts conducting an independent cost-benefit analysis and regulatory review of the National Broadbank Network. She is currently a Senior Advisor to McKinsey & Company. Alison is a director of Insurance Australia Group Limited, Cochlear Limited, kikki-K Holdings Pty Limited and SCEGGS Darlinghurst Limited.

Craig Dunn

Mr. Craig William Dunn serves as Non-Executive Independent Director of Westpac Banking Corp. He has been Director since June 2015. Craig has more than 20 years’ experience in financial services, including as CEO of AMP Limited from January 2008 to December 2013. Craig was previously a Board member of the Australian Japanese Business Cooperation Committee, and former Chairman of the Investment and Financial Services Association (now the Financial Services Council). He was also a member of the Financial Services Advisory Committee, the Australian Financial Centre Forum, the Consumer and Financial Literacy Taskforce and a Panel member of the Australian Government's Financial System Inquiry. Craig is currently Chairman of the Australian Government’s Fintech Advisory Group and the International Standards Committee on Blockchain and Distributed Ledgers (ISO/TC 307). He is also a Board member of each of the New South Wales Government’s Financial Services Knowledge Hub and Jobs for New South Wales, and a member of the ASIC External Advisory Panel and the New South Wales Government's Advisory Panel (regarding its investment in the Australian Quantum Computing Initiative). Craig is also a consultant to King & Wood Mallesons. Craig is currently Chairman of The Australian Ballet and Stone and Chalk Limited. He is also a director of Telstra Corporation Limited and Financial Literacy Australia Limited.

Anita Fung

Ms. Anita Fung serves as Non-Executive Independent Director of the company. Ms. Anita’s career in the banking industry spans over 30 years, including 19 years at HSBC. During her time at HSBC, Anita held a number of senior management roles including Group General Manager, HSBC Group and most recently as Chief Executive Officer, Hong Kong from 2011 to 2015. Prior to joining HSBC, Anita held various positions at Standard Chartered Bank in its Treasury and Capital markets business

Steven Harker

Mr. Steven John Harker is appointed as Non-Executive Independent Director of the company effective 1 March 2019. He was formerly Managing Director and Chief Executive Officer of Morgan Stanley Australia from 1998 to 2016 and then Vice Chairman until February 2019. Mr Harker has previously served on the boards of Investa Property Group and Australian Financial Markets Association Limited. Mr Harker is currently a Director of The Banking and Finance Oath, The Hunger Project Australia and ASX Refinitiv Charity Foundation. Steve is also Governor and Treasurer of Ascham School. Prior to joining Morgan Stanley, Mr Harker spent fifteen years with Barclays de Zoete Wedd (BZW, now Barclays Investment Bank). Peter Marriott

Mr. Peter Ralph Marriott serves as Non-Executive Independent Director of Westpac Banking Corp. He has been Director since June 2013. Peter has over 30 years’ experience in senior management roles in the finance industry encompassing international banking, finance and auditing. Peter joined Australia and New Zealand Banking Group Limited (ANZ) in 1993 and held the role of Chief Financial Officer from July 1997 to May 2012. Prior to his career at ANZ, Peter was a banking and finance, audit and consulting partner at KPMG Peat Marwick. Peter was formerly a Director of ANZ National Bank Limited in New Zealand and various ANZ subsidiaries. Peter is currently a Non-executive director of ASX Limited. He is also Chairman of Austraclear Limited and a director of ASX Clearing Corporation Limited and ASX Settlement Corporation Limited. He is also a member of the Review Panel & Policy Council of the Banking & Finance Oath.

Peter Stanley Nash

Mr. Peter Nash is appointed as Non-Executive Independent Director of the company effective 7 March 2018. He was formerly a Senior Partner with KPMG until September 2017, having been admitted to the partnership of KPMG Australia in 1993. He served as National Chairman of KPMG Australia from 2011 until August 2017, where he was responsible for the overall governance and strategic positioning of KPMG in Australia. In this role, Mr Nash also served as a member of the Global Board of KPMG and was the Chair of KPMG’s Global Investment Committee. Mr Nash’s previous positions with KPMG have also included Regional Head of Audit for Asia Pacific, National Managing Partner for Audit in Australia, Head of KPMG Financial Services and in addition, he has acted as Lead Audit Partner for some of Australia’s largest corporates.

Margaret Seale

Ms. Margaret (Margie) Leone Seale is appointed as Non-Executive Independent Director of the Company effective 1 March 2019. She is a highly experienced director having previously served on a number of boards including Ramsay Health Care Limited, Bank of Queensland Limited, Penguin Random House Australia Pty Ltd (as a non-executive director and then Chair), the Australian Publishers’ Association and Chief Executive Women. Ms Seale is currently a non-executive Director of Scentre Group, Telstra Corporation Limited and Australian Pacific (Holdings) Pty Limited. Prior to commencing her non-executive career, Ms Seale was Managing Director of Random House Australia and New Zealand and was President, Asia Development for Random House globally. Ms Seale holds a Bachelor of Arts and is a Fellow of the Australian Institute of Company Directors.
