Black Hills Corporation, incorporated on April 28, 2000, is a holding company. The Company is an integrated energy company, which is focused primarily on regulated utilities. The Company operates through segments, including Electric Utilities, Gas Utilities, Power Generation, Mining, Oil and Gas, and Corporate.

Electric Utilities

As of December 31, 2016, the Electric Utilities segment generated, transmitted and distributed electricity to approximately 208,500 customers in South Dakota, Wyoming, Colorado and Montana. Its electric generating facilities and power purchase agreements provide for the supply of electricity principally to its own distribution systems. Additionally, it sells excess power to other utilities and marketing companies, including its affiliates. The Company also provides non-regulated services through its Tech Services product lines. Tech Services provides electrical system construction services to industrial customers of its electric utilities.

Gas Utilities

The Gas Utilities Segment includes the natural gas operations of Cheyenne Light. Gas Utilities conduct natural gas utility operations through its Arkansas, Colorado, Iowa, Kansas, Wyoming and Nebraska subsidiaries. As of December 31, 2016, its Gas Utilities distributed and transported natural gas through its network to approximately 1,030,800 natural gas customers. Additionally, it sells contractual pipeline capacity and gas commodities to other utilities and marketing companies, including its affiliates. It also provides non-regulated services through Black Hills Energy Services. As of December 31, 2016, Black Hills Energy Services provided approximately 55,000 retail distribution customers in Nebraska and Wyoming with unbundled natural gas commodity offerings under the regulatory-approved Choice Gas Program.

The Company sells, installs and services air, heating and water-heating equipment, and provides associated repair service and protection plans under various trade names. Tech Services primarily serves gas transportation customers throughout its service territory by constructing and maintaining customer-owned gas infrastructure facilities, typically through one-time contracts.

Power Generation

The Power Generation segment produces electric power from its generating plants and sells the electric capacity and energy principally to its utilities under long-term contracts. As of December 31, 2016, it held varying interests in independent power plants operating in Wyoming and Colorado with a total net ownership of approximately 269 megawatts (MW).


The Mining segment operates through its Wyodak Resources Development Corp. (WRDC) subsidiary. The Mining segment produces coal at its coal mine near Gillette, Wyoming and sells the coal primarily to on-site, mine-mouth power generation facilities. The WRDC coal mine is located in the Powder River Basin. As of December 31, 2016, it produced approximately 3.8 million tons of coal. Its Mining segment sells coal to South Dakota Electric and Wyoming Electric for all of their requirements.

Oil and Gas

The Oil and Gas segment, which conducts business through Black Hills Exploration and Production, Inc. (BHEP) and its subsidiaries, acquires, explores for, develops and produces natural gas and crude oil in the United States primarily in the Rocky Mountain region. As of December 31, 2016, the principal assets of its Oil and Gas segment included operating interests in crude oil and natural gas properties, including properties in the San Juan Basin (with holdings primarily on the tribal lands of the Jicarilla Apache Nation in New Mexico and Southern Ute Nation in Colorado), the Powder River Basin (Wyoming) and the Piceance Basin (Colorado); non-operated interests in crude oil and natural gas properties, including wells located in various producing basins in several states, and a 44.7% ownership interest in the Newcastle gas processing plant and associated gathering system located in Weston County, Wyoming. As of December 31, 2016, it had total reserves of approximately 78 billion cubic feet equivalent (Bcfe), of which natural gas consisted 70%, crude oil consisted 17% and natural gas liquids (NGLs) consisted 13%.
