Greenhill & Co., Inc., incorporated on March 10, 2004, is an investment bank. The Company provides financial and strategic advice on domestic and cross-border mergers and acquisitions, divestitures, restructurings, financings, capital raising and other transactions to a diverse client base, including corporations, partnerships, institutions and governments globally. The Company also provides advice in connection with defense preparedness, activist response strategies and other mission critical situations. The Company acts for clients located across the world from its offices located in the United States, Australia, Brazil, Canada, Germany, Hong Kong, Japan, Sweden, and the United Kingdom. The Company's subsidiaries provide advisory services in various jurisdictions. Its operating entities include Greenhill & Co., LLC (G&Co), Greenhill & Co. International LLP (GCI), Greenhill & Co. Europe LLP (GCE), Greenhill & Co. Australia Pty Limited (Greenhill Australia) and Greenhill Cogent, LP (GC LP). G&Co is engaged in investment banking activities principally in the United States. GCI and GCE are engaged in investment banking activities in the United Kingdom and Europe. Greenhill Australia engages in investment banking activities in Australia and New Zealand. GC LP is engaged in capital advisory services to institutional investors principally in the United States.

On merger and acquisition engagements, the Company provides a range of advises to clients in relation to domestic and cross-border mergers, acquisitions, divestitures, spin-offs and other transactions, through all stages of a transaction's life cycle, from initial structuring and negotiation to final execution. In addition, the Company also advises clients on a range of strategic matters, including activist response, defensive tactics, special committee projects, licensing deals and joint ventures. It provides advice on valuation, negotiation tactics, industry dynamics, structuring alternatives, timing and pricing of transactions, as well as financing alternatives.

The Company's financing advisory and restructuring practice offers a range of advisory services. In debt restructurings, the Company advises debtors, creditors, governments, pension funds and other stakeholders, as well as acquirers of distressed companies and assets. It provides advice on valuation, restructuring alternatives, capital structures, financing alternatives and sales or recapitalizations, and assist clients in identifying and capitalizing on incremental sources of value. It also assists those clients who seek court-assisted reorganizations by developing and seeking approval for plans of reorganization, as well as the implementation of such plans. In addition to debt restructurings, the Company also advises on a range of financing matters, including debt issuances, equity financings, exchange offers, spin-off transactions, initial public offerings (IPOs) and other equity capital market transactions. In its capital advisory business, it assists general partners and sponsors in raising capital for new private funds and provides related advisory services to those entities globally.
